The Project is described as follows: Publix #0794 Publix at Miami Shores — Starbucks Caf6 1.2. THE WORK 1.2.1. The scope of work (the "Work") includes: Attached hereto as Exhibit "A". 1.2.2. The Work which Contractor shall perform under this Agreement is hereby defined to include all of the necessary labor, services, equipment and materials required for the construction of the Project, in accordance with the Contract Documents. Changes in the Work may be made pursuant to a Change Order as set forth in Article 10 ofthe General Conditions. Cost Plus Fee Agreement For Construction 1.2.3. Contractor shall perform pre -construction services as may be reasonably requested by Owner in order to assist in ensuring that the Contract Documents achieve all of Owner's design objectives, including, without limitation, the time of construction, the cost of construction, and the functional performance of the Project. Contractor's activities during the pr"onsttuction services shall include, but shall not be limited to: 1. Attending regular meetings with Owner and Owner's consultant(s), if any; 2. Consulting with and making specific recommendations to Owner and Owner's consultant(s) regarding site use and improvements and the selection of materials, building systems and equipment; 3. Providing Owner and Owner's consultant(s) with recommendations on construction feasibility; actions designed to minimize adverse effects of labor or material shortages; time requirements for procurement, installation and construction completion; phasing of construction; and factors related to construction cost including estimates of alternative designs or materials, budget analyses and other possible cost saving means and methods of construction; 4. Reviewing and coordinating with Owner and Owner's consultant(s) all on -site and off - site utilities and infrastructure; 6. Comparing and coordinating the Drawings prepared by Owner and Owner's consultant(s) during the Schematic, Design, Design Development and Construction Document phases; 6. Preparing cost estimates of the Work and proposed Project schedules to complete the Work, as set forth below; and 7. Performing a constructability review of the drawings at 60% and at the time final Drawings and Specifications are completed. 1.2.4. Contractor's pre -construction services shall be included within the Cost of the Work. 1.2.5. In the event Owner chooses not to proceed with the Project, Owner reserves the right to terminate this Agreement for convenience and to exercise its rights under 117.2 of the General Conditions, in which case, Owner shall pay Contractor the an amount of the Pre -construction Fee as set forth in 117.2. ARTICLE 2 THE CONTRACT DOCUMENTS 2.1 CONTRACT DOCUMENTS 2.1.1. The Contract Documents consist of this Agreement, the General Conditions of the Agreement for Construction (the "General Conditions"), the Drawings and Specifications prepared for the Project, Addenda issued prior to the execution of this Agreement, the Contractor's Bid Proposal Form, any Change Orders issued subsequent to the execution of this Agreemcnt, and all other documents listed in 111.2 of this Agreement. 2.1.2. The foregoing documents shall be read in conjunction with each other and any inconsistencies or discrepancies therein shall be resolved as set forth in the General Conditions. ARTICLE 3 REPRESENTATION OF CONTRACTOR 3.1 CONTRACTOR'S RELATIONSHIP TO OWNER 3.1.1. Notwithstanding anything to the contrary contained in this Agreement, Owner and Contractor 2 Cost Plus Fee Agreement For Construction agree and acknowledge that Owner is entering into this Agreement in reliance on Contractor's knowledge, skills and experience with respect to performing the Work. 3.1.2. Contractor acknowledges that Owner is entering into this Agreement based on the trust and confidence Owner places on Contractor's knowledge, skills and experience. Contractor covenants with Owner (1) to furnish reasonable skill and judgment consistent with that of a contractor using the professional standards and generally accepted construction practices typically employed for projects of similar size, design and complexity in the County where the Project is located; and (2) to cooperate with the Architect in furthering the interests of Owner. Further, Contractor shall use its best efforts to perform the Work as set forth in the Contract Documents in an expeditious and economical manner consistent with the interests of Owner. ARTICLE 4 CONTRACT TIME 4.1 DATE OF COMMENCEMENT 4.1.1. The Contract Time shall be measured from the date of commencement of the Work. 4.1.2. The date of commencement of the Work shall be the later of, the date on which Owner approves The Project Control Estimate (defined below), the first date on which Contractor mobilizes on the Project, the date the Notice of Commencement is recorded, or the date on which Contractor receives the first of its building permits. 4.2. SUBSTANTIAL COMPLETION 4.2.1. On or before Ninety (90) days after the date of commencement, Contractor shall achieve Substantial Completion of the Work (the "Contract Time"). . 4.2.2. The Contract Time in which to achieve Substantial Completion may be adjusted as set forth in ¶ ¶ I0.21 and 10.2.3 of the General Conditions. 4.2.3. Time is of the essence with respect to achieving Substantial Completion within the Contract Time. 4.3. PROJECT SCHEDULE 4.3.1. Contractor shall execute the Work in accordance with the Project Schedule prepared in accordance with 15.2 below which Contractor shall submit to Owner prior to commencing the work or as otherwise requested by Owner. 4.4. LIQUIDATED DAMAGES 4AA. If Contractors fails to achieve Substantial Completion of the Project in the Contract Time, as adjusted by Change Order, Contractor shall pay Owner Zero Dollars ($0.00) per day for each day on which Contractor failed to achieve Substantial Completion ("Liquidated Damages"). Contractor expressly acknowledges that time is of the essence in completing the Work required hereunder and that the actual delay damages which Owner will suffer in the event of a delay in achieving Substantial Completion of the Work are difficult, if not impossible, to determine and that the Liquidated Damages described above are not a penalty but are a fair and reasonable estimate of the direct and non -consequential delay damages which Owner will suffer in the event of such delay. ARTICLE 5 PROJECT CONTROL ESTIMATE 5.1 ESTIMATED COST OF THE WORK 5.1.1. Simultaneously with the execution of this Agreement, Contractor shall submit to Owner a written M Cost Plus Fee Agreement For Construction estimate of the Cost of the Work. This estimate shall be deemed the Project Control Estimate, which Contractor and Owner shall use to monitor the actual cost of the Work. 5.1.2. The Project Control Estimate shall include: 1. A statement of the estimated Cost of the Work, organized by the various trades of the Work, and Contractor's Fee, as defined herein below. 2. A list of the clarifications and assumptions made in the preparation of the Project Control Estimate and on which the estimate is based. The list shall identify names of manufacturers, model numbers, styles, grades, etc, sufficient to identify the nature and quality of the major materials, systems, and equipment included in the Work. 3. Cost and expenses associated with the complete execution of the Work. 4. Contingencies associated with additional engineering that may be required in execution of the Work. 5. Contingencies associated with further development ofthe Drawings and Specifications as required by 9 5.1.3 below. 6. Lists of unsuccessful bidders and amounts, if any. 5.1.3. To the extent that the Drawings and Specifications are anticipated to require further development by the Architect, Contractor shall provide appropriate cost contingencies in the Project Control Estimate for such further development consistent with the Contract Documents and reasonably inferable therefrom. Such further development does not include changes in scope, systems, kinds and quality of materials, finishes or equipment, all of which, ifrequired, shall be incorporated in a revised Project Control Estimate by mutual agreement of the parties. 5.1A. Prior to commencing the Work, Owner shall approve Contractor's Project Control Estimate. 5.2. ESTIMATED PROJECT SCHEDULE 5.2.1. Contractor shall submit to Owner, along with the Project Control Estimate, an estimated Project Schedule. The Project Schedule shall indicate the activity sequences, durations and milestone dates for the various activities and trades comprising the Work. The Project Schedule also shall identify the dates or times Contractor requires receipt and approval of pertinent information from Owner, a schedule of shop drawings and samples, and procurement and delivery of materials or equipment requiring long -lead time. In the event the Contract Documents specify that Owner may partially occupy portions of the Work, the Project Schedule shall reflect the times when such occupancy shall occur. 5.3. MONITORING THE PROJECT CONTROL ESTIMATE 6.3.1. Contractor shall develop and implement a detailed system of cost control that will provide Owner with: (1) a comparison of the Project Control Estimate with the actual cost of the Work in progress; and (2) an electronic job cost detail report If requested by Owner, on a monthly basis, and along with Contractor's Application for Payment, Contractor shall submit to Owner an updated Project Control Estimate. ARTICLE 6 SUBCONTRACTS 6,1 SELECTING SUBCONTRACTORS 6.1.1. Contractor shall invite bids from, and enter into agreements for labor, materials and services with, only subcontractors and suppliers who have fast been approved by Owner. After receiving such bids, Contractor shall analyze them and recommend to Owner which proposals should be accepted. Contractor's recommendations shall include pertinent backup data supporting Contractor's recommendation. 6.1.2. Prior to commencement of the Work or any portion thereof, Contractor shall furnish to Owner 4 Cost Plus Fee Agreement For Construction copies of bids and estimates from Subcontractors and suppliers for various aspects of the Work. No Subcontractor or supplier shall be engaged if objected to by Owner provided; however, that if Owner does not take exception to a Subcontractor on or before fifteen (15) days after Owner's receipt of such notification, such Subcontractor shall be deemed acceptable to Owner. 6.1.3. Upon Owner approval of any such subcontractor, Contractor shall contract directly with the approved subcontractor or supplier in its own name and behalf, and not in the name or behalf of Owner. 6.1.4. Subcontracts or other agreements entered into by Contractor with third parties furnishing labor or materials to the Project shall conform to the payment provisions of this Agreement and shall not be awarded on the basis of Cost Plus a Fee without Owner's prior consent. ARTICLE 7 PROJECT COST 7.1 CONTRACT SUM 7.1.1. For performance and completion of the Work in accordance with the Contract Documents, Owner shall pay to Contractor the total sum equivalent to the actual and necessary Cost of the Work, as defined herein, plus Contractor's Fee (the *Contract Sum"), which shall be paid in current funds. 7.2. CONTRACTOR'S FEE 7.2.1. Contractor`s Fee shall be as follows: ❑ 13.75% of Contractor's Cost of the Work; or ❑ Contractor's Fee on all Change Orders shall be 7.0 %. 7.2.2. Unless noted otherwise herein, Contractor's Fee shall include all costs associated with Contractor's home office overhead, general expenses, supervisory (other than field incurred general conditions) and administrative personnel, and Contractor's profit. 7.3. COST OF THE WORK TO BE REIMBURSED 7.3.1. The Cost of the Work shall include the actual and necessary expenses incurred by Contractor in the proper performance and execution of the Work in accordance with the Contract Documents. The Cost of the Work shall only be based on the following: 1. Wages of laborers directly employed by Contractor to perform the Work on -site. 2. Wages or salaries of on -site supervisory and administrative personnel, or if approved by Owner those who are stationed at the home office while specifically engaged in the Work including: Project Manager, Project Engineer, Estimators and Contract Administrators, but only to the extent of the actual hours such personnel are directly working on the Project. 3. Costs paid or incurred by Contractor for taxes, insurance, contributions, and benefits required by law including, customary benefits such as sick leave, medical and health benefits, holidays, vacations and pensions, provided such costs are based on wages and salaries included in the Cost of the Work under this 1 7.3.1. 4. When approved by Owner pursuant to Article 6, Subcontract and purchase order costs in accordance with the agreements between Contractor and Subcontractor and supplier. S. When approved by Owner, cost of materials and equipment purchased by Contractor and incorporated into the Work, including the transportation and storage of such materials and equipment. 6. Costs of temporary utilities and sanitary facilities to the Project site. 5 Cost Plus Fee A reernerd For Construction 7. Rental expenses associated with temporary machinery and equipment not customarily owned by contractors or subcontractors that are furnished to the Project for the execution of the Work. Such expenses also shall include the transportation, erection, and dismantling of the equipment; however, in no event shall the expense include cost of maintenance or repair of such equipment. 8. Costs of removal of legally disposed debris and construction materials from the Project site. 9. Costs associated with Payment and Performance Bonds and Builder's Risk insurance, if required by the Contract Documents. 10. Sales, use or similar taxes imposed by a governmental authority that are related to the Work and for which Contractor is liable. 11. Fees and assessments for the building permit and for other permits, licenses and inspections Contractor is required by the Contract Documents for which Contractor is liable. 12. Fees of laboratories for tests required by the Contract Documents, subject to the limitations of 13.8.3 of the General Conditions. 13. Royalties and license fees paid for the use of a particular design, process or product required by the Contract Documents. 14. Costs associated with taking emergency action to prevent threatened damage, injury or loss; provided however, that such action is not required due to the negligence of Contractor or any other person or Subcontractor performing the Work. 15. Subject to the Iimitations and conditions of 117.2.3 and 7.2.4 of the General Conditions, costs associated with repairing or correcting damaged or nonconforming Work executed by Owner's separate contractors or vendors. 16. Costs of on -site Project general conditions such as jobsite trailers, small tools and expendables, ice, water, standard document reproduction, long-distance telephone calls and facsimiles and postage and parcel delivery charges. 17. Cost of Contractor's general liability insurance attributable to the Work. 7.3-2. Subcontracts or other agreements entered into by Contractor with third parties finnishing labor or materials to the Project shall conform to the payment provisions of this Agreement and shall not be awarded on the basis of Cost Plus a Fee without Owner's prior consent. 7.3.3. Pursuant to Owner's rights under 1 18.3.1 of the General Conditions and to Owner's satisfaction, Contractor shall keep full and detailed accounts and exercise such controls as may be necessary to monitor the actual and necessary Cost of the Work for proper financial management under this Agreement. 7A. DISCOUNTS, REBATES, AND REFUNDS 7A.1. In accordance with 18.4 of the General Conditions, Contractor shall use all reasonable efforts to obtain discounts, rebates, and refunds associated with the Cost of the Work that may be available to Contractor. 7A.2. Contractor shall credit the Cost of the Work with the amounts that accrue to Owner in accordance with 17.4.1 above in the Application for Payment that immediately follows Contractor's receipt of any discount, rebate or refund, provided Owner funds in time for Contractor to take advantage of any such cash discounts. ARTICLE 8 PAYMENTS 8.1 PROGRESS PAYMENTS 8.1.1. Periodically, during the progress of the Work, Contractor shall submit to Owner Applications for Payment and Owner shall make periodic progress payment for the performance of the Work as set forth in 18.2 of the General Conditions. 0 Cost Plus Fee Agreement For Construction 8.1.2. Applications for Payment shall show the Cost of the Work actually and necessarily incurred by Contractor through and including the last day of the period covered by the Application for Payment. 8.1.3. During each Application for Payment, Contractor shall demonstrate that cash disbursements already made by Contractor on account of the Cost of the Work will equal or exceed (1) progress payments already received by Contractor, less (2) that portion of those payments attributable to Contractor's Fee; plus (3) payrolls for the period covered by the present Application for Payment; plus (4) retainage provided in 18.1.4, if any, applicable to prior progress payments. 8.1 A. Subject to other conditions of the Contract Documents, Contractor shall compute the amount of each progress payment as follows: 1. Take the Cost of the Work as described in 17.3.1; 2. Add the Contractor's Fee attributable to the Work completed in accordance with the Contract Documents; 3. Subtract 10% to be held in Retainage; 4. Subtract the aggregate of previous payments made by Owner, S. Subtract the shortfall, if any, indicated by Contractor in the documentation required by 8.1.3 above or resulting from errors subsequently discovered by Owner's accountants in such documentation; and 6. Subtract amounts, if any, for which Owner has withheld pursuant to 18.2.5 of the General Conditions. 8.2. FINAL PAYMENT 8.2.1. Owner shall make final payment to Contractor representing the total of the Contract Sum, subject to the conditions set forth in 19.2.2 of the General Conditions. Such certificate of insurance shall provide that cancellation of such insurance shall not be effected without thirty (30) days prior written notice to Owner. In no event shall the failure, for any reason, of the Owner to receive any certificate of insurance or copy of any policy of insurance or of any endorsement thereto or any notice or other document required in accordance with the provisions hereof operate as or be construed as a waiver by the Owner or a release of the Contractor's obligation to provide the insurance coverages and limits required. The Contractor's obligation to obtain, pay all premiums for and maintain all insurance required of the Contractor under the provisions hereof is an obligation of the Contractor separate and independent of the Contractor's duty to provide certificates of insurance, copies, policies and endorsements, notices and the like. 10.1.2. The Contractor shall provide, pay all premiums for and maintain during the entire, tern of this Contract the following insurance coverages and limits: (a) Workers' compensation and employer liability insurance shall be maintained by Contractor, during the term of this Contract, for all employees engaged in Work under this Contract, in accordance with the laws of the State where the Project is located. The limits of coverage shall not be less than: (1) Workers' Compensation - Statutory Requirements (n) Employers' Liability - $1,000,000 limit for (Each Accident, Disease Aggregate and Disease Each Employee) (b) Commercial general liability insurance, which must be written on an occurrence basis, shall be maintained by Contractor. Coverage shall include, but not be limited to, premises and operations, personal injury, contractual for this Contract, independent contractors, broad form property damage including completed operations, and products and completed operations coverage, personal and advertising injury coverage and fire damage coverage, and shall not exclude coverage for the "JC' (explosion), "C" (collapse), and "U" (underground) property damage liability exposures. Completed operations coverage shall be maintained by Contractor for a period of not less than five (5) years following Final Acceptance by Owner. This commercial general liability coverage shall be for $5,000,000 combined single limit achieved through a combination of primary and umbrella -form excess liability coverage, on occurrence basis for both primary and umbrella -form excess liability coverage. Such insurance shall name Owner as an additional insured. (c) Automobile liability insurance shall be maintained by Contractor as to the ownership, maintenance, and use of all owned, non -owned, leased or hired vehicles.
