WHEREAS, Miami Shores Village is the owner of a golf course
and country club which constitutes one of its most valuable assets and
attractions; and
WHEREAS, there is a tract of land contiguous to properties
comprising the golf course consisting of 5. 42 acres which is owned by
Bessemer Properties, Inc. ; and
WHEREAS, the Village Council has determined, after a care-
ful study and investigation, that the acquisition of this tract of land is
essential for the orderly and proper development and use of the facilities
of the aforesaid country club; and
WHEREAS, the said property has been appraised by a competent
real estate appraiser to be currently of the value of $165, 300. 00; and
WHEREAS, it is to the best interest of the people of Miami
Shores Village that the aforesaid property be acquired for said price,
NOW, THEREFORE, BE IT RESOLVED by the Council of
Miami Shores Village:
Section 1. That Miami Shores Village does hereby offer
to purchase from Bessemer Properties, Inc. , the following described
property, being that above referred to, to-wit:
Starting at the Northwest (NW) corner of Section 5,
Township 53 South, Range 42 East, run South 89 degrees,
55 minutes, 14 seconds East along the north line of said
Section, a distance of 230. 00 feet to the point of be-
ginning of the tract herein described:
Thence, deflecting to the right 51 degrees, 24 minutes,
34 seconds, run South 38 degrees, 30 minutes, 40 seconds
East a distance of 480. 96 feet; thence deflecting 51 degrees,
24 minutes, 34 seconds to the left run South 89 degrees,
55 minutes, 14 seconds East a distance of 116. 20 feet;
thence, deflecting 38 degrees, 51 minutes, 11 seconds to
the right, run South 51 degrees, 04 minutes, 03 seconds
East a distance of 145. 00 feet; thence, deflecting 90 degrees
to the left, run North 38 degrees, 55 minutes, 57 seconds
East, a distance of 599. 54 feet to the North line of said
Section 5; thence, deflecting 128 degrees, 51 minutes, 11
seconds to the left run North 89 degrees, 55 minutes, 14
seconds West along the North line of said Section 5, a
distance of 905. 23 feet to the point of beginning, contain-
ing 5. 42 acres more or less.
Section Z. That the price to be offered for said property is
$165, 300. 00.
Section 3. That the purchase is to be financed by the issuance
of certificates of indebtedness of Miami Shores Village, which shall be
paid solely from the revenues herein referred to over a period of twenty
years with interest at 4% per annum. The revenues out of which said
certificates are to be paid shall be primarily the funds generated by the
operation of the golf course and country club and in addition thereto there
shall be pledged to the payment of said bonds the revenues to be collected
from the franchise granted to the Florida Power & Light Company and no
other and the certificates of indebtedness shall not, under any circumstances,
be or become a general obligation of the Village and the real property of
the inhabitants of the Village shall never be taxed for the purpose of paying
the principal and interest, or other costs, arising out of the issuance of
said certificates.
Section 4. Said certificates shall be validated by a proceeding
instituted in the Circuit Court of Dade County, Florida, and the Village
Attorney is hereby authorized and directed, upon the transaction being
closed as hereinafter provided for, to take such steps as may be necessary
to secure the validation of said certificates.
Section 5. If it is necessary to accomplish the purchase of
said property to make an advance payment at the time of the offer to the
Bessemer Properties, Inc. , the Mayor and Village Manager are hereby
authorized and directed to take from the public funds of this Village the
sum of $10, 000. 00 to constitute a down payment on said property, but such

sum shall not be paid until and unless legal assurances are procured
that in the event the offer is not accepted, the said funds shall be returned
to the Village and also that in the event said offer is accepted the balance
of the sum of $155, 300. 00 will be advanced.
Section 6. The contract for the sale of said property shall
be approved as to form by the Village Attorney and shall include among
other things a proviso that marketable title shall be conveyed to the
Village by a good and sufficient warranty deed, subject only to usual and
routine exceptions; that an abstract of title shall be delivered to the Village
for its examination and approval prior to the delivery of said deed and
that from the time of the acceptance of said offer by the execution and
delivery of a suitable contract, the Village shall have a sufficient period
of time to examine said abstract and to procure the validation of the afore-
said certificates of indebtedness.
