R-11-32 RESOLUTION OF MIAMI SHORES VILLAGE NO.
Upon motion by Councilman , seconded by
Councilman , the following resolution was unanimously
adopted:
RESOLVED, that the proposed lease and option agreement tendered
the Village by NEW MIAMI SHORES CORPORATION, pursuant to negotiations
by the Village relating to lots on the west side of the Florida East
Coast Railway, to be leased to the Village for park purposes, is hereby
accepted and approved, and the Mayor and Village Manager are authorized
and directed to enter into, acknowledge and deliver a duplicate original
thereof to New Miami Shores Corporation, said instr►gment being in words

L E A S E
THIS LEASE WITNESSETH, That NEW MIAMI SHORES CORPORATION, a Delaware
corporation, herein called *Owner*, in consideration of fulfillment of each of
the conditions hereinafter stated, leases and lots unto MIAMI SHORES VILLAGE,
a municipal corporation in Dade County, Florida, hereinafter called yVillage*,
the several lots situate in said Village, to-wit:
Lots Numbered One (1) to Four (4), both numbers inclusive,
Lots Numbered Seven (7), Eight (8), Nine (9) and lots
Numbered Twelve (12) to Twenty-six (26) both numbers in-
clxsive, in Block Fifty-nine (59), Section 21 MIAMI SHORES,
a subdivision according to plat thereof recorded in Plat
Book 10, at page 37 of the Public Records of Dade County,
Florida;
Lots Numbered Five (5) to Twenty-five (25), both numbers
inclusive, in Block One Hundred Eight (108), Section 4,
MIAMI SHORES, a subdivision according to amended plat there-
of recorded in Plat Book 15, at page 14, of the Public Records
of Dade County, Florida,
to hold during the term of five years, commencing on the date hereof, provided
expressly, and upon and strictly subject to each of the several following conditions
subsegaent to apply during the lease term, to-wit:
1. That the Village shall landscape said lots and continuously here-
after shall use and maintain the same as and for a public park, or part of a
park, for the inhabitants of said Village.
2. That continuously hereafter the Village shall maintain and cultivate
a good grass lawn and shrubs in a good husbandlike manner on said lots, so that
the same will be attractive in appearance.
3. That no building, sign or other structure shall be erected or allowed
to remain on said lots, or any of them, nor after erection shall be altered, removed
or destroyed without the express written consent and approval thereof by Owner, its,
successors or assigns.
4. That the name of the Village shall not be changed to any other name
but at all times shall remain *MIAMI SHORES VILLAGEVO
5. That the Village shall discharge all taxes heretofore and here-
after assessed or levied against said lots, and will not allow any of the
same hereafter to be sold for taxes, nor any tax deed to issue on any of
the same.
6. That the Village shall not be merged into, nor consolidated with
nor annexed to any other city, town or village;
and upon the failure of any one of said conditions at any time, whether or not due
to any act of the Village, or within its power to prevent, this lease shall become
null and void, and all estate and interest of the Village in said lots, together
with all improvements then thereon, shall be forfeited and shall revert in fee
simple to the Owner, its successors and assigns, and the Owner, its successors or
assigns forthwith, or thereafter, may enter upon any or all of said lots and again
freely hold, own and enjoy the same, wholly in fee simple to its or their sole use
and benefit, as fully as though this lease had never been made. Partial performance
or partial happening of any condition shall not be held to avoid such forfeitures
and each of the said conditions are declared to be and shall be separate and in-
dependent, nor shall abandonment or waiver of any condition impair the force or
effect of any other condition.
And in consideration of the premises, provided all said conditions shall
have been complied with, and shall have happened and shall exist at the end of the
term of said lease, Owner grants unto the Village the right and option of demanding
a deed of said lots in fee simple, subject however to the same conditions thereafter
continuously as stated to apply during the term of said lease, and Owner agrees to
such event at such time to convey said land in fee simple to the Village ( subject
to said conditions), provided and it is agreed between the parties, that if any
controversy at the end of said lease term shall exist as to the compliance, happen-
ing and existence of said several conditions which would entitle the Village to a
deed, as aforesaid, then all such controverted questions shall be submitted to ar-
bitration, the Owner to appoint one arbitrator and the Village one arbitrator and
the two to appoint an umpire, and the arbitration shall proceed and be made a rule
of court under the Statutes of Florida, and the parties shall abide by said decision
of said arbitrators and umpire.
