09-28-1988 Special MeetingMIAMI SHORES VILLAGE SPECIAL COUNCIL MEETING SEPTEMBER 28, 1988 A special meeting of the Miami Shores Village Council was held on Wednesday, September 28, 1988 In Village Hall commencing at 5:06 with the following members present: Mayor Spero Canton Mr. Stephen Loffredo Ms. Marty Stofik Dr. Robert Butler Ms. Karen Kirby Also present: Mr. Elly Johnson Mr. William Fann Mayor Canton called the meeting to order and explained the purpose of the meeting was to assign the Council's Interest in the Shores Theater lease to S.T.A.R.T.. Mr. Loffredo asked Ms. Pat Dahne of S.T.A.R.T. to explain what the situation was. Ms. Dahne explained the new group that would control the theater would be called Shores Performing Arts Theater Inc. (SPAT). She went on to say that she could not disclose the terms of the financial agreement until the agreement was signed. Mr. Loffredo asked Ms. Dahne what she wanted the Council to do. Mayor Canton stated that what they want Is for the Council to write a letter stating that the Village doesn't want to purchase the theater and that they are giving their lease option to SPAT. Dr. Butler asked Ms. Dahne If the Intent was to reimburse the Council for their financial Interests In the theater. Ms. Dahne replied that it was still the Intent. Mr. Loffredo stated that he feels $5,000 was not to be repaid and $10,000 was to be repaid in a year or two. Mayor Canton stated that the council was looking at two seperate Issues. The first that the Village Manager draft a letter to relinquish any claim to the theater and second, the repayment of the $10,000. Dr. Butler stated that he was concerned about what would happen If the Council releases their rights to the lease option and SPAT didn't get the lease. Mr. Loffredo made a motion that the Council direct Miami Shores Main Street to assign their rights under the option to the Shores Performing Arts Theater Inc. and that upon their being shown that assignment to the Village Manager that he be authorized to write a letter to whom it may concern and to all parties Involved waiving any further rights the Village may have under the lease option. I Page 2 Council Minutes September 28, 1988 Ms. Stofik seconded the motion and offered the following amendment: An additional letter be drafted by the Village Manager to go along with the packet addressed to Shores Performing Arts Theater Inc. informing them of the Council's directions to Main Street Inc. and expressing the Council's feeling that the Intent of this action also transfers to them the moral obligation to repay $10,000.
