12-15-1987 Regular MeetingREGULAR MEETING MIAMI SHORES VILLAGE COUNCIL DECEMBER 15, 1987 The regular meeting of the Miami Shores Village Council was held on Tuesday, December 15, 1987, at Village Hall commencing at 7:30 p.m. with the following members present: Mayor Spero Canton Stephen Loffredo Robert S. Butler, Jr. Karen Kirby Marty Stoflk Also Present Elly F. Johnson, Village Manager William F. Fann, Jr., Village Attorney The meeting began with Father Michael Hoyer, St Rose of Lima Catholic Church, giving the invocation followed by the Pledge of Allegiance. Mayor Canton presented a plaque to J. Robert Stobs, II in appreciation for his 12 years of service and leadership on the Planning and Zoning Board; 8 of these years were as Chairman. Mayor Canton announced the resignation of the Country Club General Manager had been rescinded by the Village Manager. MINUTES a. Regular Council Meeting 12/1/87. Mrs. Stoflk made a motion to approve the minutes as written. Dr. Butler second the motion and it passed unanimously. b. Special Council Meeting 11/25/87. Mr. Loffredo made a motion to approve the minutes as written. Dr. Butler second the motion and it passed unanimously. Receipt Acknowledged: c. Code Enforcement Board 12/3/87. d. Country Club Advisory Board 11/18/87. e. Downtown Revitalization Board 12/2/87. RECOMMENDATIONS OF THE BOND SELECTION COMMITTEE Mr. Johnson stated 5 bids for bond counsel and 3 bids for bond underwriter had been received. For bond counsel on the basis of total cost, the Committee recommended the contract be awarded to the number one ranked firm of the following top 3 ranked firms: 1. Freeman, Richardson, Watson and Kelly, P.A. Bid of $5,000 plus estimated $3,000 for out of pocket expenses. Total $8,000. 2. Fine, Jacobson, Schwartz, Nash, Black and England. Bid of $9,000 plus estimated $1,000 for out of pocket expenses. Total $10,000. 3. Holland and Knight. Bid of $9,500 total cost. (Original bid at time of ranking was $9,500 plus out of pocket expenses). For bond underwriter, the bids were ranked as follows: 1. William R. Hough and Company. Total bid price per bond (par value $1,000) $8 25. If $1,800,000 Is issued, cost would be $14,850. 2. Prudential-Bache Capltai"Funding. Total bid price per bond (par value $1,000) $9.25. If $1,800,000 Is issued, cost would be $16,650. Mr. Johnson advised if no bond is issued no fees would be paid. Items not covered by fees include city attorney fee, auditor fees, insurance, engineer fee, printing and mailing of the official statement, printing of the bonds, and trustee and paying agent fees. He stated the Council had the ability to negotiate with the firms in the order of their ranking. Richard Wise and Julie Williamson of Fine, Jacobson, Nash, Black and England, addressed the Council regarding the advantage of working with a local firm. Mr. Wise stated the bid cap would be $9,000 and offered another proposal to bill hourly for actual time spent. The fee would be the lesser of the two. For the record, Mrs. Stofik stated Holland and Knight was one of her clients. In keeping with the history of work- ing with firms In the city and county, Mrs. Stofik made a motion to proceed with negotiations with Fine, Jacobson as bond counsel. Dr. Butler second the motion. Mr. Loffredo recommended a cap or some provision on the actual fee. Dr. Butler stated the motion approved further negotiation with the Fine, Jacobson firm and did not present a binding obligation to the proposed fee. Mr. Johnson clarified the approval of the motion as a reranking of the firm from 2 to 1 for purposes of negotiation. Mrs. Kirby questioned the ranking/negotiation process as opposed to the usual sealed bid process. The motion passed unanimously with negotiations at a future time. At this time, Mr. Wise stated the fee would be the :lesser of the hourly basis or the bid cap of $9,000 plus a maximum of $1,000 in costs. Mrs. Williamson's time would be gratis. For bond underwriter, Mrs. Kirby made a motion to accept the contract with William R. Hough for the total bid price of $8.25 per $1000. Mr. Loffredo second the motion and asked Clark Bennett of William R. Hough for a cost estimate on the items not covered by the fee. Mr. Bennett stated Insurance would be the most expensive Item and other fees would be competitive. His estimate would be about the same as the total price the Council is committing to. The motion passed unanimously. VILLAGE MANAGER'S REPORT Country Club Financial Report. Mr. Johnson noted the revenue for the month of November was $142,693 compared to $131,591 for last November. The net profit Is $20,305 in the red compared to $45,485 last year. Country Club Membership Report. Membership is 1317, an Increase from last year's 1188. Investment Report. The average return for the month of October was 7.08% and for November 7.12% as compared to 8.06% last year at this time. Mr. Johnson announced the purchase of a Cushman Truck- ster for $6,589 under State bid and a waiver for still picture photography filming at 9325 N. Bayshore Drive. ANNOUNCEMENTS As noted on the Agenda. COUNCIL COMMENTS Mrs. Stofik clarified a misunderstanding about the naming of the C. Lawton McCall Community Center and wished everyone a happy holiday. Dr. Butler commended the Recreation Department and the Mayor's Community Task Force for the Tree Lighting Ceremony and wished everyone a happy holiday. Mr. Loffredo wished everyone a happy holiday. Mrs. Kirby wished everyone a happy holiday and encouraged everyone to see the Living Nativity at Miami Shores Presbyterian Church on December 17. Mayor Canton commented on the successful turn out for the Tree Lighting Ceremony. He announced the need for a bone marrow donor for Ann Koch, a resident. Blood tests will take place at Miami Country Day School on December 16. PUBLIC COMMENTS Dick Bezdek encouraged residents to attend the Living Nativity. Edith Donaldson, 1569 N.E. 104th Street, expressed appreciation for the rescinding of the Country Club Manager's resignation. Carol Griffin, 1576 N.E. 104th Street, thanked the Manager and Council for resolution of the Country Club matter. The meeting adjourned at 8:55 p. Spero Can Mayor ATTEST: Elly F.
