I A special meeting of the Council of Miami Shores Village j was called and held on December 1957s at the hour of 7 j o f clock. `I 1 All members of the Council were present, including the Village Attorney and Clerk. The meeting was called to order by Otto H. Goll, Mayor. It was noted by the Mayor that the meeting had been OW called for the purpose of canvassing the returns of election held November 29, 1937, relating to the Village Golf Course and the questions submitted to the qualified electors concerning the same.' Village as certified to by the Village Manager, was approved, the same being 170 in number, the Council finding that the same were legally qualified to participate in said election. Upon motion duly made, seconded and unanimously adopted and passed, after canvass of the returns duly made by the Council, the Council found the following votes to be cast in favor of and against the four questions submitted, as follows: FIRST QUESTION. By Ordinance No. 64 it is proposed that Miami Shores Village issue and sell its twenty Certificates of Indebtedness dated on or about December 1, 1937, for the principal sum of $10,000, payable in installments of $500 semi-annually over a period of ten years commencing one year after completion of the golf course contemplated by said Ordinance (hut not later than 22 months from the date of such certificates) together with interest at the rate of 4% per annum on the amounts of such Certificates from the date thereof until paid; that the proceeds of said Certificates be used to pay part of the cost of acquiring, constructing or maintaining said golf course; and that said Certificates be secured by the full faith and credit and taxing power of the Village. The form of said Certificates and other details are set out in said Ordinance No. 64. By Ordinance No. 64 it is proposed that the electors and property owners authorize and ratify a mortgage to Ethel M. Hauk, dated October 15, 1937, securing the sum of $20,000, payable on or before 20 years without interestand encumbering part of the lands purchased for the proposed Golf Course for said sum, described as follows: The Southwest Quarter of the Southeast Quarter of Section 31, Township 52 South, Range 42 East, in Dade County, Florida, excepting the subdivi- sion known as Golf View Estates according to the plat recorded in Plat Book 39, at page 89, public records of said County (co y of which is on file ' in the Village Office, which mortgage contains clauses that the said land will be the only security for said $20,000; for the Village to exempt said lands from taxes; to construct, and not to abandon, a Golf Course thereon; and other clauses, a copy of said mortgage being on file in the Village office. By Ordinance No. 64, it is proposed that Miami Shores Village execute and deliver to Bessemer Properties, Incorporated, subject to the mortgage to Ethel M. Hauk, a mortgage of the Golf Course and lands described therein and shown by the plat entitled It Miami Shores Golf & , Country Club" recorded in plat book , page , public records of Dade County (and on file in the Village office said mortgage to secure the sum of 1134,518, bei $60,000 for lands purchased for said Golf Course and for a loan of $74,518 to the Village used to acquire other lands and to construct and maintain such Golf Course, said mortgage to be payable in installments of $2,500 semi-annually commencing one year after completion of such Golf Course but commencing not later than twenty-two months from the date of said mortgage, with interest at 5% per annum from the date -of said mortgage until paid; payments on the Certificates of Indebtedness mentioned in the First Question stated above, to be credited on said mortgage; said mortgage to contain clauses making the Golf Course sole security for said $134,518 excepting said general Certificates of Indebtedness for $10,000 and interest; clauses for a continuing exemption of said Golf Course from takes; against abandonment thereof; for approval of budgets and expenditures, by the mortgagee; granting a franchise to the mortgagee or assigns to operate the Golf Course in event of and after a default under said mortgage; for insurance of buildings, for acceleration of all sums secured by l said mortgage, and for a receiver, upon default; for a 10% discount in charges to Miami Shores taxpayers and other clauses. By Ordinance No. 64 it is proposed to establish and provide for maintenance of an 18-hole golf course in Miami Shores Village as 1 I follows: to authorize and ratify the purchase of lands described in said Ordinance, for the sums therein stated; to construct a Golf Course, Club House and other facilities thereon, to issue said Certificates of Indebtedness for $10,000 and interest at 4f per annum; to ratify said mortgage for $20,000 to Ethel M. Hauk, to authorize said mortgage for $134,518 and interest at 5% per annum to Bessemer Properties, Incorporated; to approve the plat entitled "Miami Shores Golf & Country Club" prepared by John P. B. Ellis and darted October 25, 1937; to approve the golf course plans and specifications prepared by R. F. Lawrence; to employ R. F. Lawrence to supervise construction of said Golf Course at compensation of $5,000; to ratify a contract with and franchise to Miami Shores Golf and Country Club, Inc., a non-profit corporation, for operation of said Golf Course, Club House and facilities for 20 years; to make $1852 of improvements in Golf View Estates, a subdivision; to exempt said Golf Course from taxation; to appropriate the revenues from said Golf Course to maintenance and operations of said Golf Course and to payment of said mortgages; to vest the Golf Course Committee with control of finances and policies; and otherwise to es- tablish and provide for operation of said Golf Course upon the terms and conditions set forth in Ordinance No. 64 and in said mortgage, said proposed mortgage and said proposed operating contract and franchise. The Council further found that all laws of the State of Florida, and its Constitution, and laws and ordinances of the Village relating to said election had been duly complied with, abided by, and enforced, and that said election was regularly held and that said questions submitted to the qualified electors had met with the approval of the majority of said electors, and of a majority of property owners in assessed valuation. Upon motion duly made, seconded and unanimously adopted and passed, the Council authorized the Village Manager and Village Attorney, L I as well as the Mayor, to proceed forthwith in the execution of the proper instruments and mortgages, and the certificates of indebted- ness, and to do all things necessary to carry out the purport and intent of Ordinance No. 64 and all things in relation thereto.
