Notice to Owner— Workers' Compensation Insurance Exemption
Florida Law requires Workers' Compensation insurance coverage under Chapter 440 of the Florida Statutes. Fla. Stat. § 440.05
allows corporate officers in the construction industry to exempt themselves from this requirement for any construction project prior to
obtaining a building permit. Pursuant to the Florida Division of Workers'Compensation Employer Facts Brochure:
An employer in the construction industry who employs one or more part-time or full-time
employees,including the owner,must obtain workers'compensation coverage. Corporate officers
or members of a limited liability company (LLC) in the construction industry may elect to be
exempt if
1. The officer owns at least 10 percent of the stock of the corporation,or in the case of
an LLC,a statement attesting to the minimum 10 percent ownership;
2. The officer is listed as an officer of the corporation in the records of the Florida
Department of State,Division of Corporations;and
3. The corporation is registered and listed as active with the Florida Department of
State,Division of Corporations.
No more than three corporate officers per corporation or limited liability company members are
allowed to be exempt. Construction exemptions are valid for a period of two years or until a
voluntary revocation is filed or the exemption is revoked by the Division.
Your contractor is requesting a permit under this workers'compensation exemption and has acknowledge that he or she will not use
day labor,part-time employees or subcontractors for your project.The contractor has provided an affidavit stating that he or she will
be the only person allowed to work on your project.In these circumstances,Miami Shores Village does not require verification of
workers'compensation insurance cover the contractor's company for day labor,part-time employees or subcontractors.

1 4.1 Scope.As it pertains to the section,it is the responsibility of roofing contactor to provide the owner with
th required roofing permit,and to explain to the owner the content of the section.l The provisions of Section R4402

be renailed in accordance with the current provisions of Section R4403.(�he roof deck is usually

4. 5 Exposed Ceiling:Exposed,open beam ceilings are where a underside of the roof decking
can be viewed from Mow.The owner may wish to maintain the archit ral appearance;therefore,
roofing nail penetration of the underside of the decking may not be accep ble.This provides the option of
maintaining the appearance. j

INSTALLA71'CION REQUIREMENTS:
I. All nails in the deck shall be carefully checked for protruding heads. Re-fasten any loose decking panels,and
i
sweep the deck thoroughly to remove any dust and debris prior to application.
2. Place the underlayment over metal drip edge in accordance with RAS 111.
3. Place tike first course of membrane parallel to the eave,rolling the membrane to obtain maximum contact.
Remove the release film as the membrane is applied. All side laps shall be a minimum of 3-'/2"and end laps
shall be a minimum of 6". Roll the membrane into place after removing the release strip. Vertical strapping of
the ro6f with Polystick is acceptable. Membrane shall be back nailed in accordance with applicable building
code.
4. When;applying the membrane in the valley,start at the low point and work to the high point,rolling the
membj`ane from the center outward in both directions.
5. For ridge applications,center the membrane and roll from the center outward in both directions.
6. Roll ov broom the entire membrane surface so as to have full contact with the surface,giving special attention
to lap areas.
7. Flash vent pipes,stacks, chimneys and penetrations in compliance with Roof Assembly current Product Control
Notice',of Acceptance.
8. All protrusions or drains shall be initially taped with a 6"piece of underlayment. The flashing tape shall be
pressed in place and formed around the protrusion to ensure a tight fit. A second layer of Polystick shall be
applied over the underlayment.
GENERAL LIMITATIONS:
1. Fire cla!;ssification is not part of this acceptance.
2. Polystick MTS,Polystick MTS Plus, Polystick TU Plus,Polystick Tile Pro and Polystick Dual Pro may be used
in asphfjtic shingles,wood shakes and shingles,non-structural metal roofing,roof tile systems and quarry slate
roof ass;camblies.Polystick TU P may be used in all the previous assemblies listed except metal roofing.
Polystick IR-Xe may be used in all the previous assemblies listed except metal roofing and roof tile systems.
Polystick TU Max may be used in non-structural metal roofing and roof tile systems. Elastoflex S6 G may be
used in;roof tile systems only.
3. Deck requirements shall be in compliance with applicable building code.

POLYGLAS4i GENERAL APPLICATION GUIDELINES FOR POLYSTICK MEMBRANES:
I. Polyglas4 does accept the direct application of Polystick underlayment membranes to wood decks. Installers are
cautioned to refer to applicable local building codes prior to direct deck installation to ensure this is acceptable.
y Please also refer to applicable Product Data Sheets of the corresponding products.
• 2. All rolls,,with the exception of Polystick TU Plus should be back-nailed in selvage edge seam as per Polyglass
Back Nailing Guide. Nails shall be, 11 gauge ring shank type,applied with a minimum 1"metal disk as required
in Dade County or simplex type nail as otherwise allowable in other regions,at a minimum rate of 12"o.c.
Polystick;TU Plus should be back nailed in designated area marked"nail area,area para clavar"on the face of
membrane,with the above stated nails and/or disks.The head lap membrane is to cover the area being back-
nailed. (Please refer to applicable local building codes prior to installation.)
3. All seal lap seams(selvage laps)must be rolled with a hand roller to ensure full contact.
4. All fabric,over fabric; and granule over granule end laps,shall have a 6"wide,uniform layer of Polyglass
Polyplus X55 Premium Modified Flashing Cement,Polyglass Polyplus 50 Premium MB Flashing Cement,
XtraFlex.50 Premium Modified Wet/Dry Cement,Polyglass PG500 MB Flashing Cement,applied in between
the applitt-ation of the lap.The use of mastic between the laps does not apply to Polystick MTS.
5. A maximum of 6 tiles per stack are allowed when loading tile on the underlayments. Refer to the Polyglass Tile
Loading tiGuidelines. See General Limitations#9 and#10.
6. Battens and/or Counter-battens,as required by the tile manufacturers NOA's,must be used on all projects for
pitch/slol)es of 7712"or greater. It is suggested that on pitch/slopes in excess of 61/4"/12",precautions should
be taken,,such as the use of battens to prevent tile sliding during the loading process.
7. Minimum cure time after membrane installation&before loading of roofing tiles is Forty-Eight(48)Hours.
8. Polystick,membranes may not be used in any exposed application such as crickets, exposed valleys,or exposed
roof to will details.
9. Repair ofTolystick membranes is to be accomplished by applying Polyglass Polyplus 55 Premium Modified
Flashing!Cement,Polyglass Polyplus 50 Premium MB Flashing Cement,XtraFlex 50 Premium Modified
Wet/Dry,;Cement,Polyglass PG500 MB Flashing Cement to the area in need of repair,followed by a patch of the
Polystick,,material of like kind should be set and hand rolled in place over the area needing such repair.Patching
membrane shall be a minimum of 6 inches in either direction. The repair should be installed in such a way so
that wateir will run parallel to or over the top of all laps of the patch.
10. All self-adhered membranes must be rolled to ensure full contact with approved substrates. Polyglass requires a
minimum!of 40 lbs for a weighted roller for the rolling of the field membrane. Hand rollers are acceptable for
rolling of`patches or small areas of the roof. Brooming may be used where slope prohibits rolling.
11. All approved substrates should be dry,clean and properly prepared,before any application of Polystick
membranes commences. An approved substrate technical bulletin can be furnished upon request.It is•••••

INSTALLATION:
1. 3MTM 2-Component Foam Roof Tile Adhesive AH-160 may be used with any roof tile assembly having a current
NOA that lists uplift resistance values with the use of 3MTM 2-Component Foam Roof Tile Adhesive AH-160.
2. 3MTM 2-Component Foam Roof Tile Adhesive AH-160 shall be applied in compliance with the Component
Application section and the corresponding Placement Details noted herein. The roof tile assembly's adhesive
attachment with the use of 3MTM 2-Component Foam Roof Tile Adhesive AH-160 shall provide sufficient
attachment resistance,expressed as an uplift based system,to meet or exceed the uplift resistance determined in
compliance with Miami-Dade County Roofing Application Standards RAS 127. The adhesive attachment data is
noted in the roof tile assembly NOA.
3. 3MTM 2-Component Foam Roof Tile Adhesive AH-160 and its components shall be installed in accordance with
Roofing Application Standard RAS 120,and 3M Company's 3MTM 2-Component Foam Roof Tile Adhesive AH-
160 Operating Instruction and Maintenance Booklet.
4. Installation must be by a Factory Trained'Qualified Applicator'approved and licensed by 3M Company. 3M
Company shall supply a list of approved applicators to the authority having jurisdiction.
5. Calibration of the Foam Dispenser RTF 1000 dispensing equipment is required before application of any adhesive.
The mix ratio between the "A"component and the"B"component shall be maintained between 1.0-1.15 (A): 1.0
(B). The dispense timer shall be set to deliver 0.0175 to 0.15 pounds per tile as determined at calibration. No
other settings shall be approved.
6. 3MTM 2-Component Foam Roof Tile Adhesive AH-160 shall be applied with Foam Dispenser RTF 1000 or
ProPack®30& 100 dispensing equipment only.
7. 3MTM 2-Component Foam Roof Tile Adhesive AH-160 shall not be exposed permanently to sunlight.
8. Tiles must be adhered in freshly applied adhesive.Tile must be set within 2 to 3 minutes after 3MTM 2-
Component Foam Roof Tile Adhesive AH-160 has been dispensed.
9. 3MTM 2-Component Foam Roof Tile Adhesive AH-160 placement and minimum patty weight shall be in
accordance with the'Placement Details'herein. Each generic tile profile requires the specific placement noted
herein.

THIS ROOFING CONTRACTOR AGREEMENT the "Agreement") is made as f l
day of September 2015 (the "Agreement Date")by and among
A2Z Roofing Inc a 12411 NW 19th PI Coral Springs,FL 33071 corporation(the "Contractor"),
and
Trifecta Captial LLC 910 NE 2011 Ave fort Lauderdale,FL 33304
RECITALS
WHEREAS, Contractor has obtained contract from the Owner for the roofing work to be
performed for the property, whose description is stated in Schedule 1-Property; and
WHEREAS Owner desires certain work to be performed for the property as per the "Scope of
Work" specified in Schedule 2 and Contractor has agreed to perform such work for the property,
on the terms and conditions mentioned herein below;
Now,therefore,the Parties agree as follows:
1. SCOPE OF WORK
1.1 Contractor will perform the work as per specifications mention in Schedule 2-Scope of
Work.
1.2 Contractor will furnish all permits, labor, materials, equipment, apparatus, tools,
transportation and services necessary for the proper installation and completion of a roof
on the property. The scope of work includes removing and disposing of existing roofing
on the property; installing new roofing to cover the entire existing roof area as indicated
in the attached"Roof Plan".
2. QUALITY
2.1 Contractor shall use trained and experienced workmen having all necessary skills needed
to satisfactorily complete the work. Contractor shall finish the work on schedule.
2.2 Contractor shall guarantee all material to be as specified.
2.3 Contractor shall perform the work in a workmanlike manner according to industry
standard practices. Any deviation from agreed specifications, involving extra costs, will
be executed only after written confirmation of Contractor is obtained in advance.

3. PAYMENT
3.1 Owner shall pay an advance payment of 10% to Contractor 1 weeks prior to the
commencement of the work. Another payment of 25% will be paid, upon completion of
50%of the work. The balance of 65%will be paid upon full and satisfactory

4. INSURANCE
4.1 Prior to the execution of any work, Contractor will obtain General Liability Insurance and

5. WARRANTY& INDEMNITY
5.1 Contractor warrants the quality of all materials and workmanship for a period of five
years. Any defects in the materials or workmanship will be repaired or replaced at no cost
to Contractor.
5.2 Contractor shall defend, indemnify and hold harmless Contractor against all claims,
liabilities, expenses, costs, loss or damage of whatsoever nature (including legal costs on
a full indemnity basis incurred by Contractor) brought against, suffered or incurred by
Contractor, and defend any suit brought against Owner, arising out of or in connection
with this Agreement, including without prejudice to the generality of the foregoing:
a. Any breach of the terms and conditions of this Agreement by the Contractor;
b. Any act, omission, fraud and negligence or default whatsoever of Contractor,
employees or agents employed by Contractor to perform its obligations hereunder;
C. Any wrongful, incorrect, dishonest, criminal, fraudulent or negligent work,
misfeasance, bad faith, disregard of its duties and obligations hereunder, service,
act or omission of/by Contractor or any of its personnel.
6. TERM & TERMINATION
6.1 Term. This Agreement shall commence from the Commencement Date specified in
Schedule 1, and continue for a period of 1 years, unless terminated earlier by the
Contractor.
6.2 Termination. Contractor shall have the option to terminate this Agreement,
a. In the event that the Contractor fails to complete any part of the work on the
deadlines agreed with Contractor, and as agreed in Schedule 1;

b. In the event that the Contractor is in material breach of any of its covenants under
this Agreement and where capable of remedy, fails to remedy such breach within
fifteen(15) days of being notified by Contractor to remedy the breach.
6.3 Without prejudice to any other rights or remedies it may have, Contractor shall have the
right at any time to terminate the Agreement forthwith by serving a written notice of
termination on Contractor:
a. Contractor becomes insolvent or ceases to trade or enters into any composition
with its creditors; or
b. A bankruptcy order is made against Contractor; or
C. A Receiver or an Administrative Receiver is appointed in respect of any of
Contractor's assets; or
d. An order to wind up Contractor's business is made or a Liquidator is appointed in
respect of Contractor (otherwise than for the purposes of reconstruction or
amalgamation).
e. If Contractor is prevented from providing the services by any court, other judicial,
quasi-judicial, governmental orders, for any reasons attributable to Contractor.
6.4 Effect of Termination. Notwithstanding any other rights and remedies provided
elsewhere in the Agreement, on termination of this Agreement with effect from the
effective date of termination and thereafter:
a. Neither Party will represent the other Party in any of its dealings.
b. The expiration or termination of this Agreement for any reason whatsoever shall
not affect any obligation of either Party having accrued under the Agreement prior
to the expiration or termination of this Agreement and such expiration or
termination shall be without prejudice to any liabilities of either Party to the other
Party existing at the date of expiration or termination of this Agreement.
7. EXPENSES
7.1 Contractor agrees to bear all reasonable out-of-pocket expenses and costs (including
reasonable attorney and other professional fees and expenses) incurred in connection with
the transactions contemplated by Agreement.
8. ASSIGNMENT
8.1 This Agreement may not be assigned by Contractor without the prior written consent of
the Contractor. Subject to the foregoing, all of the terms and provisions of this Agreement
shall be binding upon and inure to the benefit of and be enforceable by the successors and
assigns of the parties. Any attempted assignment of this Agreement by the Contractor in
violation of this section shall be null and void.
9. MISCELLANEOUS
Flooring Contractor Services Agreement
9.1 Waiver. Any term or provision of this Agreement may be waived at any time by the party
entitled to the benefit thereof by a written instrument executed by such party.
9.2 Notices. Any notice, request, demand, waiver, consent, approval or other communication
which is required or permitted hereunder shall be in writing and shall be deemed given
only if delivered personally (to the attention of the person identified) to the address of
such person maintained on the book and records of the party sending the notice, or sent
by telecopy, telegram or by certified mail, postage prepaid, or to such other address as the
addressee may have specified in a notice duly given to the sender as provided herein.
Such notice, request, demand, waiver, consent, approval or other communication will be
deemed to have been given as of the date so delivered or telegraphed or, if mailed, three
business days after the date so mailed.
9.3 Governing Law. This Agreement shall be governed� and interpreted and enforced in
accordance with, the substantive laws of the State of ,,DS
9.4 No Benefit to Others. The representations, warranties, covenants and agreements
contained in this Agreement are for the sole benefit of the parties hereto and their
executors, legal representatives, successors and assigns, and they shall not be construed as
conferring and are not intended to confer any rights on any other persons.
9.5 Contents of Agreement. This Agreement together with any documents referred to herein
set forth the entire agreement of the parties hereto and supersede any prior agreement or
understanding of the parties with respect to the transactions contemplated hereby. This
Agreement may not be amended except by an instrument in writing signed by each of the
parties hereto, and no claimed amendment, modification, termination or waiver shall be
binding unless in writing and signed by the party against whom or which such claimed
amendment, modification,termination or waiver is sought to be enforced.
9.6 Severability. Any provision of this Agreement which is invalid or unenforceable in any
jurisdiction shall be ineffective to the extent of such invalidity or unenforceability without
invalidating or rendering unenforceable the remaining provisions hereof, and any such
invalidity or unenforceability in any jurisdiction shall not invalidate or render
unenforceable such provision in any other jurisdiction.
9.7 Counterparts. This Agreement may be executed in any number of counterparts, which
when taken together, shall constitute but one and the same instrument. Any and all
counterparts may be executed by facsimile.
10. DISPUTE RESOLUTION AND ARBITRATION
10.1 The Parties agree to negotiate in good faith to resolve any dispute between them arising
out of, under or in connection with this Agreement. In the event the negotiations do not
resolve the dispute to the reasonable satisfaction of the Parties, then each Party shall

nominate a person of respectable professional standing and unimpeachable conduct as its
representative. These representatives shall, within thirty (30) days of a written request by
any Party to call such a meeting, meet in person and shall attempt in good faith to resolve
the dispute.
10.2 Upon the Parties being unable to appoint the representatives as aforesaid, or if the
disputes cannot be resolved by such representatives in such meeting as aforesaid, then in
such an event, the disputes or differences shall be submitted to final and binding
arbitration at the request of either Party upon written notice to that effect to the other
Party. In the event of such arbitration:
a. Such arbitration shall be in accordance with the rules of American Arbitration
Association (or any amendment thereof) (which are deemed to be incorporated in
this Agreement by reference). All proceedings of such arbitration shall be in the
English language. The venue of arbitration shall be Rr,�.
b. The arbitration panel shall consist of three arbitrators, one arbitrator to be
appointed by each of the Parties and the third arbitrator to be appointed by two
arbitrators so appointed.
C. Arbitration awards rendered shall be final and binding and. The losing Party, as
determined by arbitrators, shall pay all reasonable out-of-pocket expenses
(including, without limitation, reasonable attorneys' fees) incurred by the
prevailing Party, as determined by the arbitrators, in connection with any dispute
unless the arbitrators direct otherwise.
d. Nothing shall preclude a Party from seeking interim or permanent equitable or
injunctive relief, or both, from any court having jurisdiction to grant the same.
The pursuit of equitable or injunctive relief shall not be a waiver of the duty of the
Parties to pursue any remedy for actual monetary damages through the arbitration
described in this Section.

Flooring Contractor Services Agreement
9.1 Waiver. Any term or provision of this Agreement may be waived at any time by the parry
entitled to the benefit thereof by a written instrument executed by such parry.
9.2 Notices. Any notice, request, demand, waiver, consent, approval or other communication
which is required or permitted hereunder shall be in writing and shall be deemed given
only if delivered personally (to the attention of the person identified) to the address of
such person maintained on the book and records of the party sending the notice, or sent
by telecopy, telegram or by certified mail, postage prepaid, or to such other address as the
addressee may have specified in a notice duly given to the sender as provided herein.
Such notice, request, demand, waiver, consent, approval or other communication will be
deemed to have been given as of the date so delivered or telegraphed or, if mailed, three
business days after the date so mailed.
9.3 Governing Law. This Agreement shall be governed and interpreted and enforced in
accordance with,the substantive laws of the State of .,r Is
9.4 No Benefit to Others. The representations, warranties, covenants and agreements
contained in this Agreement are for the sole benefit of the parties hereto and their
executors, legal representatives, successors and assigns, and they shall not be construed as
conferring and are not intended to confer any rights on any other persons.
9.5 Contents of Agreement. This Agreement together with any documents referred to herein
set forth the entire agreement of the parties hereto and supersede any prior agreement or
understanding of the parties with respect to the transactions contemplated hereby. This
Agreement may not be amended except by an instrument in writing signed by each of the
parties hereto, and no claimed amendment, modification, termination or waiver shall be
binding unless in writing and signed by the parry against whom or which such claimed
amendment, modification,termination or waiver is sought to be enforced.
9.6 Severability. Any provision of this Agreement which is invalid or unenforceable in any
jurisdiction shall be ineffective to the extent of such invalidity or unenforceability without
invalidating or rendering unenforceable the remaining provisions hereof, and any such
invalidity or unenforceability in any jurisdiction shall not invalidate or render
unenforceable such provision in any other jurisdiction.
9.7 Counterparts. This Agreement may be executed in any number of counterparts, which
when taken together, shall constitute but one and the same instrument. Any and all
counterparts may be executed by facsimile.
10. DISPUTE RESOLUTION AND ARBITRATION
10.1 The Parties agree to negotiate in good faith to resolve any dispute between them arising
out of, under or in connection with this Agreement. In the event the negotiations do not
resolve the dispute to the reasonable satisfaction of the Parties, then each Party shall

nominate a person of respectable professional standing and unimpeachable conduct as its
representative. These representatives shall, within thirty (30) days of a written request by
any Party to call such a meeting, meet in person and shall attempt in good faith to resolve
the dispute.
10.2 Upon the Parties being unable to appoint the representatives as aforesaid, or if the
disputes cannot be resolved by such representatives in such meeting as aforesaid, then in
such an event, the disputes or differences shall be submitted to final and binding
arbitration at the request of either Party upon written notice to that effect to the other
Party. In the event of such arbitration:
a. Such arbitration shall be in accordance with the rules of American Arbitration
Association (or any amendment thereof) (which are deemed to be incorporated in
this Agreement by reference). All proceedings of such ar 'tration shall be in the
English language. The venue of arbitration shall be .
b. The arbitration panel shall consist of three arbitrators, one arbitrator to be
appointed by each of the Parties and the third arbitrator to be appointed by two
arbitrators so appointed.
C. Arbitration awards rendered shall be final and binding and. The losing Party, as
determined by arbitrators, shall pay all reasonable out-of-pocket expenses
(including, without limitation, reasonable attorneys' fees) incurred by the
prevailing Party, as determined by the arbitrators, in connection with any dispute
unless the arbitrators direct otherwise.
d. Nothing shall preclude a Parry from seeking interim or permanent equitable or
injunctive relief, or both, from any court having jurisdiction to grant the same.
The pursuit of equitable or injunctive relief shall not be a waiver of the duty of the
Parties to pursue any remedy for actual monetary damages through the arbitration
described in this Section.
