General Contract Terms:
50 % deposit on materials, tax & permit processing fee required to initiate order.
* Materials balance is payable COD (personal checks ok) upon delivery of job materials to jobsite.
Balance of materials, tax & permit fee must be paid in full prior to commencement of installation.
* 75% of Installation fees are payable upon completion of installation, with progress payments due on
Fridays.
* 25% of installation fees are payable upon passing building department final inspection, with the
exception if client's and (or) homeowner's other construction or improvement projects prevent SRW & D,
Inc. from calling inspection immediately,then payment in full is due upon SRW & D, Inc. completing the
work pursuant to this contract.
* All windows and doors are custom made to order whether or not they may be a "standard" size.
* Deposits for custom window & door orders are non -cancelable and non-refundable once the order has
been executed with the manufacturer and a sales order acknowledgement has been issued. Orders
cancelled for any reason prior to issuance of a sales order acknowledgement will be subject to an
administrative fee in the amount of 15% of the total contract amount.
* Upon signing the sales contract, the customer represents that they are either the owner of the subject
property or the general contractor authorized by the owner to place the order.
* Order is sold & shipped FOB Miami, FL.
* Lead time estimated to be 6 - S weeks for delivery of materials, 5 days for installation, stucco
touch-up & cleanup.
* Customers will be notified in advance of the delivery date, and will be given a reminder 24 hours before
the delivery.
* Customers are expected to accept (receive) delivery and pay any outstanding balance owed on their
designated delivery date.
* Customers who fail to receive (and pay for) the merchandise ordered pursuant to this contract on their
designated delivery date will have their merchandise immediately transferred to a third party
warehouse. Merchandise transferred to a 3rd party storage facility will be subject to a minimum handling
fee of $250.00, and storage fees in the amount of 10% of the contract amount shall accrue monthly. All
unpaid balances (including installation fees) shall accrue interest at 2% per month or the highest legal
annual percentage rate. Check(s), Credit Card or Finance charges disputed for any
reason, will result in a lien being filed on the subject property. All costs of collection involved shall be paid
by the customer including reasonable attorney's fees. In the event of litigation between customer & SRW
& D, Inc., the prevailing party shall be entitled to recovery of all attorneys fees and court costs.
* Title to materials delivered and or in storage pursuant to the customer's order shall remain in the name
of S R W & D, Inc. Until same is paid in full and the customer waives all right to homestead and other
exemption under State Law applicable.
* Due to the custom nature of the product, lead times are estimated and cannot be guaranteed.
* SRW & D, Inc. shall not be responsible for any delays in deliveries or installations resulting from strikes,
labor difficulties,fire or any other casualty or cause beyond its control and as such shall not be
responsible to pay any fines , late fees or costs related to job timing.
* Local delivery charges may apply. Freight and (or) delivery is not included unless specifically noted
above.

General contract terms continued:
*Contract price does not include permit or inspection fees, windload analysis, site specific engineering or architectural drafting,
unless specifically noted above. Installation is only included when specifically quoted and described by line item(s) in the
description section of the quote # referenced above. SRW & D, Inc. will not be liable for any cost of site specific or other engineering
cost incurred for any reason. Customer acknowledges that they have received a copy of product warranty and agree to be bound by
it's terms. If customer is not the end user, Customer agrees to forward a copy of the warranty to the end user. Payment of materials
and labor may not be withheld due to incomplete warranty work. Any damage to the merchandise from handling in delivery must be
noted in writing on the delivery packing list. Any apparent defect or discrepancy must be reported in writing to SRW& D, Inc. within 1
week of delivery. Customer acknowledges that any warranty work will be performed by the manufacturer's designated repair crew,
not SRW & D, Inc. SRW & D, Inc. does not independently warrantee products it does not manufacture. Labor performed by SRW &
D, Inc. is guaranteed for 1 year, with the exception that SRW & D, Inc. is not responsible for any substrate and or construction
materials failures that may cause leakage. Although care is taken to minimize damage to surrounding finishes, SRW & D, Inc. shall
not be responsible for damage to walls, floors, sills, tiles, countertops, window treatments, awnings or alarm systems caused by the
removal and or installation of windows, doors or shutters.Paint, stucco, plaster, drywall or any other finish repair is only included in
this contract if described in the attached quote above.For new construction jobs, woodbuck & perimeter caulking is by others. SRW
& D, Inc, will not be responsible for any structural deficiency that prevents a passing window or door inspection, such as concrete
cells that may not be filled or wood frame walls that are not up to current code. If any unforseen condition arises during the removal
and or installation of windows and or doors pursuant to this contract that could not have reasonably been detected prior to
estimating the cost of the job and such unforseen condition necessitates additional construction materials and or labor to finish the
job, SRW &D Inc. will notify the customer in writing. Upon customer acceptance of any necessary additional costs, customer agrees
to reimburse SRW & D, Inc. for such materials and additional labor, which may include additional overhead and a reasonable profit.
*If an unforseen condition arises that requires structural work beyond the scope of SRW & D, Inc.'s license, SRW &D, Inc. will
notify the customer in writing within 7 days and work pursuant to this contract will stop until such structural deficiency is rectified by
the homeowner. Such stoppage of work shall not constitute contractual default by SRW &D, Inc.
If your home was built in or prior to 1978 and if lead contamination is found, EPA regulations stipulate compliance with lead -safe
work practices as relates to preparation of the work area and cleanup. If lead -safe work practices are required for your home,
additional fees will be applicable to your contract which include payment for lead containment & clean-up materials, additional labor

If SRW & D, Inc. is cited for an expired permit due to propertyowner's and (or) customer's failure to be present for required

It is the customer's and (or) homeowner's responsibility to inform SRW & D, Inc. in writing within 72 hours of contract signing if the
property where work is to be performed and (or) products to be supplied is historical. In the absense of such notification, SRW& D,
Inc. shall not be responsible if windows and doors sold pursuant to this contract are not in compliance with local historic building
codes.
SRW & D, Inc. may at it's sole discretion, unilaterally withdraw from and cancel any contract where historical status was not
disclosed. Correct usage of historic windows & doors is to be determined by an architect or engineer, check with your building
department.
` Hardware for French or entry doors is not included in the cost of the doors. For All other types of doors, if hardware is included it
will be specifically noted in product brochures or technical specifications available from the manufacturer. SRW & D, Inc shall not be
responsible for any other hardware not specifically included and noted in the contract or quote referenced above.

Product Control Section to be used in Miami—Dade County and other areas where allowed by the
Authority Having Jurisdiction (AHJ).
