Dear Sirs: As requested, I conducted an interior and exterior physical inspection on the property located at 1360 NE 103 Street, Miami Shores, Florida, in order to provide you with a depreciated replacement cost calculation for the improvements on this property. This letter is intended to estimate a depreciated replacement cost as of 9/22/2011. This letter is intended as a limited appraisal of this property. The only intended purpose is to provide a depreciated replacement cost calculation for the reconstruction of the existing structure and improvements. As a result, neither a sales comparison approach nor an income capitalization approach to estimate a current market value were requested or have been included with this letter. Addi- tionally, a land value of the subject site was NOT requested or conducted. As noted, both an interior and exterior physical inspection of the subject property and structures was conducted. No other inspection reports were provided regarding the amenities andacondition of the property. Also, NO other data or reports (e.g. structural, environ- mental, etc) were provided regarding the condition of the property. Also, a copy of a survey was NOT provided. FAX (305) 598 -5271 VOICE PAGER (305) 342 -1390 The intended user, use and function of this letter is to provide you and ArchiQuadra, P.A. with an estimate of the depreciated replacement cost of the existing structures and improvements for an assumed reconstruction /renovation of the existing structures and improvements. The Appraiser was informed that this letter would be presented to the City of Miami Shores for a planned renovation of the property. In conducting this depreciated replacement cost calculation, the Appraiser has assumed that the existing subject property has all of the required municipal approvals, certificates of occupancy and use, and is in conformance with all of the required municipal standards. NO investigation has been conducted to determine if any of these requirements exist. It is also important to recognize that in estimating the depreciated replacement cost for the existing structures and improvements, the Appraiser must consider and include ALL of the current Miami -Dade County and City of Miami Shores building codes in the depreciated replacement cost calculations. Additionally, as a water front property, there are State of Florida and the Federal Government regulations that need to be followed and permitting that needs to be obtained. All of these current codes, rules and regulations add a significant cost to the reconstruction of the existing structures as compared to the codes that were in place at the time the existing structures were originally built. A primary consideration in estimating the depreciated replacement cost for the subject property is that it is located on the south side of NE 103 Street and has a direct frontage on a canal that leads to Biscayne Bay. As a result, the subject structures and improvements on the subject site require piling for the foundation. This significantly increases the construction costs. The information listed in the Miamidade.gov access to the county tax roll data shows that the subject property consists of an existing 1 story, single family house that was constructed in 1956. The data shows that the house is listed as having 4 bedrooms and 4 bathrooms, and an `adjusted square footage' of 3,521 square feet. Based on the dimensions that were taken at the time of inspection, the house is a 1 story structure with a total of 3,147.5 square feet of air conditioned space. There is three (3) full bedrooms, four (4) bathrooms plus a M bathroom. One of the full bathrooms is located in the garage. The house also has a built -in 2 car garage with 537.5 square feet. There is a laundry area attached to the side (house) wall in the interior of the garage, and there is also a small but full bathroom attached to the rear (house) wall in the interior of the garage. page 2 There is also a recessed front entrance to the house with 30 square feet. There is also an attached storage building with 60 square feet attached to the east side of the house, and an additional 244 square feet of covered overhang. Attached to the rear (south side) of the house, there is a large open brick patio area with a built -in pool. The pool and patio area has approximately 1,060 square feet. There is also an attached brick walkway with approximately 216 square feet along the entire west side of the house. At the front of the house and garage, there was a circular driveway. The house structure and the garage have a CBS style of construc- tion. There is barrel tile roofing over the entire house. The house has newer sliding style windows, four wood double French doors along the rear of the house to access the rear patio. There was a variety of modern ceramic tile flooring in the entire interior of the house. There is also combination of plaster and drywall interior walls and ceilings, with crown molding in the bedrooms, living room and dining room. All of the rooms (except the bathrooms) have modern recessed lighting fixtures. There is one (1) newer central air conditioning system for the entire house plus a separate custom air conditioning system for the rear master bedroom. The bathrooms have ceramic tile on the flooring and wainscot. There is also a whirlpool tub in the master bathroom. The house has a variety of quality interior finishes and a good quality craftsmanship. The kitchen was remodeled and had solid wood cabinets and granite counters and back splash. Also noted, there is crown molding in the bedrooms, living room and dining room. All of the rooms (except the bathrooms) have modern recessed lighting fixtures. There is also one (1) newer central air conditioning system for the entire house plus a separate custom air conditioning system for the rear master bedroom. The house has newer sliding style windows, four wood double French doors along the rear of the house to access the rear patio. The electric system was also updated and includes modern recessed lighting fixtures, Decora plugs and switches. As a result this remodeling, the house was considered to have a good overall condition with modern amenities. The county tax rolls show that the site has a total land size of 10,170 square feet. The property has municipal water and a septic system. The property is located at the south side of NE 103 Street. As a result, it HAS a 90 foot water frontage across the rear of the site. Additionally, the rear of the site has a concrete sea wall with davits, a floating wood dock and a fixed metal dock with a lift. page 3 The Cost Approach is a method to estimate a value in which the estimated reproduction cost for the reconstruction of the existing buildings and all site improvements, (or the construction cost of a new or proposed building), less the estimated depreciation, are estimated and added to arrive at a current depreciated replacement cost (i.e. value) of the structure. The use and accuracy of the Cost Approach is most applicable for a newer structure as there is usually a limited physical depre- ciation, and typically a limited or no functional or economic depreciation (obsolescence). Thus, these items can more easily and accurately be estimated. This results in a more accurate estimation of a market value or depreciated replacement cost. The tax rolls show that the building /improvements were built in 1956. Due to this age, there could be some difficulty in estimating the total accrued depreciation. However, the Appraiser has noted that the house was in good condition and has had a variety of recent remodeling. As a result, it has a modern appearance and utility. As noted, this letter is intended as a limited appraisal of this property with the only intended purpose being to provide a depreciated replacement cost calculation for the reconstruction of the existing structures and improvements. As a result, neither a sales comparison approach nor an income capitalization approach to estimate a current market value have been requested or included with this letter. The Marshall and Swift Valuation Service was used as a guide in the calculations. However, I have also and primarily relied on conver- sations and information that was provided by local builders, contractors and architects regarding local costs. The Appraiser was informed that the owners are currently in the process of a remodeling of the existing structure. For this letter, the depreciated replacement cost calculation reflects the cost to rebuild the existing structure with the same layout, utility and quality as the existing structures. REPLACEMENT COST CALCULATION The cost estimate is based on the current construction codes and requirements that a builder would need to follow to rebuild the existing structures. These include: CBS structures with a piling support foundation, barrel tile roofing, windows with hurricane shutters or hurricane impact resistant windows, two central air conditioning units for the entire living area, new electric wiring /service and fixtures, new plumbing service and fixtures, page 4 current insulation and fire retardation standards, etc, as well as ALL of the custom materials that would be necessary to replace (rebuild) the existing custom features in the house. The cost calculations must also necessarily include all of the material costs and the typical contractor and sub- contractor costs that would necessarily be incurred and would need to be paid to replace (i.e. rebuild) the existing structures. Further, given the quality and location of the property, the cost calculations also include an additional 10o cost factor for the numerous miscellaneous expenses and changes that normally and typically arise during the (re)construction process. As instructed, the cost calculations do NOT include any costs that would normally be incurred for the removal of any existing lead based paint and any other potential environmental contaminants that may exist in the structures given that they were constructed in 1956. Also, the Appraiser has NOT included any demolition costs that would be incurred to demolish the existing structures and to prepare the site for the (re)construction of the existing struc- tures. Additionally, a land value was NOT included. Also, NO costs were included for the landscaping, fencing, concrete sea wall, boat lifts, davits, etc. The replacement construction cost estimate per square foot includes all of the costs that have been referenced above and which would be incurred for the reconstruction of the existing structures in their current use and layout. TERMS AND CONDITIONS' ARTICLE 1 GENERAL PROVISIONS §1.1 BASIC DEFINITIONS' § 1.1:1 The Contract Documents consist of this Agreement to the Builder's Estimate dated 07/29111, written addenda to the Estimate 1 identified in Article 12, the Construction Documents provided by the Client plans dated June 23, 2011, in conformance with the scope of work in the Estimate and Modifications issued after execution of this Agreement. Consiauction not conforming to these; guidelines, including substitutions not properly approved by the Client, shall be corrected in accordAnce with Article 8. § 3.2.9 The Builder shall pay all sales, consumer, use and similar taxes which had been legally enacted at the time the Builder's Estimate was first submitted to the Client for the duration ofthis project. § 3.2.10 The Builder shall comply with and give notices required by laws, ordinances, rules, regulations and lawful orders of public authorities relating to the Project. § 3.2.11 At the completion of the Work, the Builder shall remove from the site waste materials, rubbish, the Builder's tools, construction equipment, machinery, and surplus materials, and shall provide a final cleaning of Project so thatthe Project is left in clean condition, free of all construction debris and swept clean. 32.12 The Builder shall be responsible for providing as -built drawings, a set ofreproduciblerecord documents or electronic data showing significant changes in the Work made during the construction. § 3.3 ADDITIONAL SERVICES § 33.1 The services described in this Section 3.3 are not included in Basic Services unless so identified in Article 12, and they shall be paid for by the Client as provided in this Agreement, in addition to the compensation for Basic Services. The services described inthis' Section 33 shall be provided only if authorized or confirmed in writing by the Client. § 3.3.2 Making revisions in drawings, specifications, and other documents or electronic data when such revisions are required bythe enactment or revision of codes, laws or regulations or client's changes subsequent to the preparation of such documents or electronic data. § 3.3.3 Providing consultation concerning replacement of Work damaged by fire or other cause during construction, and furnishing services required in connection with the replacement of such Work. § 3.3.4 Providing services in connection with a public hearings arbitration proceeding or legal proceeding, except where the Builder is a party thereto: § 3.3.5 Providing coordination of performed by the Client's own forces or separate contractors employed by the Client, and coordination of services required in connection with construction performed and equipment supplied by the Client. § 3.3.6 Deleted § 3.3.7 Providing and paying for currier, postage and additional reproduction of documents. ARTICLE '4 TIME § 4.1 Unless otherwise indicated, the Client and the Builder shall perform their respective obligations as expeditiously as is consistent with reasonable skill and care and the orderly progress of the Project § 4.2 Deleted § 4.3 The Demolition work to be performed under this Agreement shall commence within 7 days from the Builder's receipt of Mobilization payment and required permit(s). Remodeling work to be performed under this Agreement shall commence after the Builder's receipt of client's approved plan's and Building permit(s) representing the scope of work as describe in Article 3 and Article 12 of this agreement. Any discrepancies in the scope of work may cause a delay in the commencement of work. Delays caused by the permit revision process are not the responsibility of the Builder and such time shall be automatically added to the Builders delivery schedule. Estimated Delivery of the Remodeling scope of work is 105 days,(roughfy3.5 Months) from the date the building permit is issued. § 4.4 Substantial Completion is the stage in the :progress of Work when the Work or designated portion thereof is sufficiently complete in accordance with the Contract'Docnments and final inspections are approved for the Project. § 4.5 if The Builder is delayed at any time in the progress of the Work by an act or neglect of Client, Client's employees, or- separate contractors employed by the Client, or by changes ordered in the Work, or by labor disputes, fire, unusual delay in deliveries, adverse weather - conditions not reasonably anticipatable, unavoidable casualties or other causes beyond the Builder's control, or by delay authorized by the Client pending arbitration, or by other causes which the Client and Builder agree, may justify delay, then the Contract Time shall be reasonably extended by Change Order. § 4.6 Any delays caused by the Client during the project, including work stoppage due to lateness of payment (unless; payment has been justifiably heldback or suspended by Client in accordance with the terms of Agreement),' delivery of materials, or any reason as caused by any other than the Builder, the delay shall be reimbursed to the Builder monetarily and/or in time 'If the delay causes the Builder to discontinue work for more than five (5) business days, the builder shall demobilize and re-mobilize within five (5) business days from receipt of client's written: notice to continue. Mobilization payment shall be equally credited to the cost to the respective items listed in the Builder's estimate dated 07/29/11 once the scope rework is completed. vy,„ § 5.2 PROGRESS PAYMENTS § 5.2.1 The Builder shall deliver to the Client, bi-weekly, an Invoice (Application) for Progress Payments as scheduled in Article llfor the remainder balance after Mobilization payment. Contract Modifications, Change Orders, Change Directives or any other cause which creates an increase to the Contract Amount shall be billed per percentage completed within that payment period. Contract Modifications, Change Orders, Change Directives or any other cause which creates adecrease to the Contract Amount shall be credited in equal portion within the remaining payment periods. § 5.2.2 Within five ( 5 ) days of the Clients or Client's Representative receipt of an Application for Payment, the Client or Client's Representative shall approve the Application, the Client shall make payment to Builder within one (1) day ofthe approval of the Application for payment. Any item in the Application not approved shall be excluded from the Application for that period and shall be added to the next immediate Application upon resolution of the dispute. § 5.23 The Application for Payment shall constitute a representation by the Builder to the Client that the design and construction have progressed to the point indicated, the quality of the Work covered by the application is in accordance with the Contract Documents, and the Builder is entitled to payment in the amount requested. § 5.2.4 Upon receipt of payment from the Client, the Builder shall promptly pay each contractor, material man, or subcontractor the amount to which each is entitled in accordance with the terms of their respective contracts, and the Builder shall within three (3) business days from the date payment to the Builder is made provide the Client with Partial Releases from each such contractor, material man, or subcontractor. Builder's failure to provide such Partial Releases shall entitle Client to holdback any future payments due Builder until such Partial Releases are provided. § 5.2.5 Deleted § 52.6 The Builder warrants that title to all construction covered by an Application for Payment will pass to the Client no later than the time of payment The Builder further warrants that upon submittal of an Application for Payment all construction for whichpayments have been received from the Client shall be free and clear of liens, claims, security interests or encumbrances in favor of the Builder o any other person material men, or entity performing construction at the site or furnishing materials or equipment relatingto the construction. § 5.3 FINAL PAYMENTS § 5.3.1 When the Work has been completed, the contact fully performed, the final inspection made and the Certificate of Occupancy issued, the Builder shall submit a final Application for Payment to the Client and deliver a Final Release of Lien in accordance with Florida Statutes § 713.20 and a Contractor's Final Payment Affidavit in accordance with Florida Statutes §713.06, and final releases from all contactors, material men, and subcontractors as a condition to Client making final payment within 5 business days of receipt and record it in the clerk of court: satisfaction of Lien. § 5.32 Subject to Paragraph 8.2 providing for a one (1) year vvarranty ofthe Work, the making of fmal payment shall constitute a waiver of claims by the Client except those arising from .1 liens, claims, security interests or encumbrances arising out of the Contract and unsettled; .2 failure of the Work to comply with the requirements of the Contract Documents, or .3 teams of special warranties required by the Contract Documents. § 5.3.3 Acceptance of final payment shall constitute a waiver of all claims by the Builder except those previously made in writing and identified by the Builder as unsettled at the time of final Application for Payment. § 5.3.4 Final Request for payment will not be made until the Contractor delivers to the Client a fidl and final release of liens from the Contractor and its Subcontractors up to the most recent payment made by the Client. § 5.4 INTEREST PAYMENTS § 5.4.1 Payments due the Builder under this Agreement which -are not paid when due shall bear interest from the date due at the rate specified in Article I lin addition to 5100 daily administrative fre. ARTICLE 6 INSURANCE § 6.1 BUILDER'S UABILITY INSURANCE § 6.1.1 The Builder shall purchase from and maintain, in a company or companies lawfully authorized to do business in die jurisdiction in which the Project is located, such insurance as will protect the Builder from claims set forth below which may arise out of or result from operations under this Agreement by the Builder or by a contractor of the Builder, or by anyone directly or indirectly employed by any of them, or by anyone for whose acts any of may be liable: .1 claims under workers' compensation, disability benefit and other similar employee benefit laws that are applicable to the Work to be performed; 2 claims involving contractual liability insurance applicable to the Builder's obligations under Section 9. § 6.1.2 Certificates of acceptable to the Client shall be delivered to the Client the next business day after execution of this Agreement. These Certificates and the insurance policies required by this Section 6.1 shall contain a provision that the policies will not be canceled or allowed to expire until at least 30 days' prior written notice has been given to the Client. If any of the foregoing insurance coverages are required to remain in force after final payment, an additional certificate evidencing continuation of such coverage shall be submitted with the application for final payment. § 6.2 CLIENT'S LIABILITY INSURANCE § 6.2.1 The Client shall be responsible for purchasing and maintaining the Client's usual liability insurance. ARTICLE 7 CHANGES IN THE WORK § 7.1 CHANGES § 7.1.1 Changes in the Work may be accomplished after execution of this Agreement, without invalidating this Agreement, by Change Order, Construction Change Directive, or order for a minor change in the Work, subject to the limitations stated in the Contract Documents. § 7.1.2 A Change Order shall be based upon agreement between the Client and the Builder; a Construction Change Directive may issued by the Client without the agreement ofthe Builder. § 7.1.3 If unit prices are stated in the Contract Documents or subsequently agreed upon, and if quantities originally contemplated are so changed in a proposed Change Order or Construction Change Directive that application of such unit prices to quantities of Work proposed will cause substantial inequity to the Client or the Builder, the applicable unit prices shall -be equitably adjusted. § 7.2 CHANGE ORDERS 72.1 A Change Order is a written instrument prepared by the Builder and signed by the Client and the Builder, stating their agreemen upon all of the following: .1 a change in the Work; 2 the amount of the adjustment, if any, in Contract Sum; and :3 the extent of the adjustment, if any, in the Contract Time. § 7.2.2 Deleted § 7.3 CONSTRUCTION CHANGE DIRECTIVES § 7.3.1 A Construction Change Directive is a written order prepared and signed by the Client, directing a change in the Work prior to agreement on adjustment, if any in the Contract Sum or Contract Time or both. 7.3.2 Except as otherwise agreed by the Client and the Builder, the adjustment to the Contract Sum shall be determined on;thebasis of reasonable expenditures and savings of performing the Work attributable to the change, including the expenditures for design services and revisions to the Contract Documents. In case of all increase in the Contract Sum, the cost shall include a reasonable allowance for overhead and profit. Unless otherwise provided in the Contract Documents, costs forthese purposes shall be limited to the following: .1 costs of labor, including social security, old age and unemployment insurance, fringe benefits required by agreement or custom, and workers' compensation insurance; .2 costs of materials, supplies and equipment, including cost of transportation, whether incorporated or consumed; .3 rental costs of machinery and equipment exclusive of hand tools, whether rented from the Builder or others; .4 additional costs of supervision and field office personnel directly attributable to the change; and fees paid to the Architect, engineers and other professionals. § 7.3.3 Pending final determination of cost to the Client, amounts not in dispute maybe included in Applications for Payment. The amount =of credit to be allowed by the Builder to the Client for deletion or change which results in a net decrease in the Contract Sum will be actual net cost. When both additions and credits covering related Work or substitutions are involved in a change, the allowance for overhead and profit shall be figured on the basis of the net increase, if any, with respect to that change. 7.3.4 When the Client and the Builder agree upon the adjustments in the Contract Sum and Contract Time, such agreement shall be effective immediately and shall be recorded by preparation and execution of an appropriate Change Order. § 7.4 MINOR CHANGES IN THE WORK § 7.4.1 Deleted § 7.5 CONCEALED CONDITIONS EnvIromentatinspection at: the .building § 7.5:1 If conditions are encountered at the site which are (1) subsurface or otherwise concealed physical conditions which differ materially from those indicated in the Contract Documents, or (2) unknown physical conditions of an unusual nature which differ materially from those ordinarily found to exist and generally recognized as inherent in construction activities of character provided for in the Contract Documents, then notice by the observing party shall be given to the other party promptly before conditions -are disturbed and in no event later than 5 days after first observance of the conditions. The Contract Sum shall be equitably adjusted for such concealed or unknown conditions by Change Order upon claim by either party made within 5 days after the claimant becomes aware of the conditions. 7.6 REGULATORY CHANGES § 7.6.1 All the permits acquired should be according of codes and the work too. ARTICLE 8 CORRECTION! OF WORK § 8.1 The Builder shall promptly correct Work rejected by the Client or known by the Builder to be defective or failing to conform to the requirements of the Contract Documents, whether observed before or after Substantial Completion and whether or not fabricated, installed or completed. The Builder shall bear costs of correcting such rejected Work, including additional testing and inspections. § 8.2 If, within one (1) year after the date of Substantial Completion of the Work or, after the date for . commencement of warranties established in a written agreement between the Client and the Builder, or by terms of an applicable special warranty required by the Contract Documents, any of the Work is found to be not in accordance with the requirements of the Contract Documents, the Builder shall correct it promptly after receipt of a written notice from the Client to do so unless the Clientbas previously given the Design/ Builder a written acceptance of such condition. ARTICLE 9 MISCELLANEOUS PROVISIONS § 91 Unless otherwise provided, this Agreement shall be governed by the law of the place where the Project is located. § 9.1.1 Any controversy or claim arising out of or relating to this Agreement or the breach thereof shall be settled by arbitration administered by the American Arbitration Association under its Construction Industry Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. § 9.1.2 Both parties agree to arbitrate using an Arbitrator certified by the State of Florida and arbitration will take place in Miami ]Dade County. § 9.1.3 The parties shall share the Arbitrator's fee and any filing fees equally. Agreements reached in arbitration shall be enforceable as settlement agreements in any court having jurisdiction thereof. § 9.2 CLAIMS FOR DAMAGES § 9.2.1 If either party to this Agreement suffers injury or damage to person or property because of an act or omission of the other party, of any of the other party's employees or agents, or of others for whose acts such party is legally liable, written notice of such injury or damage, whether or not insured, shall be given to the other party within a reasonable time not exceeding 21 days after first observance. The notice shall provide sufficient detail to enable the other party to investigate the matter. If claim of additional cost or time related to this claim is to be asserted, it shall be filed in writing:' § 9.3 SUCCESSORS AND ASSIGNS § 9.3.1 The Client and Builder, respectively, bind themselves, their partners, successors, assigns and legal representatives to the other party to this Agreement and to the partners, successors and assigns of such other party with respect to all covenants of this Agreement. Neither the Client nor the Builder shall assign this Agreement without the written consent of other. The Client may assign this Agreement to any institutional lender providing construction financing, and the Builder agrees to execute all consents reasonably required to facilitate such an assignment. If either party makes such an assignment, that party shall nevertheless remain legally responsible for all obligations under this Agreement, unless otherwise agreed by the other party. § 9.4 EXTENT OF AGREEMENT § 9.4.1 This Agreement represents the entire agreement between the Client and the Builder and supersedes prior negotiations,' representations or agreements, either written or oral. This Agreement may be amended only by written instrument and signed by both the Client and the Builder. § 9.5 'ATTORNEY'S FEES; PREVAILING PARTY § 9.5.1 In connection with any litigation arising out of this Agreement, the prevailing party shall be, entitled to recover attorneys' fees and all reasonable costs incurred, including attorneys' fees and costs for litigation at all appellate levels. ARTICLE 10 TERMINATION OF THE AGREEMENT § 10.1 TERMINATION BY THE CLIENT § 10.1.1 This Agreement may be terminated by the Client upon 10 days' written notice to the Builder in the event that the Project is abandoned and/or in the event of continuous negligence by the Builder. If such termination occurs, the Client shall pay the Builder'for Work completed and for proven loss sustained upon materials, equipment, tools, and construction equipment and :machinery, including reasonable profit and applicable damages. If such termination occurs builder shall leave the project in safe condition. § 10.1.2 If the Builder defaults or persistently fails or neglects to carry out the Work in accordance with the Contract Documents or fails to perform the provisions of this Agreement, the Client may give written notice that the Client intends to terminate this Agreement. If the Builder fails to correct the defaults, failure or neglect within seven (7) days after beinggiven notice, the Client may then give a second written notice and, after an additional seven (7) days, the Client may without prejudice to any other remedy terminate the employment of the Builder and take possession of the site and of all materials, equipment, tools and construction equipment and machinery thereon owned by the Builder and finish the Work by whatever method the Client may deem expedient. This obligation for payment shall survive termination of this Agreement. The Client shall be entitled to deduct from any payments due Builder or to recover directly from Builder any costs incurred for making the Project safe. § 10.2 TERMINATION BY THE BUILDER § 10.2.1 If the Client fails to make payment when due in accordance with Article 5of this Agreement;. the Builder shall give written notice of the Builder's intention to terminate this Agreement. if the Builder fails to receive payment within three (3) business days after receipt of such notice by the Client, the Builder shall terminate this Agreement and recover from the Client payment for Work executed and for proven losses sustained upon materials, equipment, tools, and construction equipment and machinery, including reasonable profit. It is the responsibility of the Builder to leave the Project safe and to protect the work in place. ARTICLE 11 BASIS OF COMPENSATION The Client shall compensate the Builder in accordance with Article 5, Payments, and as described below. If for any reason the Client's business entity defaults on this Agreement, the Principal of the Business or the person signing agreement shall become personalty responsible for any and all damages as originally intended in this Agreement. 11.1 COMPENSATION § 11.1.1 For the Builder's performance of Work, as described in Section 3.2 and including any other services listed in Article 12 as part of Basic Services, the Client shall pay the Builder in current funds the Contract Sum as follows: Lump' Sum: One Hundred TenThousand, Nine Hundred Ninetyseven and 52/100 ($ 110,997.52 ) Mobilization Payment ..... $ 5.000.00 Second Mobilization Payment $ 5.997.52 Percentage complete at the end of each two weeks ............$ 100.000.00 Lunn sum $ 110;997.52 § 11.2 INTEREST PAYMENT § 11.2.1 The rate of interest for past due payments shall be ( 8.0 % ) per annum. ARTICLE 12 OTHER CONDITIONS AND SERVICES § 12.1 The Basic Services to be performed chap be commenced no more than 7 calendar days after receipt ofpermit or mobilimtion payment, which ever is later. § 12.2 The Basic Services shall be as described in the Final itemized schedule of values attached as part of the Contract Agreement, § 12.3 The Builder shall submit an Application for Payment on the Last day of each two weeks after commencement. § 12.4 Plumbing piping shall be in CPV or PVC as long as any such plumbing piping meets applicable codes and inspections, and is consistent with Contract Documents. § 12.5 Builder shall coordinate with the Client for the timely delivery of all materials to be furnished by the Client. §12.6 Builder shall base scope of work and estimate on the information provided by the electrical engineer of record; existing wiring . does have neutral wiring complying with the installation of Arc Fault Interrupter Breakers.
