Premises and Use. Owner leases to Omnipoint Holdings, Inc. a Delaware corporation ( "OMNIPOINT") the site ( "Site ") described below, which Site constitutes a portion of the bell tower located on property having a street address of 602 Northeast 96 Street, Miami Shores, Florida 33138: (Check appropriate space(s)) Land consisting of approximately square feet upon which OMNIPOINT will construct its equipment base station and antenna structure; Tower interior space consisting of approximately 81 square feet of floor space and approximately 500 square feet of wall space; Building exterior space for attachment of antennas; Building exterior space for placement of base station equipment; Tower antenna space between the 80 -foot and 100- foot level on the Tower, which will be exclusively occupied by OMNIPOINT; Space required for cable runs to connect PCS equipment and antennas, all in the particularly described location (s) and in accordance with the plans and specification shown on Exhibit A, together with a non - exclusive license for reasonable access thereto and to appropriate, in the reasonable discretion of Owner, sources of electric and telephone facilities serving the Site. The Site will be used by OMNIPOINT solely for the purpose of installing, removing, replacing maintaining and operating, at its expense a personal communications service system facility ( "PCS "), including, without limitation, antenna equipment, emergency backup generator, cable wiring, and related fixtures, all in accordance with the plans and specifications set forth in Exhibit "A ". Any modifications to the PCS shall require Owner's prior written consent, which shall be in Owner's discretion, but such consent shall not be unreasonably withheld. Notwithstanding the foregoing, OMNIPOINT will not be required to obtain Owner 1 approval for upgrades, provided that they are in conformity with the plans previously approved by Owner. For the purpose of this agreement, "upgrades" is defined as improvements for which OMNIPOINT does not need to obtain a building permit; for which there is no roof penetration involved ; and which will have no impact on the building's aesthetics and will not pose any structural issues whatsoever. OMNIPO1NT recognizes the sensitive nature of the property of which the Site forms a part and its use for religious purposes. OMNIPOINT will at all times use and occupy the Site in a manner which will not unreasonably disturb the occupancy or use of the Owner or Owner's other tenants of the Site or of other portions of the property of which the Site is a part; Owner's and its assigns rights of passage through and across the Site to access other property of Owner and Owner's right of entry on the Site to inspect the Site and/or make repairs to Owner's property. Subject to reasonable rules and regulations promulgated by Owner and OMNIPOINT not disturbing the peace, OMNIPOINT will have access to the Site on Mondays through Fridays between the hours of 9:00am and 5:OOpm; on Mondays through Sundays between the lours of midnight and 2:OOam after first notifying the Miami Shores Police Department of its intended entry; and in the event of an emergency, twenty four (24) hours per day, seven (7) days per week. 2. Term. The initial term of this Agreement (the "Initial Term) is five years commencing on the earlier of the date that OMNIPOINT obtains a building permit for the PCS or 90 calendar days from the last execution date ( "Commencement Date ") This Agreement will be automatically renewed for four (4) additional terms (each a "Renewal Term ") of five (5) years each, unless OMNIPOINT provides Owner notice of its intention not to renew not less than ninety (90) days prior to the expiration of the Initial Term or any Renewal Term. Prior to the Commencement Date, OMNIPOINT shall be permitted, at no cost to Owner, to reasonably enter the property to determine the suitability of the Site for its installation of its PCS. OMNIPOINT agrees to promptly repair any damage to the property or any property of any third parties caused by its entry during such period, and OMNIPOINT shall indemnify and hold harmless Owner from any and all injury, liability, 2 claims, actions or damages caused by OMNIPOINT , its agents, employees or independent contractors during such period. 3. Rent. The earlier of (a) that date which is thirty (30) days after the issuance of OMNIPOINT' building permit, or (b) the first day of the month following the commencement of the physical preparation of the Site by OMNIPOINT, or ninety (90) days after the Commencement Date shall be hereinafter referred to as the "Occupancy Date ". OMNIPOINT shall use due diligence to obtain any approvals required for its intended use of the Site and to cause the Occupancy Date to occur earlier than ninety (90) days after the Commencement Date if reasonably possible. Upon the occurrence of the Occupancy Date, rent will be paid for the first year of the Initial Term in the amount of $19200.00 and thereafter in advance on each anniversary of the Commencement Date in annual installments of $19200.00 as increased as set forth herein. Except for the first year when the annual rent shall be due on the Occupancy Date, annual rent for each year of the Initial Term and any Renewal Term will be paid by OMNIPOINT in advance and the annual rent shall be the annual rent in effect for the immediately preceding year of the Initial Term or prior Renewal Term, as the case may be, increased by three percent (3 %) per year for each year that is in Agreement shall continue until it shall be properly terminated or expire in accordance with the terms hereof. 4. Title and Quiet Possession. Owner represents and agrees (a) that it is the Owner of the Site; (b) that it has the right to enter into this Agreement; (c) that the person signing this Agreement has the authority to sign; (d) that during the terms of this Agreement OMNIPOINT shall be entitled to nonexclusive possession and quiet enjoyment of the Site throughout the Initial Term and each Renewal Term, so long as OMNIPOINT is not in default hereunder. 5. Assignment! Subletting. OMNIPOINT will not assign or transfer this Agreement without the prior written consent of the Owner, which consent shall not be unreasonably withheld, delayed or conditioned; provided, however, OMNIPOINT may assign without Owner's prior written consent to any party controlling, controlled by or under common control with OMNIPOINT or to any party which acquires substantially all of the assets of OMNIPOINT. OMNIPOINT may not sublet all or any portion of the Site. 3 6. Notices. All notices must be in writing and are effective only when deposited in the US Mail certified and postage prepaid, or when sent via overnight delivery, to the respective addresses set forth herein below the signatures of the respective parties, or as otherwise required by law. Improvements. OMNIPOINT shall, at its expense, make the improvements on the Site as shown on Exhibit "A" for the operation of the PCS system. Such improvements shall require OMNIPOINT to install any and all structural reinforcement improvements to the roof portion of the Site as shall be reasonably required to safely and properly accommodate the PCS equipment. 4 OWNER agrees to reasonably cooperate with OMNIPOINT with respect to obtaining at OMNIPOINT's expense, any approvals for such improvements to the Site. Upon termination or expiration of this. Agreement, OMNIPOINT shall remove its equipment and improvements, and will restore the Site to the condition existing on the Commencement Date, except for ordinary wear and tear, and for casualty loss not caused by the negligence or misconduct of OMNIPOINT, its agents, contractors or employees. Except as otherwise specifically provided herein, OMNIPOINT shall at all times maintain the Site in good repair and in a safe and neat condition and shall not interfere with or disturb Owner's ongoing quiet enjoyment and use of its property. 8. Compliance with Laws. Owner represents that, to the best of its knowledge after internal inquiry only, it has not received any notices that Owner's property (including the Site), and all improvements located thereon, are not in substantial compliance with building, life/safety, disability and other laws, codes and regulations of applicable governmental authorities. OMNIPOINT will comply with all applicable laws relating to its possession and use of the Site, including, without limitation, posting requirements of the Federal Communication Commission and all applicable rules, regulations and laws relating to the use and operation of its PCS on the Site. 9. Interference. OMNIPOINT will at all times promptly resolve any technical interference problems with other equipment located on or near the Site. If after OMNIPO1NT'S initial installation of its PCS facility, OMNIPOINT desires to add additional equipment to the Site that is approved in advanced and in writing by Owner, OMNIPOINT will promptly resolve technical interference problems with any other equipment that is then attached to or near the Site. For purposes of this paragraph "near the Site" shall refer to other property of Owner of which the Site is a part. Owner will not permit or suffer the installation of any equipment after the Commencement Date on or near the Site which (a) results in technical interference problems with OMNIPOINT's installation of the PCS facility which cannot be reasonably resolved or (b) encroaches unreasonably onto the Site. OMNIPOINT acknowledges that owner has entered into prior leases with AT &T Wireless Services of Florida, Inc. ( "AT &T") and Sprint Spectrum L.P. ( "Sprint ") and that Owner is obligated under the terms of those certain Certifications and Declarations of Restrictive Covenant ( "the Certifications ") between 5 r Owner and AT &T, and between Owner and Sprint, that were required by the Village of Miami Shores, to enter into additional` leases to utilize the property of Owner on which the Site is located and the Site for telecommunication equipment purposes on a nondiscriminatory basis. OMNIPOINT shall not interfere with Owner's ability to reasonably fulfill its duties under the Certifications, and fulfillment of same shall not cause any failure of OMNIPOINT'S quiet enjoyment and use of the Site or otherwise constitutes a default hereunder. 10. Utilities. Owner represents that utilities for OMNIPOINT'S use of Site are reasonably available to OMNIPOINT. OMNIPOINT will promptly pay for all utilities used. by it at the Site and for any upgrades or expansion of existing utilities. Owner will cooperate with OMNIPOINT, in OMNIPOINT'S efforts to obtain utilities from any reasonable location and with the installation of any instrument (s) reasonably required by a utility company, provided that same does not interfere with the use and enjoyment of other portions of Owner's property not constituting the Site and all expenses are paid by OMNIPOINT. OMNIPO1NT shall separately meter and pay its utilities used at the Site. With respect to electric utilities, Owner and OMNIPOINT agree that electric service for OMNIPOINT'S PCS shall be sub - metered with a meter properly installed and maintained by OMNIPOINT at its expense onto Owner's master electric service to the site. Throughout the term of this Agreement, OMNIPOINT shall pay in advance to Owner an estimated amount of its annual electric usage as established by Owner, and Owner shall then use such amount to pay Omnipoint's portion of the monthly electric bills. Owner and Omnipoint acknowledge that Owner will incur certain management and accounting fees in order to properly and adequately service the Omnipoint lease. In addition, throughout the term of this Agreement, Omnipoint shall pay to Owner a sum equal to 10% (Ten Per Cent) of the actual electrical charges attributable to Omnipoint in order to compensate Owner for Owner's management and accounting fees, together with any sales tax due thereon, not less than annually. The annual amounts of such management and accounting fees shall also be estimated by Owner and paid in advance to Owner by OMNIPOINT. At the end of each annual period, Owner and Omnipoint shall conduct an accounting of Omnipoint's portion of the 6 monthly electric bills in order to accurately determine Omnipoint's share of the electric bills. If the estimated amount paid in advance shall prove to be insufficient to pay Omnipoint's portion of the electric bill, Omnipoint agrees to pay the deficiency within no more than 20 (twenty) days from the date of Owner's written demand for same to Omnipoint. Upon termination of this Agreement, Owner shall give OMNIPOINT a final accounting for its electric and administrative charges and the parties shall promptly make the appropriate adjustment and payment. At Owner's option upon termination of this agreement, OMNIPOINT shall properly remove\its sub -meter and restore any damage resulting from same, or OMNIPOINT shall leave such sub -meter and same will there after constitute Owner's property without any payment by or cost to Owner. 11. Termination. OMNIPOINT may terminate this Agreement prior to the Occupancy Date by written notice to Owner without further liability to pay rent if OMNIPOINT does not obtain all permits or other approvals (collectively "approval ") required from any governmental authority required to operate the PCS system, or, after the Initial Term, if any such approval is canceled, expires or is withdrawn or terminated through no fault of OMNIPOINT, or, at any time, if Owner fails to have proper ownership of the Site or authority to enter into this Agreement. Upon any such authorized termination, all prepaid rent will be retained by Owner unless such termination is a result of Owner's failure of proper ownership or authority, or such termination is a result of Owner's default. OMNIPO1NT may terminate this Agreement, if in OMNIPOINT's reasonable judgement, the Building cannot be used for the purpose described in Section 1 hereof due to radio frequency transmission and reception issues related to: (i) other radio frequency sources, (ii) engineering design or (iii) physical changes in the buildings and improvements in the vicinity of the property following the Commencement Date. If OMNIPOINT elects to terminate as provided in this subsection, after the "Occupancy Date ", OMNIPOINT agrees to pay to Owner a fee equal to twelve (12) months rent due under the Agreement as a reasonable cancellation fee. 12. Default . If either party is in default under this Agreement for a period of (a) ten (10) days following receipt of notice from the non - defaulting party with respect to a default which may be cured solely by the payment of money, or (b) thirty (30) days 7 following receipt of notice from the non - defaulting party with respect to a default which may not be cured solely by the paymeht of money, then in either event, the non defaulting party may pursue any remedies available to it against the defaulting party under applicable law, including, but not limited, to the right to terminate this Agreement. If the non monetary default may not reasonably be cured within a thirty (30) days period, this Agreement may not be terminated if the defaulting party promptly commences action to cure the default within such thirty (30) days period and thereafter proceeds with due diligence to fully cure the default. In the event of any holdover by OMNIPOINT following the termination of earlier cancellation of this Agreement, then OMNIPOINT shall pay Owner rent during such holdover period based on one hundred fifty percent (150 %) of the rent that would have been payable (in the event of any early cancellation) or that was last payable (in -the event of any holdover after the term of the Agreement specified herein) pursuant to section three (3) of this Agreement, together with all amounts otherwise due hereunder as if this Agreement was continuing in full force and effect. 13. Indemnity. Owner and OMNIPOINT each indemnifies the other against and holds the other harmless from any all costs (including reasonable attorney's fees) and claims of liability or loss which arise out of the ownership, use and/ or occupancy of the Site or adjoining property of Owner by the indemnifying party. This indemnity does not apply to any claims or damages arising from the negligence or intentional misconduct of the party seeking indemnification. The indemnity obligations under this Paragraph will survive termination of this Agreement. 14. Hazardous Substances. Owners represents that it has no knowledge of any substance, chemical or waste (collectively, "substance ") on the Site that is identified as hazardous, toxic or dangerous in any applicable federal, state or local law or regulation. OMNIPOINT will not introduce or use any substance on or around the Site in violation of any applicable law, and OMNIPOINT shall indemnify and hold Owner harmless against any claims, causes of action, demands or liabilities whatsoever that are 'L. caused by or result from the activities of OMNIPOINT or its agents or employees on or around the Site. The provisions of this Paragraph will survive the termination of this Agreement. 8 15. Subordination and Non - Disturbance. This Agreement is subordinate to any mortgage or deed of trust now ofrecord against the Site. However, promptly after the Agreement is fully executed, Owner will use diligent efforts to obtain a non- disturbance agreement reasonably accepted to OMNIPOINT from the holder of any such mortgage or deed of trust. 16. Taxes. OMNIPOINT will be responsible for payment of all personal property taxes assessed directly upon an arising solely from its use of the communications facility on the Site and/or its equipment . OMNIPOINT will pay to Owner any increase in real property taxes attributable solely to any improvements to the Site made by OMNIPOINT within sixty (60) days after receipt of reasonably satisfactory documentation indicating calculation of OMNIPOINT'S share of such real estate taxes by Owner. Owner will pay when due all other real estate taxes and assessments attributable to the property of the Owner of which a Site is a part. 17. Insurance. OMNIPOINT will procure and maintain commercial general liability insurance, with limits of not less than $1,000,000 combined single limit per occurrence for bodily injury and property damage liability, with a certificate of insurance to be furnished to Owner prior to OMNIPOINT' occupancy of the Site and thereafter not less than thirty (30) days prior to each expiration date of the then existing policy for so long as this Agreement shall continue. Such policies will list Owner as an additional insured and will provide that cancellation will not occur without at least fifteen (15) days prior written notice to Owner. Each party hereby waives its right of recovery against the other for any loss or damage to the extent it is covered by any insurance policies maintained by the waving party. In the event of any insured loss, both parties' insurance carriers may have a subrogated claim against the other as permitted by law. 18. Maintenance. OMNIPOINT will be responsible for repairing and maintaining the Site in proper operating and safe condition; provided, however if any such repair or maintenance is required due to any negligence or misconduct of Owner, its agents or employees, then the Owner shall reimburse OMNIPOINT for the reasonable costs incurred by OMNIPOINT to restore the damaged areas to the condition which existed immediately prior thereto. Owner will maintain and repair all other portions of the 9 property of which the Site is a part reasonably safe condition; provided however, that if any maintenance or repair of such other property shall be required due to the negligence or misconduct of OMNIpOINT, its agent or employees , then OMNIPO r shall reimburse OwIIe for the reasonable cost incurred b the condition which existed ' by Owner to restore damaged areas to immediately prior thereto. 19. Miscellaneous, (a) This Agreement applies to and binds the heirs, successors, executors, administrators and assigns of the parties to this Agreement; (b) This Agreement is governed by the laws of the State in which the Site is located; (c) This Agreement (including the Exhibits) constitutes the entire agreement between the parties and supersedes all prior written and verbal agreement, representations, promises or understandings between the parties; (d) Any amendment to this Agreement must be in writing and executed by both part1es; (e) If any provision of this Agreement is invalid or unenforceable with respect to any party, the remainder of this Agreement or the application of such provision to persons other than those as to whom it its held invalid or unenforceable, will not be affected and each provision of this Agreement will be valid and enforceable to the fullest extent permitted by law; (I) The prevailing party in any action or proceeding in court or mutually agreed upon arbitration proceeding to enforce the terms of this Agreement is entitled to receive its reasonable attorneys' fees and other reasonable enforcement costs and expenses from the non prevailing party; Neither this Agreement nor any memorandum thereof shall be recorded in the public records; (g) 10 (h) If any portion of the Site is destroyed or damaged by fire or casualty not caused by negligence or misconduct of OMNIPOINT, its agents or employees, then the Owner shall have the option of terminating this Agreement effective on the date of such casualty, or to agree to repair such damages within sixty (60) days of such casualty. Rent shall abate during any period that OMNIPOINT shall be deprived of its ability to utilize the Site in a commercially reasonable manner unless same shall be caused by any damage resulting from the negligence or misconduct of OMNIPOINT, its agents or employees; (i) If all or any portion of the Site is taken by eminent domain, then this Agreement shall terminate on the date of the vesting of title in such taking. All awards and compensation paid in such taking shall belong exclusively to Owner, except that OMNIPOINT shall be entitled to any amounts relating solely to the loss of its equipment; (1) OMNIPOINT shall pay to owner any applicable sales tax on the rent simultaneously with OMNIPOINT' payment of rent, and Owner shall be responsible for remitting such tax to the appropriate governmental entity; (k) OMNIPOINT shall indemnify, defend and hold Owner harmless from and against any injury, loss, damage or liability (or any claim in respect to the foregoing), costs or expenses (including reasonable attorneys' .fees and costs) arising from the installation, use, maintenance, repair or removal of OMNIPOINT' equipment, its use of the Site or its PCS equipment, its entry upon the property of Owner, or any breach of this Agreement by OMNIPOINT, except to the extent attributable to the gross negligence or willful misconduct of Owner, its employees or agents.; (1) OMNIPOINT shall not have any right to place any signs on or around the Site, other than as required by law; (m) OMNIPOINT shall neither commit nor suffer any waste of the Site; (n) OMNIPOINT' use of the Site shall not increase the costs of any insurance policies maintained by Owner or OMNIPOINT shall promptly pay, as additional rent to Owner any such incremental costs upon demand from Owner. (o) OMNIPOINT does not have the right to contract for or on behalf of Owner for any work on the Site or any other property of Owner. All contractors of OMNIPOINT, and all materialmen, subcontractors and laborers claiming by through or under them, shall not at any time have any right to file mechanic's liens or otherwise encumber the Site or any other property of Owner. OMNIPOINT shall discharge of record by payment, bond or otherwise, within thirty (30) days subsequent to the filing thereof, any mechanic's lien against the Site or other property of Owner for work or materials claimed to have been furnished at the request of OMNIPOINT or any of its contractors. OMNIPOINT shall indemnify and hold harmless Owner against any liability or damages, including reasonable attorney fees and costs, incurred by Owner as a result of OMNIPOINT failure to comply with the foregoing; and (p) The rights of OMNIPOINT to use and occupy the Site are subject to the terms and conditions of that certain Certifications and Declarations of Restrictive Covenant required by Miami Shores Village and to be executed and entered into by OMNIPOINT and Owner (the "Restrictive Covenant "). OMNIPOINT shall indemnify and hold harmless Owner from and against any and all liability accruing to Owner on account of OMNIPOINT' failure to comply with the Restrictive Covenant. (q) Owner hereby waives any and all lien rights it may have, statutory or otherwise concerning the PCS system or any portion thereof which shall be deemed personal property for the purposes of this Agreement, whether or not the same is deemed real or personal property under applicable laws, and Owner gives OMNIPOINT the right to remove all or any portion of the same from time to time, whether before or after a default under this Agreement, in OMNIPOINT's sole discretion and with Owner's consent, which consent shall not be unreasonably withheld or delayed, provided that OMNIPOINT repairs any and all damages caused by such removal. (r) In accordance with Florida Law, the following notice is hereby given to Tenant: "RADON GAS" RADON IS A NATURALLY OCCURING RADIOACTIVE GAS THAT,WHEN IT HAS ACCUMULATED IN A BUILDING IN SUFFICIENT QUANTITY, MAY PRESENT HEALTH RISKS TO PERSONS WHO ARE EXPOSED TO IT OVER TIME. LEVELS OF RADON THAT EXCEED FEDERAL AND STATE GUIDELINES HAVE BEEN FOUND IN BUILDINGS IN FLORIDA. Owner shall also have access to the Site to inspect same and, in the event of any actual or presumed emergency, Owner shall have the right, but not the duty, to enter the Site to take any measures it deems necessary or advisable to prevent or minimize any actual or potential injury or damages to persons or property; (u) On or before the Occupancy Date, or if earlier, prior to OMNIPOINT taking any occupancy of the Site or commencing any construction thereon, OMNIPOINT shall pay Owner the non- refundable amount of $15,000.00 to compensate Owner for the costs of certain capital expenditures of Owner and miscellaneous other expenses of Owner, not including attorneys' fees and costs of Owner in negotiating and drafting this Agreement, which OMNIPOINT shall pay separately to Owner in an amount not to exceed $ shall simultaneously pay Owner the sales tax due on such payments.
