KNOW ALL MEI'BY THESE" PRESENTS that the undersigned Owner hereby makes,
declares, and imposes on the land herein described, these covenants running with the title to the land,
which shall be binding on the Owner, all heirs, successors, and assigns, personal representatives,
mortgagees, lessees, and against all persons claiming by, through, or under them;
WHEREAS, Owner holds the fee simple title to the land in the Village of Miami Shores,
Miami -Dade County, Florida described in Exhibit "A ", attached hereto and made a part hereof,
hereinafter called the "Property ";
WHEREAS, Owner intends to develop said Property for the uses that are permitted in the S-1
zoning district and intends to develop buildings on the Property in accordance with the S-1 zoning
district regulations and in multiple phases;
WHEREAS, Owner understands and agrees that all future construction on the Property will
require site plan approval as provided in the Miami Shores Village Code of Ordinances, including
Appendix A (hereinafter the "Village Code ") and once said site plan approval is granted by the Village,
the approved site plans will be incorporated herein; and
WHEREAS, Owner is currently seeking site plan approval from Miami Shores Village with
respect to a proposed dormitory building and student center;
WHEREAS, Owner recognizes and acknowledges its obligation to comply with the parking
provisions and requirements of the Village Code, and has included in the currently pending site plan
applications and intends to include in all future site plan applications, provisions for substantial
additional parking spaces and facilities with regard to the structure or structures included within such
site plan applications;
WHEREAS, Owner has offered this Declaration to Miami Shores Village as part of the site
plan approval application, in order to demonstrate the owner's commitment to compliance with
applicable parking requirements and to provide parking above and beyond the applicable requirements
; and
WHEREAS, Owner intends that Miami Shores Village rely upon this Declaration in
connection with the approval of the pending site plan applications.

NOW THEREFORE, in consideration of the premises, and other good and valuable
considerations, the receipt and sufficiency of which are hereby acknowledged, Owner hereby agrees as
follows:
1. Owner hereby covenants and agrees that the Property as a whole, representing the
entire portion of the campus of Barry University located within Miami Shores Village, will be in
compliance with all then current and applicable parking requirements contained in the Village Code,
five (5) years from the date of execution of this Declaration and the Owner agrees to take all
necessary steps to maintain such compliance .
2. The Owner agrees that, with respect to each Building or Structure (as defined the
"Village Code "), sought to be built or erected upon the Property subsequent to the date of execution
of this Declaration, the Owner will include as part of its site plan application relating thereto, and
will provide and construct in accordance with the then existing Village Code, a number of new
parking spaces on the Property at least equal to one hundred and fifty percent (150 %) of the number
of spaces which would be required as part of such site plan application under the Village Code, for
that building or structure alone.
3. The Property Owner understands and agrees, in accordance with the Village Code, all
applications for site plan approval must show, inter alia, the location of new additional parking
spaces relating thereto and that such location, inter alia, is subject to Village approval in accordance
with the prescribed site plan approval procedures and provisions contained in the Code. In addition
thereto, the Owner agrees that, in connection with each application for site plan approval submitted
to Miami Shores Village after the date of execution of this Declaration and during the term thereof,
the Owner will also submit a conceptual master plan for the campus as a whole reflecting the
Owner's then current good faith intentions as to the anticipated future location of additional phases,
buildings, and, in particular, locations of intended future parking facilities. The submissions of such
conceptual master plans shall constitute a representation by the Owner as to its then current good
faith intentions with regard to the matters reflected therein, but shall not constitute a representation
or guarantee that the construction or facilities reflected therein will necessarily actually be
constructed as reflected therein. Specifically, the conceptual master plan shall not be binding upon
the Owner for purposes of requiring future compliance therewith and it is anticipated that, from time
to time and between site plan applications, the conceptual master plan will evolve to address
changing conditions and circumstances However, the purpose of the inclusion of such conceptual
master plans in each site plan application is to assist the Village planning officials and Planning
Board in evaluating the viability of the Owner's plans and progress towards the creation of
additional parking.
4. The Owner understands, acknowledges and agrees that during the term of the
Declaration no site plan approval issued by Miami Shores Village and no building permit or certificate
of occupancy issued by Miami Shores Village shall constitute or be deemed an acknowledgment,
representation, or confirmation that the Property, as a whole, is in compliance with the parking
requirements contained in the Village Code and that the Village, by issuing such development related
documents is not waiving and will not become estopped from asserting any rights or remedies with

regard thereto. The Owner's execution or delivery of this Declaration to the Village shall not
constitute nor be deemed an acknowledgment, representation or confirmation that the Property, as a
whole, is not presently in compliance with the parking requirements contained in the Village Code
and by entering into this Declaration, Owner is not waiving and will not become estopped from
asserting, any rights or remedies with regard thereto.
5. The provisions of this instrument shall become effective upon their recordation in the
public records of Miami -Dade County, Florida.
6. The provisions of this instrument may be amended, modified, or released only by a
written instrument executed by the then Owner or Owners of the applicable phase or phases
involved, with joinders by all mortgagees thereof, if any, provided same is also approved by the
Village Manager of the Village of Miami Shores. Should this Declaration of Restrictive Covenants
be so amended, modified, or released, the Village Manager, or his successor, shall forthwith execute
a written instrument effectuating and acknowledging such amendment, modification, or release, as
approved by the Village Manager.
7. Enforcement shall be by action against any parties or persons violating or attempting
to violate any covenants. The prevailing party to any action or suit pertaining to or arising out of this
Declaration shall be entitled to recovery, in addition to costs and disbursements, allowed by law,
such sum as the Court may adjudge to be reasonable for the services of his attorney. This
enforcement provision shall be in addition to any other remedies available at law, in equity, or both.
8. Invalidation of any of these covenants by judgment of Court shall not affect any of
the other provisions, which shall remain in full force and effect. The Owner agrees not to challenge
or seek to invalidate this Declaration.
9. This Declaration shall be recorded in the public records of Miami -Dade County at the
Owner's expense.
10. All rights, remedies, and privileges granted herein shall be deemed to be cumulative
and the exercise of any one or more shall neither be deemed to constitute an election of remedies, nor
shall it preclude the party exercising the same from exercising such other additional rights, remedies,
or privileges.
11. The Owner acknowledges that this Declaration does not create or grant any vested
rights in its favor.
