Surfaces will be prepared in accordance with accepted industry - standard procedures to provide proper adhesion of specified coatings. All work will be performed as per strict conformance to meet or exceed Manufacturer's Specifications. Materials will be applied evenly, free of runs and sags. All surfaces not being coated will be protected with covering. Any overspray, drips or spills will be the responsibility of Mid South Painting. PROVISIONS Y WORK TO BE PERFORMED: The contract includes only those items designated for work. You acknowledge that items not explicitly stated in the contract, whether omitted or overlooked, are not included. It is mutually understood that issues not presented to Mid South Painting are not included in the contract. Any and all extras or additions not included in the original contract must be approved by a written change order prior to the start of work on the extras. The change order will include an itemized accounting and corresponding charges for all additional work to be performed. SCHEDULING AND DELAYS: Mid South Painting makes every effort to accommodate each customer and properly schedule all painting projects. We guarantee that each project is continual from start -to -finish. Our first responsibility is to complete all current projects while maintaining the highest quality service to our customers. Weather Permitting Delay: Our exterior painting schedule can be delayed due to inclement weather conditions. Every day of inclement weather affects each of our scheduled projects in consecutive order. Proiect Over-Run/Additional Work Requests: Occasionally, there may be a situation where a prior project may exceed the estimated time allocated, or requires additional work at the customer's request. When this occurs, every day of over -runs and additional work affects each of our scheduled projects in consequent order. Start and End Dates: Commencement date is estimated to be no longer than 3 weeks from receipt of the deposit (permits permitting), together with this signed contract unless otherwise noted by the owner. We estimate that your project shall be completed in 5. 9 weeks after commencement. The above dates are contingent upon labor disputes, fire, unusual delays in deliveries, adverse weather conditions, unavoidable events, any other causes beyond the Contractor's control, changes in the work ordered in writing by the Owner, or by other causes which the Owner and Contractor agree in writing. Commencement of work delayed by customer may incur price adjustments due to increases in material and labor. ➢ NUMBER OF CREW AND PROJECT DURATION: The size of our crew is determined by the scope of your project. Duration is based on your requirements. We can tailor our schedule to reflect your timetable. Our workforce can accommodate demanding schedules and obligations. ➢ WINDOW CLEANING: Pressure cleaning the exterior of every building is essential for lasting paint protection. An infrequent by-product of the washing process is that windows may become covered with a thin, soapy film. We rinse all windows thoroughly with clean water but, on occasion, some unavoidable soap hazing may occur. Window cleaning is not included in our contracted price. i> COLORS: At your request, we will assist you with recommendations or support for choosing colors. However, your choice of color is a personal preference and Mid South Painting will not be held responsible for any final color selections. There is a charge for color samples of more than two colors, or over I gallon per color. Color samples will be applied only upon receipt of this signed contract. NOTE: A color change may require city or county permits. We will be happy to procure and complete any necessary paperwork, and invest whatever time may be necessary to obtain such permit(s), however any out-of-pocket charges paid to a city or county is your responsibility and we expect to be reimbursed upon presentation of any receipt(s) for such permit(s). Any paint material remaining from the project will be left at the work site upon completion. COVERAGE: All contracts are written per coat, not per coverage. We use our expertise to best determine the appropriate number of coats required for adequate coverage. However, there are many variables involved in determining the number of coats necessary to achieve proper paint coverage. Therefore, our price quote is based solely on the number of coats stated on the contract and does not include the cost of any additional coats that may be required. A change to lighter colors on masonry and stucco surfaces may require an additional second finish coat, which is not included in this contract. (NOTE: A change of color on wood and metal surfaces requires 2 full coats. At the time this contract was written, a change of color had not been indicated for any wood or metal surfaces and therefore, 1 full coat has been included for all wood and metal.) A change to darker colors may incur additional cost(s) for tinting, depending on the manufacturer. 3 '`---Mid South .....� Painting Inc. ➢ SIGNS: As a standard practice, and only with your permission, Mid South Painting displays a company lawn sign on each project site for the duration of the project. r EQUIPMENT STORAGE: We request that you provide us with a parking area for a mobile trailer, which we supply and use for storage of our equipment and materials. Otherwise, we request that you provide a secure, properly ventilated area for the purpose of receiving and storage. WATER, ELECTRICITY, AND FACILITY USE: It is understood that you will provide water and electricity as necessary for the completion of the work to be performed. We request that you provide use of a bathroom. Y GROUNDS: NOTE: Please have your landscape service cut back all foliage at least 12 inches from areas to be coated prior to pressure cleaning and subsequent preparation procedures. It will also be necessary for you to remove all wall hangings, plants and other movable items from yards and patio areas prior to project commmencement. Windows must be closed during workdays. We request that you cease watering of the lawn near the work area 2 weeks prior to the commencement date. Wet lawns will create a muddy environment while we are working around the project areas. Although we take precautions and use materials to reduce damage, on occasion, due to the weight of aerial equipment that may be used on your lawn, tire indentation marks may result. This is an inevitable circumstance and therefore, Mid South Painting cannot be held responsible for impact caused by such equipment. Generally, the grass will return to normal levels after a few cuttings. All vehicles must be parked well away from the work area. Mid South Painting, Inc. will not be held responsible for any damage that may incur as a result of vehicles not parked well away from the work area. In the unlikely event of any damage to property, Mid South Painting requires that you notify us within 24 hours to inspect and correct any issues. Without the opportunity to inspect and repair such items, we cannot be held responsible. Mid South Painting will take every precaution to avoid damage to items on the property but will not be responsible for any damage due to the following reasons: Failure by the owner/resident to remove items where painting and/or pressure cleaning is to occur. Items that are currently in poor condition, such as screens, rotted wood, leaking areas, open or broken windows, etc. ➢ INSURANCE: Mid South Painting, Inc. maintains up-to-date coverage of Commercial General Liability, Worker's Compensation and Employer's Liability, Automobile Liability, and Equipment insurance. Copies of these certificates were provided to you with our original proposal. At your request (and only upon receipt of this signed contract, together with listed deposit), we will provide you with a copy of our General Liability Insurance Certificate with your "legal entity" (name and address) listed as an "Additional Insured." Any damage to any property must be documented and Mid South Painting needs to be notified immediately. ➢ UNFORESEEN CONDITIONS: Occasionally, during preparation or general production we will come upon conditions that could not be anticipated at the time of estimation and are not covered in the scope of work. If a condition arises that will alter this contract in any way, it will be immediately brought to the attention of the board/association liaison. ➢ PER HOUR CHARGES: On occasion, the specifications of a project require us to charge by the hour. If we are charging by the hour, the hourly rate and the work to which it applies will be detailed clearly on the contract. Hourly rates are charged per worker, per hour, and specified as "per man hour." ➢ PAYMENT SCHEDULE: Our flexible payment schedule requires periodic progress payments, decided by mutual agreement before the contract is signed. Final payment is due upon successful completion of the project, unless other arrangements were made before the contract was signed. y CANCELLATIONS: Our customers will receive full refund of any deposit if a contract is canceled within 3 business days from the date a contract is signed. Any cancellation of a contract by a customer after 3 business days from the date a contract is signed shall result in the forfeiture of all deposits. If a contract is canceled by Mid South Painting prior to the commencement of Mid South s . Painting Inc. work, the deposit will be refunded in full. In the event a deposit has not been made, cancellation of a contract by a customer after 3 business days from the date a contract is signed shall result in a charge of 20% of the contract price. Mid South Painting, Inc. reserves the right to cancel this contract for any reason at any time without penalty. ➢ WALK-THRU After completion of the project or a specific section of buildings, a walk-thri shall be performed by a representative of Mid South Painting and a liaison of the property. The purpose of the walk-thru is to identify touch-ups to be done, or areas that were missed. As items to be corrected are identified, they will either be marked to be corrected later or corrected on the spot. Once those areas are corrected and verified by the liaison, that section or project is complete. Any future items come up, they will be handled as warranty issues. r WARRANTY: Our longstanding goal to build a strong relationship with every customer includes our commitment to service after each project has been completed. Our warranty protects you for any reasonable problem(s) that may occur due to workmanship. If, for any reason, after the job has been completed, any material we apply faults within the timetables outlined below, and can be reasonably attributed to our workmanship, we will correct the fault in a timely fashion without inconvenience or additional charge to you. The warranty will only be in effect if the final payment has been made. All labor and material warranties are authorized by the manufacturer. Manufacturer warrants that the material has been manufactured without defect and will not peel, crack or blister for the period of time specified, following application. • WARRANTY TIMETABLE: ✓ Masonry and stucco: Sherwin Williams Super Paint 7 Year Labor and Material SPECIFICATIONS PRESSURE CLEANING SURFACES: If necessary, foliage will be protected with plastic and/or cloth coverage. All exterior surfaces to be coated will be thoroughly high pressure cleaned according to industry cleaning standards with a minimum of 3,000 — 4,200 P.S.I. of water pressure to remove excessive chalking, peeling paint, dirt, grease, and other foreign surface contamination, salt deposits, mildew and algae growth. Remaining mildew/algae will be treated with an appropriate mildew remover. Oscillating tip will be used on severe surfaces, as necessary and if possible. All foliage and grounds adjacent to cleaned surfaces which may have been in contact with cleaning solution will be thoroughly rinsed. Surface will be thoroughly rinsed and allowed to dry completely before proceeding. Occasionally, even after thorough cleaning, certain stains and/or residue may remain on some areas and surface types. If they cannot be removed due to labor necessary beyond industry standards, potential damage to surface, and pose a potential risk to the integrity of the paint job, the board/management will be notified. (Although others may state differently, unfortunately it is not possible to guarantee the removal of penetrated mildew, algae and rust stains.) 2. SCRAPE WIRE BRUSHING HAND/MECHANICAL TOOLING SURFACES: NOTE: References to "SSPC" (Steel Strictures Painting Council) is defined as: SP-1 = Solvent Cleaning; SP-2 = Hand Tool Cleaning; SP-3 = Power Tool Cleaning. All areas of scaling, peeling, chipping, blistering and/or rust will be scraped, wire brushed, sanded and/or mechanically abraded until achieving an industry -standard, feathered smooth, sound surface (per SSPC-SP3, as necessary). Exposed metal will be cleaned and wire brushed thoroughly (per SSPC-SP1/2, as necessary). An anti -corrosive nest arrestor will be applied to all exposed metal and spot primed with alkyd metal primer. Loose rust will be removed from all rusted corner beads, then cleaned and primed as above. (Although others may state differently, unfortunately it is not possible to guarantee that rusting will not reoccur.) 3. MASONRY (EXPOSED BLOCK, POURED CONCRETE) AND STUCCO REPAIR: Static cracks (less than 1/16") will be raked out with a knife to a "V" shape, wire brushed clean to remove dust, dirt, and loose, failing material, then sealed and patched with textured or smooth elastomeric sealant, brush and knife grade, bridged approximately 2" on each side and crowned approximately 1/16" at center, appropriately spread by brush or knife to match existing texture as closely as possible. ^�. 5 Mid South "''��: Painting Inc. Dynamic cracks (greater than 1/16") will be cut out to an approximate %4" x %4" "V" shape, wire brushed clean to remove dust, dirt, and loose, failing material, primed with exterior sealer/conditioner, filled with an appropriate size backer rod (i.e. neoprene rope) or bond breaker tape if necessary, then filled with textured or smooth elastomeric brush and knife grade sealant (to meet TT-S-00230C, Type I1, Class A, USDA and FDA approved, as necessary). After complete curing, the area will be patched with textured or smooth elastomeric sealant and/or an alkyd -based one -component urethane sealant (per Federal TT-S-00230C, Type II, Class A, USDA and FDA approved, as necessary), brush and knife grade, bridged approximately 2" on each side and crowned approximately 1/8" at center, appropriately spread by brush or knife to match existing texture as closely as possible. Delaminated or missing stucco and loose deteriorated, old patched areas will be chipped out and removed. All dust, dirt and failing material will be cleaned from the area. Exposed reinforcing rods will be wire brushed thoroughly to remove rust scales, primed with an anti -corrosive rust inhibitor/converter, and bonded with a bonding agent. Fully dried area will be patched with new stucco patching compound and/or elastomeric patching compound and a bonding agent, properly tooled and spread to match existing texture as closely as possible. New stucco will be allowed to cure for a minimum of three days and then primed with exterior sealer/conditioner. Any "new" concrete will be allowed to cure for 30 days. After which, a test for alkali presence will be performed. All repaired stucco areas will be spot primed prior to full application of exterior sealer/conditioner. NOTE: This proposal includes repairs to all hairline cracks. A hairline crack is defined as any visible crack no wider than 1/16" or less. Also included is up to 5 square feet of stucco repair to areas considered larger than hairline cracks. Any repairs exceeding 5 square feet per building that may become visible during the cleaning process will be at an additional charge. By law, any structural repair must be performed by a professional, licensed masonry contractor and cannot be performed by a painting contractor. Material safety data sheets (MSDS) are available upon request. 4. SEALANTS (CAULKING): Window and door frames will be carefully inspected for cracks, loss of adhesion, deterioration of caulk, and any other faulting. Areas displaying failed caulk will be removed and the surfaces cleaned to assure adhesion of inner wall surfaces. All loose hardened, non -flexible, deteriorated caulking caused by failure of cohesion or adhesion at the edges of stucco -to - stucco, stucco -to -metal, at window and door frames, and at 90-degree areas will be removed. All areas where there has been penetration of the wall surface, such as downspouts, gutter straps, roof scuppers, conduit, etc., shall be sealed. Xylene or another appropriate solvent will be used to remove surface dirt and any other substance that may adversely affect or interfere with the bonding process (mineral spirits or turpentine will not be used). Sherwin Williams Pro -Select Caulk (or equal) will be applied in one thorough, continuous bead. 5. MASONRY AND STUCCO EXTERIOR ACRYLIC SEALER/PRIMER/CONDITIONER: Apply by brush, roller and/or airless spray, one complete coat of Sherwin Williams' recommended Sealer/Conditioner (LOXON) per the manufacturer's specifications. When there is a change of color on masonry (exposed block, poured concrete) and stucco surfaces, for proper coverage (hide), we suggest the use of a white (pigmented) exterior sealer/conditioner/primer that is tinted 30% — 40% of the finish coat (color). 6. MASONRY STUCCO AND EIFS EXTERIOR ACRYLIC FLAT/SATIN FINISH: Apply by brush, roller and/or airless spray, one complete coat of Sherwin Williams Exterior Latex Flat or Satin per the manufacturer's specifications. Comprehensive back -rolling will be performed if necessary to assure full coverage of the naturally uneven stucco surfaces (one man sprays while a second man follows and rolls). NOTE..: When there is not going to be a change of color on masonry (exposed block, poured concrete) and stucco surfaces, we recommend the use of a clear exterior sealer/conditioner/primer. When there is a change of color on masonry (exposed block, poured concrete) and stucco surfaces, for proper coverage (hide), we suggest the use of a white (pigmented) exterior sealer/conditioner/primer that is tinted 30% — 40% of the finish coat (color). This process will provide, and Mid South Painting Inc. guarantees, frill color coverage of these surfaces. We also recommend the use of a satin finish coat: The strong UV rays in South Florida cause the pigment in paint to break down (chalk), creating a "faded" surface. A flat finish starts out looking flat (or "faded"), absorbs UV rays, and will retain dirt more than a satin finish. Satin finishes are more likely to reflect UV rays, provide a durable, longer lasting "sheen" and, consequently, a satin finish is more washable than a flat finish (we have listed a satin finish in this contract). ;`--- Mid South Painting Inc. Additionally, a change of color on wood and metal surfaces may require 2 coats for proper coverage (hide). Often, after complete curing (drying), when a change of color is made to wood surfaces with only a one -coat application, bleeding of the previous color may be visible through the new color. With a color change and only a one -coat application on metal surfaces, streaks (shadowing) of the previous color may be visible. This is usually true regardless of the color change: either from light to dark or dark to light. If you are changing color on wood, metal, or walkway surfaces, Mid South Painting recommends that we apply one coat, and the Association can then make the decision to add a second coat, if necessary. Unless otherwise noted, this contract presumes no change of color on all metal, wood and floor surfaces. 7. NON-FERROUS METAL (ALUMINUM, COPPER, GALVANIZED, ETC.): Dirt, oil, mildew and other contaminates will be cleaned with a solvent (per SSPC-SP1/2, as necessary. Mineral spirits or hydro -based solvents will not be used). All loose and flaking paint will be lightly sanded. Rusted areas will be mechanically sanded where necessary and spot primed with Sherwin-Williams alkyd universal metal bonding primer. All metal surfaces to be coated will be sanded by hand to provide better adhesion, and spot primed with Sherwin-Williams universal rust inhibitive primer or Sherwin-Williams B66 Series industrial D-T-M (Direct -To -Metal) acrylic primer/finish, per Sherwin-Williams' written specifications. One complete coat of Sherwin-Williams B66 Series industrial D-T-M (Direct -To -Metal) acrylic primer/finish will be applied by brush, roller and/or airless spray to all metal doors and frames to be coated, per Sherwin-Williams' written specifications. One complete coat of Sherwin-Williams A24 Series clear or white (pigmented) Loxon® exterior sealer/primer/conditioner and one complete coat of Sherwin-Williams exterior acrylic satin finish will be applied by brush, roller and/or airless spray to all other aluminum or galvanized metal surfaces to be coated, per Sherwin-Williams' written specifications. NOTE: To blend in (or "hide") with adjoining surfaces, gutters will be finished with the same color as adjacent wood fascias and downspouts will be finished with the same color as adjacent wall surfaces. 8. WOOD: Areas of loose, peeling, flaking, blistering and scaling paint will be scraped, wire brushed and lightly sanded until achieving an industry -standard, smooth, sound surface. Holes and cracks will be filled with putty. Rusty nail heads will be treated with a phosphoric acid based solution (i.e. OSPHO), and prepared as above or with Sherwin-Williams universal rust inhibitive primer, as necessary, to prevent further bleed. All new or bare wood surfaces to be coated will be spot primed, as necessary, with Sherwin-Williams exterior alkyd wood bonding primer. One complete coat of Sherwin- Williams exterior acrylic gloss enamel finish will be applied by brush, roller and/or airless spray to all wood doors and frames to be coated. One complete coat of Sherwin-Williams Acrylic Satin finish will be applied by brush, roller and/or airless spray to all other wood surfaces to be coated, per Sherwin-Williams' written specifications. (NOTE: All missing, broken and rotting wood should be replaced prior to cleaning, and subsequent coating, and is not subject to this proposal.) 9. PREVIOUSLY COATED DECKS, WALKWAYS, CATWALKS, STAIRS, AND LANDINGS: (if applicable) Thoroughly high pressure clean with a minimum of 3,000 P.S.1. of water pressure and/or a dilute solution of 1 gallon chlorine bleach and 3 gallons of water to remove any loose coatings, dirt, grease and other foreign surface contamination, salt deposits, mildew and algae growth. Oscillating tip will be used where necessary. Areas displaying sprinkler rust will be treated with sprinkler rust remover. Surface will be allowed to dry thoroughly before proceeding. One coat of the manufacturer's highest quality latex acrylic masonry floor finish will be applied to all previously coated walkways, catwalk, stairs and landings to be coated. The application will include an anti-skid aggregate additive. Additionally, a safety yellow stripe will be applied to the stairs, if presently exists. During the pressure cleaning, all loose paint will be removed, but depending on the total layers of paint that have accumulated over the years, the finished product may still show signs of where the peeling occurred. The only way to eliminate this is to completely remove the previous coatings. NOTE: With deck surfaces that are over a certain age (20-40 years) certain issues may exist due to the accumulation of paint layers over time. While we do our best to identify these prior to the project, they do not always present themselves until aver another layer of paint is applied. Some of these issues include bubbles appearing due to moisture getting trapped beneath the surface of the deck and the thickness of the multiple coats of paint do not allow the moisture to escape therefore causing the bubbling and eventual peeling. Peeling where water ponds in low areas, which will soften any acrylic (water based) coating. Cracks in concrete allowing moisture to penetrate into the surface, not allowing the moisture to escape. Build up of previous coatings where at some point in time, there become too many layers of paint and the coating can just pull itself off the original surface as the newest coating dries and tightens. 7 Mid South wr► ..m Painting Inc. In most of these cases, the only way to properly solve future issues is to completely remove al the coatings down to bare concrete using a process called waterblasting, and apply a solvent base concrete stain which will penetrate into the concrete. While this process is more costly than the conventional preparation, over time it will eliminate most of the issues we experience with older painted decks. Regardless of what others may tell you, just use common sense: Any material applied over a coating that is not adhering to the concrete will not correct the adhesion problem that exists with the very first coating that has never adhered. A change of color on floor surfaces (walkways, catwalks, stairs, landings, decks, etc.) often requires two coats. If you are changing color on horizontal floor surfaces, Mid South Painting recommends that we apply one coat, and the Association can then make the decision to add a second coat, if necessary. An additional charge for the second coat would be required.
