As it pertains to the section, it is the responsibility of roofing contractor to provide the owner with the required roofing permit, and to explain to the owner the content of the section. The provisions of Section R4402 govern the minimum requirements and standards of the industry for roofing system installations. Additionally, the following items should be addressed as part of the agreement between the owner ant the contractor. Renailing wood decks: When replacing roofing, the existing wood roof deck may have to —� be re led in accordance with the current provisions of Section R4403. (The roof deck is usually concealed prior to removing the existing roof system). 4. Exposed Ceiling: Exposed, open beam ceilings are where the underside of the roof decking can b iewed from below. The owner may wish to maintain the architectural appearance; therefore, roofing nail penetration of the underside of the decking may not be acceptable. This provides the option of maintaining the appearance. 6. Overflow scuppers (wall outlets): It is required that rainwater flows off so that the roof is not drloaded from a buildup of water. Perimeter/edge wall or other roof extension may block this discharge if overflow scuppers (wall outlets) are not provided. TIME AND MANNER OF PERFORMANCE BY SUBCONTRACTOR: Subcontractor shall commence work within 10 days of the issuance of all building permits. Subcontractor shall diligently pursue and substantially complete all work to be performed under the Contract within a reasonable period of time, taking into consideration delays that are beyond the control of the Subcontractor, including, but not limited to, weather conditions, delays in selection or delivery of materials, and/or change orders requested by Master Contractor. Subcontractor shall not be liable to Master Contractor for any losses costs or damages resulting from or arising out of delay or inability to perform this Contract as described herein or caused by any event beyond the control of the Subcontractor. LICENSES, APPROVALS AND PERMITS: Subcontractor shall obtain and pay only the building permit required for the scope of work, and the Master Contractor and/or owner shall be responsible for obtaining and paying for any approval(s) required from a Homeowners Association or it's committees or any other fee imposed by any other governmental agency or the cost of additional test. C. INSURANCE: Subcontractor shall maintain all insurance required by law including workers compensation and general liability, in connection with the work to be performed under the Contract. D. WATER DAMAGE: Subcontractor shall not be responsible for any water damage while the roof is under repair. E. LANDSCAPING AND SPRINKLERS: Subcontractor shall not be responsible for damages or repairs to existing sprinklers, landscaping or sod resulting from the normal course of construction. F. PAINTING: Subcontractor shall not be responsible of any damage to the painting of the building. G. CARS AND EQUIPMENT: Subcontractor shall not be responsible to any damage to cars or equipment left close to the building that is under repairs. H. WATER PONDING: Subcontractor does not guarantee or eliminate water ponding unless 3-taper insulations are installed; however, this product is not suitable for all kinds of structures. I. ALTERATIONS AND CHANGES: Any alteration or deviation from the listed specifications of this Contract, which involves additional costs, will only be executed upon written order and it will become an extra charge over and above the Contract price. J. EXCLUSIONS: Mechanical, electrical, and plumbing work are not included in this contract. RESPONSIBILITIES OF MASTER CONTRACTOR A. PAYMENTS: All draw requests are due and payable within 3 days of the date that requests is submitted to Master Contractor. B. RIGHT OF ACCESS: Master Contractor grants adequate access to Subcontractor as required for Subcontractor to perform this contract. C. UTILITIES: Master Contractor shall furnish and pay for all utilities necessary for the performance of this contract. D. PAINT: Paint and stucco repairs needed resulting from roof work is not included in this contract. E. SKYLIGHTS: It is understood that when replacing or moving skylights the interior ceiling will be damaged. Subcontractor is not responsible for any such damage. F. GUTTERS: Gutters must be removed by Master Contractor prior to commencement of work. In the event Master Contractor fails to remove the gutters prior to the commencement of work, Subcontractor reserves the right, but does not have an obligation, to remove the gutters. Gutters removed by Subcontractor cannot and will not be salvaged. Subcontractor is not responsible for installing a new gutter system. Gutters not removed may be damaged and Subcontractor shall not be responsible for any repair required for any reason. DEFAULT / NOTICE OF DEFAULT The Subcontractor shall be in default under this Contract if Subcontractor abandons work on the structure or otherwise refuses to carry out Subcontractor's obligations under this Contract. Subcontractor shall be deemed to have abandoned work if Subcontractor fails to perform any work on the subject property for ten (10) consecutive days, unless such failure is the result of any event beyond the control of the Subcontractor (including but not limited to weather conditions, lack of materials, force majeure, acts of God, and civil unrest). Master Contractor shall be in default under this Contract if Master Contractor refuses to permit Subcontractor to complete performance, fails to make any payments when due, or otherwise refuses to carry out any of the obligations of Master Contractor under this Contract. In the event of default, the defaulting party shall be entitled to receive written notice, via certified mail return receipt requested or by hand delivery with signature proof of delivery to the address below which specifies event(s) of default. The defaulting party shall have (10) days from the receipt of the notice in which to begin the curing of any default, which actions shall be continuously pursued and completed within a reasonable time in light of the nature of the default; provided, however, the cure of any default must be completed within ten (10) days from the date of said notice of default. If any default is timely cured, each party agrees that this Contract shall remain in full force. DISPUTE RESOLUTION Prior to the filing of any lawsuit, or seeking any type of court intervention, the parties agree to first contact each other, providing written notice of the dispute. If the parties cannot resolve the dispute amongst themselves, the parties agree that any such dispute, claim or controversy shall be then submitted to an impartial mediator selected by both parties. If the parties are unable to agree on a mediator, the parties now agree that the dispute shall be submitted to Salmon & Dulberg Mediation Services, Inc. in Miami -Dade County, Florida, which shall assign us one of its senior mediators with a minimum of fifteen years of experience as a certified mediator. Both parties agree to discuss any differences in good faith and to attempt, with the assistance of the assigned mediator, to reach an amicable resolution of the dispute. Each party shall bear its own costs and fees associated with mediation, as well as share equally the cost of the mediator. All aspects of the mediation shall be treated as confidential. If the dispute, claim or controversy is not resolved within ninety days of the aforementioned written notice of the dispute or if an impasse has been reached at mediation, the dispute may be submitted to a court of competent jurisdiction in Miami -Dade County, Florida where the prevailing party shall only be entitled to recover its actual and direct monetary damages plus reasonably incurred attorney's fees and costs from the other party. INDEMNIFICATION Owner and Master Contractor, their employees, agents, and lower tier subcontractors shall, as allowed by law, indemnify, defend, and hold harmless the Subcontractor, it's agents, employees, its subcontractors, and servants from all claims, damages, loss and expense, including attorneys' fees, resulting in property damage, bodily injury, disease or death, arising or alleged to arise out of or resulting from or in connection with the execution, occupancy, use, service, operations, non-performance or performance of work provided for in this agreement. ADDITIONAL TERMS, CONDITIONS. AND NOTICES A. Price includes roofing permits and sales tax. Master Contractor is responsible for any work or permits related to electrical, plumbing, gas vents, mechanical, structural, engineering, and other trades requiring professional licensing. B. All work to be completed in a workmanlike manner according to standard practices. Any alteration or deviations involving extra costs such as additional carpentry will be executed only upon written orders and will become subject to an extra charge over and above the proposal/contract. C. Subcontractor reserves the right to re -measure on site prior to commencement. D. We recommend Master Contractor/authorized agent to be present upon roof removal in order to verify necessary wood replacement or necessary additional work, otherwise the Subcontractor's measurements are final. Master Contractor shall not be compensated for taking days off of work or travel. E. This Contract only covers the work specifically set forth herein. Any additions to the scope of work or other specifications herein must be agreed to, in writing and by both parties, via a change order in order to be valid. No verbal or implied agreements or commitments shall be enforced. F. If the residence is part of an association, Master Contractor is responsible for notifying the association of roof work plans and verifying that selected material is approved by the association. G. If roof received an FPL incentive previously, it will not qualify for a second incentive for the same roof and Master Contractor shall not be credited for FPL incentive. Master Contractor is responsible for painting newly installed lumber, flashings, wall areas, or exposed (cathedral) ceilings where wood has been replaced. I. Master Contractor is responsible for reinstalling bricks, keystone, tiles and other decorations on chimneys and walls removed by Subcontractor in order to install flashings and other roofing material. J. Master Contractor agrees to allow use of electric outlets for power tools and it is understood that the Master Contractor or tenant will not be reimbursed for electrical or water consumption. For the purpose of extending, renewing and revising permits, the Master Contractor thereby authorizes Subcontractor to be agent in fact. Due to deflection of roof deck & the nature of metal panels, Subcontractor shall not be held responsible for oil canning on metal roofs. Q. It is understood that the new roof will take the form of the existing underlying deck and that sagging deck or deck deflection repairs are not included. R. Subcontractor is not responsible for nail damage to electric or water conduits not visible from roof surface. S. Master Contractor is responsible for protecting valuables from dust that will infiltrate interior of home in exposed roof areas. T. Subcontractor is not responsible for damages resulting from roof vibrations or satellites losing signal due to roof work. U. If insulation is discovered over a flat roof at tear off, insulation of the same size will need to be installed as per code requirements. 2" Insulation will be charged at $20.00/sf, 3" Insulation at $30.00/sf, Tapered Insulation starts at $20.00/sf but can vary depending on area. V. Subcontractor provides that all roofing systems installed are guaranteed for one (1) year. Warranty covers leaks due to workmanship failure only. Warranty does not cover hurricane related damages or damage done by others. Warranty does not cover roof leaks suffered from causes beyond Subcontractor's control and does not cover interior damage resulting from leaks. Subcontractor may impose an inspection fee for diagnosing leaks not related to work included in this Contract. Contract must be paid in full within 30 days of approval of final inspection in order for warranty to be valid. Warranty shall become null and void if work is performed on roof by others without prior written consent from Subcontractor. Roof weathering from but not limited to ponding water or material failures is not included in the Warranty. If gas plumbing vents are present, an inspection and or separate plumbing permit or report may be required by a state licensed and insured plumbing Subcontractor. This is not the responsibility of the Subcontractor and is not included in the Contract price. X. Upon signing this Contract, Master Contractor is responsible for securing roof from water intrusion to avoid damage to interior of home before roof is commenced. Y. Progress payments must be submitted in order for job production to progress. All change orders and wood bills must be paid at the time the change order/wood work is completed. Supplier and final releases of lien will be given in exchange for final payment only. Financing paperwork must be signed by Master Contractor upon substantial completion of roofing work. Z.
