If Client fails to provide said notice, a non-refundable re -scheduling fee of $250 will be assessed. V J Signature Impact is in the business of installing windows and/or doors. The Client fully understands, agrees and accepts that this Agreement is strictly for that limited purpose and no other. Signature Impact will not perform any demolition work, stucco work, drywall repair and/or removal, concrete work, plastering, tiling, or any type of work or labor above and beyond the strict installation of windows and/or doors as part of its contracted "Work" or the scope of this Contract. If demolition work, stucco work, drywall repair and/or removal, concrete work, plastering, riling, or any type of work or labor above and beyond the strict installation of windows and/or doors is necessary, Contractor can provide a separate estimate for the additional cost of such work, labor, parts, and/or supplies or Client should make arrangements through a third -party. Client must, without exception or limitation, allow Signature Impact immediate and continuing access to the work premises for installation purposes within two (3) business days of being notified by Signature Impact that the Client's materials have arrived. Client will be assessed an additional, non-refundable $75.00 daily storage fee beginning on the third (4) business day following arrival of the subject materials. Client understands and agrees that Contractor will be allowed to perform the scope of work during the hours of Monday — Friday and the times of 8 Signature Impact Windows & Doors ,? gym. — 5 p.m., subject to certain recognized national holidays and/or homeowner association regulations. Client is at all times responsible for the permit packages which must maintain on the work premises during the duration of the scope of work. In the event that any permit(s) are lost or misplaced, a $250 per incident fee will be assessed to the Client along with any fees that may be incurred by the city. Client further agrees, without exception or limitation, to allow Signature Impact full access to photograph, video, or otherwise document the work/labor performed at the Client's premises. Client expressly permits Signature Impact to have its signage posted on the premises and/or to have Signature Impact's vehicles/trucks parked in the driveway, curb, or entrance while the Work is performed. Client Responsibilities The Client fully understands and agrees to the following necessary obligations and material responsibilities on the Client's part: (a) timely payment prior to the commencement of any work/labor; (b) preparation, inspection, retention of any additional contractors or third -parties to address any and all matters arising from or related to concrete, dry wall, stucco, tiles, or the like, prior to Signature Impact's installation of window(s)/door(s); (c) Signature Impact will charge a fee of $20.00 U.S.D. per blind, alarm, and/or sensor not removed prior to Signature Impact's arrival on the day of installation. Client agrees to indemnify and hold Signature Impact harmless for any and all damage that may occur during removal of said property, blinds, alarms, or sensors. Signature Impact is not responsible for re -installing any alarms, blinds, or sensors after removal. Contractor does provide a one (1) year express warranty on the work related to or arising from SIWD's installation/labor, which expressly excludes or exempts any items covered in the Client Responsibilities clause above and/or Indemnification clause below. Signature Impact Windows & Doors Indemnification Contractor is being granted indemnity by Client. Client shall indemnify, defend, and hold Contractor, its affiliates, associates, partners, officers, employees, agents, representatives, assigns, and the like, including any other vendors, harmless from and against any and all damages, claims, complaints, grievances causes of actions, suits, liens, liabilities, costs, and expenses, arising out of or in connection with the work set forth in this Contract and/or hereby contemplated, other than matters directly attributable to, within the scope of work, and/or over which SIWD had direct control, possession, and/or custody. Complete Agreement / Controlling Law This Agreement constitutes and represents the entire agreement and supersedes all prior and contemporaneous agreements, negotiations, representations, warranties, and understandings of the Parties with regards to the subject matter set forth herein. This Agreement shall be binding on and inure to the benefit of the Parties and their respective agents, representatives, successors, purchasers, assigns, heirs, and survivors. This Agreement shall be governed by and construed and enforced in accordance with the laws of the State of Florida.
