(1) ACCEPTANCE OF THIS PROPOSAL. Upon acceptance, this proposal
shall become a contract binding upon both the Buyer and Seller and shall be
constructed to the laws of the state, where the work is to be performed. In the event
that this proposal is not accepted any payments made by Buyer will be returned.
(2) COMMENCING PERFORMANCE. After acceptance. as provided, the
Seller shall be given a reasonable time in which to make delivery of materials and/or
to labor to commercial, the performance of the contract.
(3) EXCEPTED LIABILITY. The Seiler shall not be responsible for damages
or delays either before cornrrnencernent of or during the said work described
herein oar account of transportation difficulties, priorities, war, strikes, accidents,
acts of God, fire, sudden rains, stones, windstorms, other casualty or that of other
causes beyond its control.
(4) INSURANCE. The Seller shall comply with all laws relating to Workman's
Compensation in tete state where the work is to be performed and shall carry Public
Liability and Property Damage Standard form insurance. Insuring during the
progress of the work any liability which may be imposed by law upon the Seiler on
account of accident arising from such operations.
(5) WORKING CONDITIONS. The Sellers employees shall not be required
to work in hazardous conditions, (such as on freshly painted areas, in close
proximity to uninsulated power lines, in noxious fumes, in unusually intense heat
from furnaces, of where traveling cranes may strike their scaffolds), and the Buyer
agrees to give the Seller's employee all reasonable cooperation to mitigate such
conditions.
(6) DAMAGE TO SELLER'S WORK. The Guyer shall underwrite in behalf
of the Seller the const of any damage to Seller's work caused by the Buyer, his
agents, ardior contractors or sub -contractors. And in the even Of such damages
the same shall by repaired by the Seller, and the Buyer shall reimburse or cause to
be reimbursed to the Seller for the same on the basis of cost and labor, materials
and expenses plus 30%of the total for overhead and profit Such payment shall be
made on the tenth of the month following receipt of such statement from the Seller.
Buyer shall assume the risk of loss or damage resulting from fire, theft, misuse,
wind, flood, or from any other cause to materials delivered upon the premises or
installed by Seller and Buyer shall reimburse Seller upon demand for any such loss
or clamagc.
(7) CHANGES ANDIOR ALTERATIONS. In the event there are any
changes in the drawing and/or specifications from those from which the seller
computed the surn of this proposal, or if there is any departure in construction Crony
said drawings, then it shall become the duty of both the Buyer and the Seller.

(8) CANCELLATION. This agreement maybe cancelled either before or
after commencement of the work by the mutual agreement of both parties herein,
and in such an event the Buyer shall settle with the Seller as provide In paragraph 9.
(9) COMPLETION AND ACCEPTANCE, Upon completion the buyer
shall immediately inspect Seller's work and issue an acceptance to the Seller
provided the work has been completed according to the terms of the working
contract and full settlement shall be made in accordance with this agreement. A tull
and complete acceptance of the work shall be presumed upon the Buyer making
final settlement andior executing a note of final settlement.
(10) LITIGATION. In the event of any litigation to enforce the terrns this
contract the prevailing party shall be entitled to be reimbursed for all costs and
attorney's fees including those in incurred appoliate review.
(11) MODIFICATION. This contract may not be modifiod or terminated
except in writing or signed by all parties herein. Any attempted waiver of any of the
terms of this contract shall not be valid unless in writing anti signed by the party
against .vhom the same sought to be enforeecJ.
(12) ENTIREAGREEMENT, This contract, includinganyexhibitsandRiders
attached sets forth the entire agraernent between Buyer and Salle., and contains all
of the covenants, promises, agreements, representations, conditions. and
understandings, Typewritten or handwritten provisions inserted in this contract or
attachad herein exhibits or Riders shall control all printed provisions in conflict
therewith. No statement implied or expressed, representation or agreement,
wntten of verbal, not appearing upon the face of this contractor Shall be binding
upon the parties hereto,
(13) LATE PAYMENT. Ail sums not payed as due shall bear interest at the
maximum rate allowed by law until payment is received and unless otherwise
stated all sums become due and payable until Subs:antlaf completion of work.
Contractor will retain title until full payment of obligation of indebtedness is met.
Purchaser whose name appears on this agreement personally guarantees
payment of this contract.
(14) RIGHTS, RESPONSIBILITIES, AND DISCLAIMERS.
A. Contractgr shall not be responsible for arty fault due to r`racks,
discoloration or hydrostatic pressure.
B. In the event any tiles are broken, Seller shall only be responsible for its
best effort in matching and installing said tile.
C. Buyer must make all payments required Therein. Surface detects requiring
touch up or repairs shall be covered as warranty work. and shall in no way
affect the payrnent schedule. Payment held due to to tough up or repair
work will be considered in dePiuft. Furthermore, no warranty will be
performed unless customer has paid full amount of the contract price to

D. Guyer shall be solely responsible far any footprints and marks croatea by
vchic:les. bicycles, pets. animals. Andior persons prior to hardening of the
scalerandcoment.
E. Due to conditions beyond Seller's control concrete will riot be changed or
modified once it has he'fdenecl. Any additional leveling or straightening
will be charged extra and must be noted at the top of this contract.
F. Cantilever copings may vary in thickness clue to existing iob conditions.
G. Seiler is not responsible for cold joints in installation due to rain.

future traffic. Sun exposure, or uta, Seiler can not guarantee the shine and

N. Seller's Warranty is firnited to the examination and repair of faulty
installations caused by ci fects in material and workmanship to the full
dollar value are proven defective. Written notice must be given within ons
year of substantial completion. This warranty is limited solely to the
rePlaCemernt value STAR ISLAND CONCRETE DESIGN, CORP.
No other express warranty or guarantee is given.
0. Seller makes no warrantied. guarantees, nor shall Seller be liable for any
further work after the: work is completed and accepted by Buyer, except as
may be provided in this agreement by a reference to specifications
covoring the proposed work or as may provide specifically in this
Artreement; however, any such references anc!:or provisions shall be
strictly constnred only as an obligation on the Seller to issue a written
guarantee upon completion of the work. It is mutually agreed iha: before
:any guarantees are binding upon seller. Tney rnLlSt be in writing, whether
issuod voluntary, or in accordanoe wilt; this proposal and that whenever
the Seiler, upon completion of the work as provided. shall issue to the
Buyer sue!: a written guarantee, the liability of the Seller shall be limited to
the terms arid provisions os such guarantees and confin-oo to the v.ork
actually done hereunder. in no event shall such a guarantee impose upon
the Seller any liability for dainrages caused by fire, tornado, hall hurricane
or other extraordinary cause beyc;nd Seller's control, nor rlarna;.la to the
building upon or in which suet, work is done; nor for any damage to said
work, caused by settlarrent, warping. distortion, of said building. nor for
the failure of any materials or integral. part of said building use as base,
attachment to, or from, said work: nor for damage to ill tcrior furniture and
fixtures decorations, stock, or ec.uipmentclue yo leakage or otherwise. Itis
further agreed thati!hthe event+he Buyer upon final settlement to the Seller
fails or nerlec!s to require such a guarantee as may have been anticipated
by the parties hereof, tho same shall be construed as,a waiver by the
Buyerof ail rights under th:e predicted guarantee.
