(herelnaheroferred to as the *Worn shag be completed in a workmanlike mannerand conform to the attached spedfiatiom and standard building practices based on similar contractor in the locality in which the Work
is being performed as ofthe rate(s) when the Work is completed. UtheWork involves extra costs. labor or time, the Ownershall pay a charge owrand above the agoed-upon price forsuch exha Work as mutually agreed
upon between theloarfin upon completion ofsuch extra Work. Work will start approximately two to four (24) weeks following permit approval, ifappliable. Owner agrees to the payment schedule included in this
Contact. Owner agues to sign a completion cerifiam upon substantial completion OFtheWorkas determined byIndustry standards. Ownerundersands that government authorities, homeowners assodadans and/or
other governing entities require a recent copyofa sitesurvey f rmost pmjem and possibly other requirements and, assuch, Owner must obtain and payfor any of same at in sole expense. By execudng this Contact
Owner expressly accepts and authorizes all specifications, prices and renditions In this Contract acknowledges an full understanding of all terms and conditions stated herein, and agrees to the scope ofWork detailed herein
as more filly described in the attached specifications.
Permits and Governing Authorities: Contactorshall not be required to obtain permits or plans unless this Contact expressly specifies that contractor is required to do so. Ifrequested, Contracroris granted the right to
obtain basic permits in the name ofthe Owner. Ownershall obtain all necessary permits prig to the commencement of Wod, by Contractor, Imlm Owner specifies in a written statement that Owner don notwish to obtain
permits and that Ormerspecifially assumes all responsibilities and liabilities that mayarise from Insuffident permits including, but not limited to: permit fees, excess fen, penalties, fines, code enforcement proceedings,
assessments and anyand all other charges and, In addition, Owner agreesto hold harmless and indemnify contractor in connection with anyadwrse matters which may arise as a multthered.. Became of possible delays

(30) alendardays as required by489.126, Florida Statutes and Owner therefore expresslywaiin that requirement. Contractoragmesto act in good faith and make every effort to apply for all necessary and applicable
permits within a reasonable time under thespecificcircumdances ohhe Work.Omer accepts full and sole responsibility foranyand all condittomfa permit approval placed by any and all government authorities. Owner
adntowledgerthat actors, such as location and community ordinances, may require additional Work, including labor, for changes in such Items as a mull thereof Induding, but not turned to: exterioranthedc design,
septic system, humane protection, HVAC systems, energy and landscape features, etc, all of which Dmeragrees to accept and to pay farall of same.
Existing Structures and Systems: Construction using anyexisting foundation is donewith full knowledge, understanding and consent of Owner. Any foundation Work will be charged accordingly unlet otherwise
spedfied. Ownerwaives all mponsibilityarladktyon the part of Contractor for leaks found In orresulting from the existing building, moron attachment to the Asda of an existing house taw. Owner acknowlecigesthm
some roof leaks ofexisting structures may travel extensively and might not become evident until intruding Into a sumoom orotherstmdure and agrenthat Contractor is underno obligation to discover orrepair any
existing problems ofesdsting building. Owner shall have the sale respons@Ilryto correct any leaks found above the connection point with the surmom m0theraddition, or attributed to existing roofing materials. Should it
be determined that a leak in a new structure has been caused by preexisting roof conditions, Ownershall be solely responsible for all materials and laborcosts Incurred by Contractor to Investigate and discover the cause.
Conl- auris notobligatedto correct any damage aused by termite, dry not, decay or the like unless otherwise specified in writing. No modifications to existing structure, electrical systems, plumbing, orservices of any
kind are included unless spedfically outlined In this Contract.
Insurance and Damages: Contractor shall any worker compensation and property damage and liability Insurance as required by existing law. Owner shall any fire Insurance and extended coverage of Insurance
polices for the Property and for the Work to fug replacement value. Contactor shall not be held responsible or liable far damage or less caused to any part of the Property, including its interior, by any acts, events and or
occurrences beyond the Contactors control Including, but not limited to: acs of God, Inclement or abnormal weather conditions, Including min orwder damage, those caused by dot war, terrorism, labor strikes, etc
:., ser agree to maintain adequate Insurance against sudi losses. Contractor and its workers arc not responsible or liable for damage or toss to driveways, woks or other structures, or to vegetation, including but not
Iimi"to awns, free and shmb%or to any other personal property, inside or out, which are not directly caused by Contractor or its workers or by movement of trucks, equipment, materials or debris.
Work Performance and Delays: Owner shag at all times make the Property reasonably available and accessible to contractor and Contractors mixemetaUves, workers and/or subcontractors. Omer agrees; that Contactor
shall not be held responsible when progress on the Work is affected by governmental autho titles and bodies; avaltabllity of materials; unfavorable weather, the performance of other connectors andlor subcontadom
and/or suppliers and vendors ofsuch contractors and/or subcontractors; and by changes that maybe made by Owner or necessitated by actions lather trades. Any work ordered by Omer not Included in this Contact shall
be deemed extra Work and shall be reduced to writing in a change Order tonally agreeable to both Parties and shall thereafter became a part ofthe Work and all provisions hereunder shall be construed accordingly.
Where possible, the type and amount for such extra Work shall be determined in advance, with Own paying for all of such extra Work at the commencement of same. Notwithstanding anything to the contrary contained
herein, Contractor shall have the right to stop any and all Work if any payments are not made when due, regardless ofwhat partici larWorksuch non-payment(s) Ware In relation to.

Owners cancellation of the Work, for any and/or no reason whatsoever after midnight of the third (3rd) calendar day after execution of this Contact by both of the Partin (hereinafter refered to as the 'Effective Date)
shall entit a Contractor to main/obtaln the 30% Engineering Payment which is considered and agreed upon by the Parties to be reasonable, liquidated damage, however, notwithstanding the foregoing, no refunds of any
amounts shall be allowed where Cancellation occurs after approvals by permit and other governing authorities and, instead, because every construction project Is unique and materials art not aceto be mused an other
projects, where Cancellation occurs after such approval of the pertaining authod% the total price for all riche Work shall he due upon any such Cancellation notwithstanding anything to the ternary contained herein. Any
refusal or delay of the Work by Owner for any and/or no reason whatsoever after signing of this Contract may result In a warehouse storage fee of $50.00 dally In the sole and absolute discretion of the Cantradn, which is
separate and apart ofarty other remedies which Contractor has hereunder as a result thereof. Contractor does not guarantee approval by permitting authority, homeowners association or any other parties.lf an
application for permit, homeowner assodition or any other necessary approval is declined for any and/or no reason whatsoever, Contractor shall refund to Owner all sums paid by Owner hereunder within fifteen (15)
calendar days thereafte,TheWarrantyforthe Work shag not become effective nor shall any warranty repairs be performed no final inspection requested until all sums due and owing for all of the Work has been paid in

Venue selection, Arbitration Requirement, and Litigation:
Venue for any and all actions or controversies arising out of or relating to this Contac shall be the county where the Contractor's office servicing this Contact islocated as ofthe date ofthe commencement of same,
however, notwithstanding the foregoing, Contractor reserves the right from time to time to transfer contract servicing to other offialocations, In which event such venue shag be changed consistent therewith at
CanUactofloptl0n.
Except to the extent otherwise required under Florida Law, the Partin irrevocably walve their right to litigation In connection with any action or claim related in any manner to this contract attheWork and they agree that
any such action or claim shag Instead besabject to and governed by the mlm ofwlth the American Arbitration Association as the exclusive dispute resolution forum for same whenever available for such purposes. The
decision of such arbitration shag be final and binding upon the Parties, their respective heirs, successors and assigns and maybe admitted in any court of competent jurisdiction as being the equivalent of ajudgment
rendered Is" court having the highest jurisdiction in such matter Including all appellate matters.
In the event any litigation arises under this Contact, the prevailing parry shag be entitled to recover from the non -prevailing party all of the prevailing partys reasonable attorneys fees, court costs and expenses, Including
those Incurred on appeal, unless there is a specific attorneys fee provision contained herein to the contrary. IN CONNECTION WITH THE FOREGOING, THE PARTIES EXPRESSLY WAIVE THEIR RIGHT TO ATRIAL BY JURY,WHICH IS

administrative management of AAA with each party paying applicable fees established by AAA. The finding of the arbitrator or the majority of the arbitration panel, Nmom than one arbi atot shall be final and binding
upon the Patties. Each Party shall pay its on arbitrator and one-half of the cost of the neutral arbitrator, or shall split equally the cost of a single arbitrator, whichever may be applicable. The dedsim ofsuch arbitration
shall be final and binding upon the Partin, their respective hens, successors and assigns and maybe admitted in any court of competent Jurisdiction as being the equivalent of ajudgment rendered by a court having the
highest Jurisdiction In such matter Including all appellate matters.
Residential vs. Commercial Constraction Projects: This contact serves both rnlden tal and cermmerdal dients. Some protections to the consumer in residential projects, Including three (3) calendar days for
ancelation by Dwner, are not offered In commercial agreements and wouldlherefore not apply themunder.This Conten does not extend to commercial applications the residential pratedions that would not normally he
given to commercial clients. This paragraph in noway restricts protections granted through the State of Florida to residential clients.
Miscellaneous Provisions: This Agreement shall Inure to the benefit of, and be binding upon, the parties hereto, their succmon, heirs, personal representatives and assigns, The Parties hereby acknowledge that they haw:
been and arc hereby again advised to obtain the advice of their own Independent kgaj and other counsel potato execution of this Contact and, as a mult of their respective exertion of same, that they hereby further
acknowledge they have fully read and understand all of the terms and conditions contained herein, and that they agree to be legally hound by all of same. This Agreement constirnes the entire agreement of the Parties
with respect to the subject matter contained herein and supersedes all other negotiations, understandings, replesenlatlons, and agreements, if any, made byandlr between the Parties with respect to such, subject matter.
Consequently, no representations, inducements, promises oragreements, oral or otherwise not embodied herein, if any, arc of any form or effect with respect to such subject matter.

to aluminum facings with Ashland Chemical 2020D [SO grip. Fabrication to be: y Elite panel
products only in accordance with approved fabrication methods.
6. Elite roof panels maintain a UL 1715 (int) class `B' (ext) rating and are NEIL -5a 1 approved.
7. This specification has been designed and shall be fabricated in accordance with .the requirements
of the FBC, composite panels comply witch Chapter 7 Section 720, Chapter B Section 8133, Class
A interior finish, and Chapter 26 Section 2603. All local building code :amendments shall be
adhered to as required.
8. Tlhe desigrner shall deterarriane by accepted engineering practice die allowable loads foo- site
specific load conditions (including load combirhations) using the data from die allowable loads
tables and spans in this approval.
9. Deflection limits and allowable spans have been listed to meet FBC including the HVHZ (L/80
for spans < 12'-0" .and L/180 for spans > 12'-0").
10. All .supporting host structures shall be designed to resist all superimposed loads.
I L All components which are permanently installed shall be protected against corrosion,
contamination, and other such damage.
12. Size and Spars Limitations:
