Contractor and Subcontractors working for Contractor shall comply with state, federal and local Law when discharging their responsibilities under this agreement. If Contractor observes that Drawings, Specifications, or other Contract Documents do not comply with applicable Law, Contractor shall promptly notify Owner of the variance. Any changes made to the Contract Documents as a result of this notice shall be handled in the form of a Change Order under this agreement. C. Permits and Fees A. Contractor shall secure all permits, licenses and renewals required by government authority to complete construction of the Interior Renovation. If permits are required for Subcontracted Work, Subcontractors will secure those permits. Owner shall assist Contractor in responding to requests for information from the permit -issuing authority. Contractor shall provide Owner a copy of each permit, license and renewal issued by government authority for the Interior Renovation. B. Owner will pay the building permit fee, Plan check fee, and charges levied by government for testing, Inspection and Re -Inspection of the Interior Renovation. C. Except as provided elsewhere in this agreement, Owner will pay all fees and application charges imposed by government authority, including, but not limited to, grading permit fees, drainage permit fees, traffic control charges, thoroughfare charges, impact fees, special district fees, sewer fees, water fees, planning fees, school fees, elevator permit fees, charges for temporary access or use of the public right of way, and charges for document processing, hearings, and certifications. Owner will also pay all fees and application charges imposed by any association of property owners having authority over the Job Site. Except as provided elsewhere in this agreement, Owner will pay all application fees and connection charges imposed by utility companies or government agencies for bringing service to the Job Site, and for connecting gas, water, electricity, phone, cable, sewer, and drainage lines. Except as provided elsewhere in this agreement, Owner will secure all approvals for the Interior Renovation that are required by government authority, including planning, easements, remediation, environmental, and zoning approvals. XIII. Employee Relations A. Contractor is responsible for performance of all construction crews, including employees of Subcontractors, and shall enforce strict discipline and good order on the Job Site. B. Contractor will enforce the following rules on the Job Site: (1) Anyone found in possession of a firearm will be directed to leave immediately and will not be allowed to return, (2) Possession, sale, or distribution of alcohol or illicit drugs is prohibited. Anyone under the influence of alcohol or illicit drugs will be directed to leave immediately, (3) Contractor will certify that personnel on the Job Site have consented to submit to drug and alcohol screening and testing including pre -employment, for cause, periodic or random tests, and (4) Entry on the Job Site shall constitute consent to Inspection of an employees person, vehicle, and personal effects by Contractor, Owner, or other authority. Any employee who is found in violation of these Job Site rules or who refuses to permit Inspection shall be barred from the Job Site at the discretion of Contractor or Owner. C. Owner's Responsibilities A. Owner will respond in writing and with reasonable promptness to written requests from Contractor for information relevant to completion of the Work. Owner will identify a Representative qualified to respond to questions from Contractor when Owner is not available. Contractor is authorized to rely on written responses from Owner and the identified Representative. B. Owner affirms that Owner has the right to enter into this agreement and has the right to contract for construction of the Interior Renovation on the Job Site. Owner shall pay all taxes and assessments due on the Job Site during the period of construction and shall take all reasonable actions required to protect marketable title to the Job Site. C. Owner shall have sole responsibility to secure financing for the Interior Renovation and shall pay all fees, charges, or other costs of such financing, including Inspection fees charged by any lender. The nonperformance of any lender shall not affect the obligation of Owner to Contractor. Owner hereby authorizes and directs any lender on the Interior Renovation to furnish Contractor with full information on undisbursed loan proceeds when requested by Contractor. D. Owner shall inform Contractor of any significant change in the availability of funds committed to make payments required under the Contract Documents. Owner will not interfere with or permit others to interfere with, stop, hinder, or delay completion of the Work by Contractor or Subcontractors except as provided under this agreement. F. Owner will coordinate the Work of Separate Contractors on the Job Site to ensure that Work under this contract can proceed without interference. Owner affirms that contracts with Separate Contractors require their cooperation with Contractor. G. All materials to be furnished by Owner under the Contract Documents shall be on hand and available at the location specified, when required in the normal course of construction. Contractor makes no warrant that materials Furnished by Owner are suitable for use in the Interior Renovation and may reject such materials if Installation would materially increase the cost of construction or substantially delay completion of the Interior Renovation. H. Owner grants to Contractor the rights to take pictures of the Interior Renovation and use those pictures for advertising, promotion or publicity purposes in any electronic, online, or print format. Owner grants to Contractor permission to give prospective clients of Contractor the name of Owner and a contact number when soliciting future business. Contractor may submit a request for a Change Order under the terms of this agreement if Contractor has clear and convincing documentation that Work of any Separate Contractor or Work by crews of Owner have materially increased the cost of completing the Interior Renovation or caused a significant delay in the Work. XVI. Representations by Contractor A. B. Contractor shall use skill and attention to complete the Work in a timely manner consistent with the Contract Documents. C. Owner disclaims the accuracy of information provided to Contractor. XVIII. Payment Plan A. Owner will pay to Contractor the Contract Price in installments consisting of an initial payment, progress payments, and a final payment on completion of the Work. XIX. Initial Payment A. Owner acknowledges that Florida Statutes Section 489.126(2) requires that a contractor to apply for a building permit within 30 days after the contract is signed. Due to circumstances on this job, Owner waives and gives up the right to enforce a 30-day permit deadline as granted by Florida Statutes Section 489.126(2). B. Upon execution of this agreement, Owner shall pay to Contractor $17,900.00 as an advance on the Contract Price. C. Contractor may use the initial payment to buy materials for the Interior Renovation, for pre - construction expenses, and to cover a portion of the fee for doing the Work. D. Applications for payment shall include amounts due for changes only if approved as Change Orders or required as changes by Owner and shall exclude any amounts which are in dispute with Subcontractors or Material Suppliers. XXI. Payment for Materials Stored Off -Site A. No application for payment shall include materials stored off -site unless: (1) Contractor has received written approval from Owner to store the materials or equipment off -site in advance of delivery, (2) A certificate of insurance is furnished by Contractor evidencing the property in question is covered by all-risk property insurance naming the materials or equipment stored and naming Owner as an insured party, (3) Owner is provided with a detailed inventory of the stored materials or equipment, (4) The materials or equipment are clearly marked and identified and made available for Inspection and verification during normal business hours, (5) The materials or equipment are properly and safely stored, protected from weather, damage, vandalism and theft in a Bonded warehouse or a facility otherwise approved in advance by Owner, (6) Contractor provides documentation of the purchase price and that Contractor can pass clear title to the materials or equipment upon payment by Owner, and (7) Contractor warrants that the materials and equipment shall not be moved from the approved storage location except to the Job Site. XXII. Retainage A. Progress payments to Contractor shall be reduced by the amount set out in this contract for Retainage. Except as otherwise provided in this agreement, all Retainage shall be released to Contractor no later than 14 calendar days after Final Completion of Interior Renovation. B. Contractor may, for satisfactory and substantial reasons, make a written request for release of part or all of Retainage attributable to the Work of a specific Subcontractor who has finished all Work assigned in a manner acceptable to Owner and Contractor. Any such request shall be supported by a written approval from each Surety company furnishing a Bond for either Contractor or the Subcontractor affected. The release of any such Retainage shall be supported by any evidence or statement that Owner may require, including evidence of prior payments made to the Subcontractor, a copy of the Subcontractor's contract with Contractor, copies of applicable warranties, as -built documents, maintenance manuals or other documentation. Release of Retainage on behalf of a Subcontractor shall not affect any warranty or guarantee of Contractor under this contract unless a notice of partial Substantial Completion is issued for Work which is subject to the release of Retainage. Contractor will ensure that Subcontractors, tradesmen and Material Suppliers working under direction of Contractor are paid when due to avoid the exercise of lien rights provided by state Law. XXV. Details on Lien Claims A. Contractor warrants and guarantees that the Interior Renovation will be completed free of liens, Claims, security interests, and encumbrances of Subcontractor, tradesmen and Material Suppliers working under direction of Contractor on the Interior Renovation. B. By making application for payment, Contractor certifies that Contractor is unaware of any lien or property rights claimed on the Interior Renovation made or threatened under state Law by Subcontractors, Material Suppliers or tradesmen except as specified in the application for payment. Owner is entitled to withhold payment to Contractor until such time as Contractor makes full disclosure of all details concerning lien or property right Claims made or threatened on the Interior Renovation by Subcontractors, Suppliers or tradesmen. XXVII.Final Payment A. Contractor will submit an application for final payment to Owner when the Work has been completed in compliance with the Contract Documents. If Owner agrees that Work has been completed, payment is due Contractor for the entire unpaid balance of the contract amount (including any Retainage). B. Making of final payment constitutes waiver of all Claims by Owner against Contractor except those Claims previously made in writing and delivered to Contractor and those obligations otherwise provided by this agreement or by operation of Law. C. The acceptance of final payment by Contractor constitutes a complete and unconditional waiver and release of any and all Claims by Contractor of whatever nature, and regardless of whether they are then known or unknown, and a complete and unconditional release of Owner, and every person for whom Owner is responsible, for any and all matters related to the contract or otherwise, except those Claims which have been made in writing and identified by Contractor as not having been settled at that time. Changes in the Work A. Owner pledges to respond promptly to requests by Contractor for guidance, assistance and payments when due and agrees to extend to Contractor the deference and latitude a dedicated professional deserves. Contractor pledges to commit the skill and resources required to complete the Interior Renovation in a manner that complies with both the letter and spirit of the Contract Documents and enhances the reputation of Contractor for dependability and professionalism. XXX. Value Engineering A. Contractor shall notify Owner of opportunities to reduce costs, accelerate completion, or improve results without loss of intended design functions and without reduction of desirable characteristics such as service life, reliability, economy of operation, and ease of maintenance. Value engineering proposals by Contractor shall be in the form of a recommended Change Order and shall include the following information: (1) A description of the proposed change including comparative advantages and disadvantages in service life, reliability, economy of operation, ease of maintenance, design safety standards, appearance, and impact on the Contract Completion Date, if any, (2) A list of contract Requirements, which must be changed and recommendations on the best way to make those changes if the value engineering proposal is adopted, (3) An offer to complete the proposed change at a specified price, (4) A statement of the time by which a decision on the value engineering proposal must be made to obtain the forecast benefit, and (5) If required, Contractor shall ensure that proposed changes are prepared Page 11 DocuSign Envelope ID: F45CC1 BD-9ADD-4707-8680-D51 D02AA31 F5 under supervision of a licensed professional architect or engineer. It is a breach of the major structural damage warranty where there is actual physical damage to designated load -bearing portions of the structure caused by the failure of such designated portions to perform their load -bearing functions to the extent that it makes the structure unsafe, uninhabitable, or unsanitary during the first 1 year. C. Arbitration provisions of this contract shall be specifically enforceable. D.
