MAINTENANCE SERVICES: Under this Agreement, AA Power will perform Preventive Maintenance on the Customer's System with the objective of enhancing its reliability and performance through periodic inspections and functional tests by one of our certified technicians. For purposes of this Agreement, the System's limits are defined as all equipment necessary for the System's performance of its intended Stand-by function, From the Propane gas tanks (to include fuel; fuel supply; fuel storage; generator; generator components and ATS), up to and including the transfer switch. This Agreement is not a guarantee, expressed or implied, against equipment malfunction or failure. The Preventive Maintenance performed under this Agreement is intended to minimize such incidents to the extent possible through periodic inspection and tests. In the event that during such inspections and tests the technician finds that work or repairs beyond those covered in this Agreement are required, the Customer will be informed, and provided with information regarding the reason and need for the additional work or repair. An estimate can be provided at the customer's request. No work or repair beyond that included in the Agreement will be done without the Customer's approval. EXCLUSIONS: The Preventive Maintenance services provided under this Agreement do not include, without limitation, any of the following: Repairing damage or providing parts required as a result of neglect, misuse, including work done on the System by other than AA Power; accidents, failure of electrical power, or power surges; or other events beyond the reasonable control of AA Power, such as, but not limited to, Acts of God. Providing fuel, supplies, or accessories other than those specifically mentioned herein as being included in the services performed under the Agreement. Electrical work external to the System. Painting and / or refinishing the System's equipment. Making changes to the System. Services related to relocating any of the System's equipment. Servicing or maintaining accessories, attachments or other System devices or equipment not furnished by AA Power. PARTS: AA Power will supply parts as necessary at AA Power's current price, or on an exchange basis, regardless of when installed. Such parts shall be new, or equivalent to new in performance when used in the System. SCHEDULE: AA Power will perform Preventive Maintenance under the Terms of this Agreement on a quarterly basis (every 3 months), or as otherwise agreed and included in the Agreement if different from the quarterly schedule. AA Power will call at least 24 hrs ahead of the scheduled technician service call to advise the date and approximate time of the visit, and confirm that there will be someone at the property to provide access to the System. Service calls cancelled by the Customer, or because of the absence of the Customer or his authorized representative, after arrival of the technician will be subject to a cancellation charge. DELAYS: AA Power will not be held liable for delays in the performance of the Preventive Maintenance services, directly or indirectly, resulting from acts of the Customer, or its agents, employees, representatives or subcontractors, or other causes beyond the control of AA Power. Such as, but not limited to, Flood, Fire, Unusual Severe or Hazardous Weather Events, Accidents, Acts of the U. S. PAYMENT: Customer agrees to pay for all charges for all on -call; unscheduled or other Customer requested maintenance work performed outside the specified Agreement Maintenance Services immediately after the completion of the work If AA Power elects to receive payment other than at completion of the work, such payment shall be made within thirty (30) calendar days after the day the service was rendered. After the 30-day period, Interest on any unpaid balance shall accrue at eighteen percent (5%) per year, or the maximum rate allowed by the Laws of the State of Florida. TERM: This Agreement shall be in effect for one (1) year from the date of its execution by the Parties, and will be automatically renew each year thereafter unless cancelled by either of the Parties only within the last 30 days of the then current term. The Party requesting cancellation shall send the other Party the Notice of Cancellation in writing, via Fax, or Email, with proof of delivery and receipt. Customers can modify the quantity of scheduled visits from 4 to a minimum of 2 visits per year (semi-annual). Any outstanding charges for work performed by AA Power before the cancellation becomes effective, shall survive such cancellation and become payable on demand. WARRANTY: AA Power warrants that under normal conditions of use and operation: AA Power's obligation under this warranty is limited to the repair or replacement, at its option, of any part that, within ninety (90) days after installation and acceptance is deemed by AA Power not to be in conformance with the equipment manufacturer's published specifications. AA Power further warrants the services rendered under this Agreement as being free of defects in workmanship for a period of ninety (90) days from their performance of the service. AA Power's obligation is limited to correction of the defective workmanship. The above warranty is applicable only to the System components supplied by, or work done by AA Power. This warranty is exclusive and in lieu of any and all other warranties, express or implied, including any implied warranty of merchantability, or fitness for a particular purpose. CONSEQUENTIAL DAMAGES: The Customer agrees that AA Power shall not be liable for any consequential, incidental, or special damages, or for any other losses, including revenue or profits, arising out of any default under this Agreement. This shall apply even if AA Power shall have been advised of the possibility, or otherwise has knowledge, of such potential for loss or damage. MISCELLANEOUS: In addition to the terms and conditions of this Agreement, Customer and AA Power further agree that the following shall also be applicable and part of this Agreement: No waiver or change to the Agreement shall be effective or binding unless documented in writing and approved by the Parties. This Agreement is governed by the laws of the State of Florida, and the venue for any action related to this Agreement shall be placed in the courts of Miami -Dade County exclusively. The parties waive forum non-conveniens. This Agreement is the product of informed negotiations between the Parties, with full meaning of its terms and conditions. Therefore, this Agreement nor its related documents shall not be construed against either Party, regardless of which Party drafted the Agreement. In case of enforcement of any action in connection with this Agreement, the prevailing Party shall be entitled to collect from the non -prevailing Party all court, legal, accounting, attorney and other reasonable costs related to the litigation. The Parties to this Agreement hereby WAIVE THE RIGHT TO TRIAL BY JURY related to any issue or matter arising out of or in connection with this Agreement. Customer hereby agrees that AA Power's personnel will have free access to all System components for purposes of providing the services contemplated under this Agreement. This Agreement and related documents mentioned as part of the Agreement constitute the entire Agreement and understanding of the Parties with respect to the transaction contemplated in the Agreement.
