Quote Number: 501278 Page 4 Of 4 f ' GRIFFIN BUILDING PRODUCTS LLC'S SALES AGREEMENT 4870 NW 167TH STREET, MIAMI GARDENS, FL 33014 This is an agreement between Griffin Building Products LLC ("GBP") and Alfred & Nancy Dowson (hereinafter "Customer"). This agreement incorporates by reference the (quotations and other relevant documents) attached as Exhibit A, and this Agreement is subject to its instructions, terms, and conditions. This agreement, quotations, and other relevant documents shall collectively be referred to herein as the Agreement. 1. Specifications of Products to be Delivered The Specifications of Products to be installed is set forth in Exhibit A. 2. Price,Delivery, and Installation of Products (A) Price The price of the products are set forth in Exhibit A. The prices of the products provided are based on specific technical specifications, dimensions, quantities and, if applicable, custom finishes. Customer acknowledges and agrees that it has verified and confirmed the information contained in Exhibit A before executing this agreement. (B) Delivery of the Product It is the responsibility of the customer to make available the premises for the delivery and installation of the products in a timely fashion. (C) Installation of Product GBP is not a general contractor. GBP will be coordinating permitting (if required), delivery and the installation of the products. GBP will choose the installer of the product who shall be licensed to perform the scope of work in the State of Florida. Products supplied shall be installed to code as specified per the Florida Building Codes. GBP agrees to furnish materials only as set forth in this Agreement. Customer acknowledges and agrees that it is the customer's responsibility to ensure that there are no (natural or man-made) impediments at the premises preventing the installer from installing the products. 3. Sales Tax Sale tax will be charged on all orders unless a current signed sales tax certificate is on file with GBP in accordance with the laws of the State of Florida. 4. Delivery Date of the Products and Time-Frame for Obtaining Permits (A) Delivery Date of the Product Delivery dates of the products will only be able to be forecast upon the manufacturer's acceptance of the order. Once such date has been set, GBP shall not be responsible for any delay GRIFFIN BUILDING PRODUCTS LLC'S SALES AGREEMENT caused by the manufacturer, labor difficulties, fire, weather, natural disasters or other acts of God, or any causes beyond GBP's control. (B) Time-Frame for Obtaining Permits GBP, in conjunction with its installers, will strive to expeditiously obtain any necessary permits required by the designated Building Department for the installation of the products set forth in Exhibit A. However, GBP shall not be responsible for any delays that occur as a result of the permitting process. 5. No Cancellation or Return of Initial Payment After the effective date of this Agreement, there shall be no cancellations of orders that have been placed. Initial payments on orders are non-refundable and the customer is responsible to the manufacturer for the remaining balance of the order. However, the customer is entitled to reject any damaged products at the time of delivery,but waives that right thereafter. 6. Payment Schedule and Release of Lien (A) Payment Schedule Customer shall pay fifty percent (50%) of the amount set forth in Exhibit A upon the effective date of this Agreement. The next payment of thirty-five percent (35%) shall be due upon delivery of the products. Materials will not be released until second payment is received. The final payment of fifteen percent (15%) shall be due immediately after the designated Building Department has passed the final inspection and the permit is closed. (B) Release of Lien Once GBP receives the final payment (as set forth in paragraph 6(A), it shall issue the Release of Lien to the customer. 7. Customer Indemnification Customer shall indemnify GBP vis-a-vis manufacturer and/or installer(s) for any cost owed as a result of customer's nonpayment. All legal fees (lien notices, collection fees, court fees, attorney's fees) incurred by GBP due to non-payment by the customer to the manufacturer or installer shall be the sole responsibility of the customer to indemnify GBP. 8. Customer Claims Against Manufacturer's Warranty Warranty and claims for defective products need to be inspected and approved by the manufacturer of the products before either a credit is issued or the product is replaced. A "Return Goods Authorization", issued by the manufacturer is required prior to the return of any goods,the issuance of a credit memorandum or the replacement of any product. 2 GRIFFIN BUILDING PRODUCTS LLC'S SALES AGREEMENT (A). No Warranty for Silicone and Sealant Squeeze Out Customer acknowledges and agrees that glass has prevalent characteristics such as bubble, slight discolorations, blurs and hairline scratches. Accordingly, the customer acknowledges and agrees that silicone and sealant squeeze out are not manufacturer defects. (B). No Warranty for Glass Distortion Caused by Heating;and Cooling Cycles Customer acknowledges and agrees that heat strengthened glass is subject to distortion caused by the heating and cooling cycles that produce the increased strength and thermal endurance of these products. Customer further acknowledges and agrees that these visual characteristics are not defects and cannot be eliminated; they are to be expected, as they are inherent qualities that meet or exceed federal specification. 9. Customer Claims Against Griffin Building Products GBP's sole and exclusive obligation and liability with respect to products sold to customer are expressly limited to repairing or replacing, at GBP's option, any product agreed by the manufacturer to be defective at the time of delivery. GBP will in no event be liable for incidental, consequential liability or damages caused by customer misuse or abuse or weather- related damages to products supplied. Similarly, and for the same reasons set forth in paragraph 8(A)and(B),the customer acknowledges and agrees that GBP is not responsible for any silicone and sealant squeeze out or for glass distortion caused by heating and cooling cycles. 10. Product Standards All impact and non-impact glass products sold by GBP are manufactured in accordance with ASTM(American Section of the International Association for Testing Materials) Standards, and the quality and acceptability of this glass will be determined by this standard exclusively. If a dispute should arise about the quality or acceptability of impact glass or non-impact glass, a determination will be made by an independent forensic engineer who must be a full member of the National Academy of Forensic Engineers and that individual must also be mutually agreed on by the customer and GBP. In that event, the customer and GBP agree to be bound by the decision made by this independent forensic engineer. In the event that the independent forensic engineer determines that the product is unacceptable, GBP shall repair the product in a manner acceptable to the independent engineer at no additional cost to the customer. 11. Notice and Method of Payment (A) Notice Any notice required to be given under this Agreement shall be in writing and delivered personally to the other designated party at the addresses listed in Exhibit A, mailed by certified, registered or express mall, return receipt requested or by Federal Express (which must be signed for). Either party may change its address to which notice or payment is to be sent by sending the other party (through means provided for in the previous sentence) written notice to the other party of the new address. 3 GRIFFIN BUILDING PRODUCTS LLC'S SALES AGREEMENT (B) Method of Payment The method of payment is set forth in Exhibit A. 12. Governing Law,Dispute Resolution,Jurisdiction and Venue (A) Governing Law This Agreement shall be governed in accordance with the laws of the State of Florida. (B) Dispute Resolution The parties agree to make a good-faith effort to resolve any disagreement arising out of or in connection with this Agreement through amicable negotiation. Should the parties fail to resolve any such disagreement within thirty (30) days, the parties agree to have the matter mediated. The parties shall confer and agree upon the mediator. If the mediation does not resolve the dispute, then the controversy may be brought by either party to the American Arbitration Association("AAA"), if the total fee for the products and services is fifteen thousand dollars ($15,000) or less. The outcome of such arbitration shall be binding on the parties. If the products and services exceed fifteen thousand dollars ($15,000) then the matter shall be adjudicated exclusively in the Circuit Court for Miami-Dade County,Florida or the United States District Court for the Southern District of Florida. (C) Jurisdiction and Venue The parties consent to the jurisdiction of the AAA or the Florida State or Federal Courts as specified in paragraph 12(B), agree to accept service of process by mail,and hereby waive any jurisdictional or venue defenses otherwise available to them. 13. Waiver No waiver by either party of any default shall be deemed as a waiver of prior or subsequent default of the same of other provisions of this Agreement. 14. Severability It is the belief and intent of the parties that this Agreement does not contain any provisions contrary to law. However, if any part of this Agreement shall be determined to be illegal, invalid, or unenforceable, that part shall be severed from the Agreement and the remaining parts shall be valid and enforceable, so long as the remaining parts continue to fulfill the original intent of the parties. 15. Integration This Agreement constitutes the entire understanding of the parties, and revokes and supersedes all prior agreements between them and is intended as a final expression of their Agreement. It shall not be modified or amended except in writing duly executed by both parties hereto and specifically referring to this Agreement. This Agreement shall supersede any other documents which may conflict with this Agreement. Should there be any conflict between Exhibit A and this Agreement,Exhibit A's provisions shall prevail. 4 GRIFFIN BUILDING PRODUCTS LLCS SALES AGREEMENT 16. Captions The captions herein are inserted only as a matter of convenience and for reference, and in no way define, limit or describe the scope of this Agreement, nor the intent of any provision thereof. 17. Agreement not to be Construed Against Drafter Customer acknowledges that it has reviewed and understands this Agreement, has had an opportunity to review it with an attorney of its choice, and has agreed to all its terms. Under these circumstances, the language of this Agreement shall not be interpreted or construed in favor of or against any party as the drafter of this Agreement. 18.
