preference, etc.), or additional work encountered during construction may result in
a"Change Order".Approval from authorized agent will be required before commencing work

damages caused to landscaping, fences, sprinklers, pumps, underground utilities, etc.

Payments.All payments shall be made in U.S. Dollars and shall be due in accordance with the terms specified in this
Agreement or in the pertinent SOW executed between the Parties. Client shall be responsible for all outgoing bank fees,
taxes,withholdings, duties, and levies arising from the Services(excluding taxes based on the net income of Company).

Credit Card Payments. In the event Client pays any fees by credit card, Client expressly authorizes Company or its agents
to charge all fees,charges, and expenses incurred under this Agreement to such card, and such authorization shall
survive the termination of this Agreement until there are no fees, charges, or expenses owed by Client under this
Agreement. If Client uses a credit card and Company does not receive payment from the card issuer, Client shall pay all
amounts due immediately upon Company's demand. Client shall immediately notify Company of any changes made to the
card account, including,without limitation, applicable account number or cancellation or expiration of the account, billing
address,or any other information that may prevent Company from charging Client's credit card account.
Failure to Pay. Company shall have the right to suspend its Services if Client has failed to pay any invoice within twenty
(20)days of the invoice's due date.Any amounts that remain unpaid shall bear interest from the due date of the invoice at
issue at a rate of 5% (five percent) per month, unless otherwise stated in the SOW. If Client wishes to dispute any amount
that Company has invoiced, Client shall nonetheless make payment by the due date of the invoice at issue; provided,
however,that the Parties shall promptly try to resolve the issue in good faith and Company shall refund any of Client's
payments which the Parties have determined to be excessive.
ADDITIONAL WORK AND CHANGE ORDERS: Without invalidating this agreement, Owner(s)and/or Contractor may
order extra work or change the existing Contract work by the use of a CHANGE OR ADDITIONAL WORK ORDER.A
change may consist of additions, deletions, or modifications to the original Contract work;the Contract sum and Contract
time being adjusted accordingly.Any additional sums incurred for such additional work as defined in this section, shall be
paid in full (100%), at the next progress payment due or the final payment due,whichever comes first. The change may
occur providing the document is mutually agreed to and signed by both the Owner(s) and Contractor. Only one (1)
signature from each respective party to this agreement shall be necessary to execute the change order. Such
modifications to the original Contract, or subsequent Contracts or CHANGE OR ADDITIONAL WORK ORDERS,will only
occur with a signed CHANGE OR ADDITIONAL WORK ORDER.
Owner(s) understand(s) a design/estimating and coordination fee may be incurred on the design, drafting, research, and
pricing of the change or additional work, whether the change is elected or not by the Owner(s), and this fee is to be paid in
full (100%)prior to the start of any design, drafting, research, or pricing.
TERMS AND CONDITIONS
THESE TERMS AND CONDITIONS AND THE ESTIMATE SHALL APPLY AND SUPERSEDE ALL PRIOR POLICIES,
TERMS, CONDITIONS, OR ESTIMATES WITH RESPECT TO THE PROJECT, SERVICES,AND/OR MATERIALS
DESCRIBED IN THE ESTIMATE ON THE REVERSE SIDE HEREOF, UNLESS AMENDED OR MODIFIED IN A
WRITING SIGNED BY US.
1. Definitions. "We", "us", and "our"refers to the contractor, M3 Construction Group, LLC. "You"and "your"refers to the
person or entity to whom the Estimate was issued. "Services"and "Materials"means the services and/or materials
described on the reverse side hereof. "Estimate"collectively means the services, materials, estimated prices, and all other
information set forth on the reverse side hereof. "Project"means the total scope of work in connection with the services
and/or materials as described in the Estimate.
2. Construction and Legal Effect.The Estimate is not a contract. It is a good faith estimate of your costs, fees, and/or
expenses for the completion of the Project quoted from us based on the information known by and available to us at the
date of the Estimate. The Estimate shall have no effect until a copy of the Estimate signed by you is received at our home
office and acceptance thereof is acknowledged by us in writing.Your acceptance of the Estimate shall be subject to these
Terms and Conditions. Inconsistent terms and conditions in your acceptance of this Estimate shall not be binding on us
and,therefore, any exceptions or modifications you may desire must be specifically called to our attention in writing and
will not be considered effective unless and until we have accepted and acknowledged the requested exceptions or
modifications in a signed writing on such terms as are acceptable to us. No waiver of modification of any of these Terms
and Conditions shall be considered effective unless in writing and signed by us.This Estimate conclusively supersedes all
prior written and oral negotiations concerning the services and/or materials which it describes, and there are no outside
conditions or agreements. Further,this Estimate is subject to subsequent correction by us in case of clerical or
stenographic error.
3.Agreement. By accepting the Estimate and these Terms and Conditions you agree to execute a Master Service
Agreement which sets forth the terms and conditions subject to which we will provide our services and/or materials and
complete the Project(hereinafter"MSA").The Estimate and these Terms and Conditions shall be attached as an Exhibit

to, and as such be deemed incorporated in,the MSA. You acknowledge and agree that we shall have no obligation to
provide any services and/or materials to you pursuant to the Estimate unless and until you have executed our MSA.
4. Estimate.You understand and acknowledge that the quoted price in the Estimate is not a price guaranty but a good
faith estimate of the fees, costs, and/or expenses you will have to pay us to provide the services and/or materials
described on the reverse side hereof for the completion of the Project.You agree that you will be responsible to pay any
and all additional fees, costs, and/or expenses which were incurred or invoiced in connection with the Project: (i) upon
your request or otherwise caused by your actions or omissions; (ii) due to your breach of these Terms and Conditions or
of the provisions of any subsequently executed agreement concerning the Project, including, without limitation,the MSA;
or(iii) not due to our wrongful acts or omissions or gross negligence (including, but not limited to, increases in price of
labor and/or material which are beyond our reasonable control).
5. Expiration. The Estimate and all quoted prices contained therein will be effective as of the date of the Estimate and will
expire one (1)week thereafter. If you fail to return a signed copy of this Estimate to us within one (1)week from the date
of the Estimate, the Estimate shall be deemed to have expired and you must request a new estimate from us for the
Project,which estimate may substantially differ from this Estimate.Accordingly,this Estimate shall automatically be
deemed rejected by you, unless we receive a signed copy thereof within one(1) week of its effective date. You further
acknowledge and agree that the MSA must be executed within no more than three (3)weeks from the date of your
acceptance of the Estimate. In the event that you fail to execute the MSA within three (3)weeks of your acceptance of this
Estimate,the Estimate shall be deemed to have expired automatically, and you must request a new estimate from us for
the Project,which estimate may substantially differ from this Estimate.
6. Prices and Payment.All quoted prices in the Estimate are based on current costs, availability of materials, and labor.
We reserve the right to adjust the quoted price to reflect any increase in these costs.You must submit payment to us as
set forth in the MSA.
7.Taxes. In addition to the contract price,you must pay or reimburse us for any and all taxes, license, inspection fees,
and/or similar charges imposed upon any sale or delivery required by the governmental jurisdiction applicable to you and
resulting from any contract arising from this Estimate.
8. Cancellation or Modification. Cancellation of the accepted Estimate, or any waiver or modification of these Terms and
Conditions will not be binding on us unless made in writing by you and signed by us. You agree to be responsible for any
cancellation charges which may result from any modification or cancellation of the accepted Estimate and/or MSA.
9. Jurisdiction &Governing Law. These Terms and Conditions, as well as the rights and duties of the parties to any
contract resulting from this Estimate and any business relationship that results from this Estimate, shall be governed by
the laws of the State of Florida (regardless of its conflict of law principles).Any controversy or claims arising under any
agreement resulting from this Estimate shall be submitted to the state and federal courts located in Miami-Dade County,
Florida, and you agree that the state and federal courts in Miami-Dade County, Florida, shall have exclusive jurisdiction
over any dispute arising under the Estimate or these Terms and Conditions,out of the transactions contemplated in the
Estimate, or otherwise from the breach of any agreement resulting from this Estimate. By accepting this Estimate,you
agree to the exclusive jurisdiction and judgment of the state and federal courts of Miami-Dade County, Florida, and agree
that the judgment of such courts shall be enforceable in the jurisdiction in which you are located.
10.Attorney's Fees. In the event of a dispute between SELLER and BUYER regarding the sale of the GOODS or these
Terms and Conditions, or SELLER's or BUYER's performance thereunder or hereunder,the prevailing party shall be
entitled to an award of its reasonable attorney's fees and court costs against the non-prevailing party, from the inception of
claim through and including all trial and appellate levels and collections.
11. Miscellaneous. (1)These Terms and Conditions are binding upon and for the benefit of you and us, and your and our
respective successors and assigns.
(2) Failure to enforce any provision of these Terms and Conditions shall not constitute a waiver of any term or condition
hereof.
(3)You are herein notified that we consider these Terms and Conditions and any additional terms listed on the face of the
Estimate to be included as an addition to any request for services and/or materials subsequently issued by you based
upon this Estimate. This Estimate and all of the terms and conditions that it contains are a part of any notice of
acceptance of the Estimate issued to us and of the MSA resulting from this Estimate.
(4)Where these Terms and Conditions conflict with any general terms and conditions listed on any acceptance resulting
from this Estimate,we hereby make our acceptance and execution of the MSA conditional on your: (i) acceptance of any
and all of the terms and conditions set forth in this Estimate and in these Terms and Conditions; and (ii) agreement that
the same supersede any conflicting conditions of your acceptance of the Estimate.
12. Notices. Notices and other communications called for by the Estimate or these Terms and Conditions shall be given by
fax, e-mail,or any method prescribed by law, at the addresses stated for you and us on the reverse side hereof.

Notice to Owner — Workers' Compensation Insurance Exemption
Florida Law requires Workers' Compensation insurance coverage under Chapter 440 of the Florida Statutes. Fla. Stat. § 440.05
allows corporate officers in the construction industry to exempt themselves from this requirement for any construction project prior to
obtaining a building permit. Pursuant to the Florida Division of Workers' Compensation Employer Facts Brochure:
An employer in the construction industry who employs one or more part-time or full-time
employees,including the owner,must obtain workers'compensation coverage. Corporate officers
or members of a limited liability company (LLC) in the construction industry may elect to be
exempt if-

f1. The officer owns at least 10 percent of the stock of the corporation, or in the case of
an LLC,a statement attesting to the minimum 10 percent ownership;
2. The officer is listed as an officer of the corporation in the records of the Florida
Department of State,Division of Corporations;and
3. The corporation is registered and listed as active with the Florida Department of
State,Division of Corporations.
No more than three corporate officers per corporation or limited liability company members are
allowed to be exempt. Construction exemptions are valid for a period of two years or until a
voluntary revocation is filed or the exemption is revoked by the Division.
Your contractor is requesting a permit under this workers' compensation exemption and has acknowledge that he or she will not use
day labor,part-time employees or subcontractors for your project.The contractor has provided an affidavit stating that he or she will
be the only person allowed to work on your project.In these circumstances,Miami Shores Village does not require verification of
workers' compensation insurance coverage from the contractor's company for day labor,part-time employees or subcontractors.
